RINGKASAN RISALAH
RAPAT UMUM PEMEGANG SAHAM TAHUNAN
PT NUSANTARA INFRASTRUCTURE TBK
PT NUSANTARA INFRASTRUCTURE Tbk berkedudukan di Equity Tower Lantai 38, Jalan Jenderal Sudirman Kav. 52-53, SCBD Lot 9,
Jakarta Selatan 12190, Indonesia (selanjutnya disebut sebagai “Perseroan”), pada hari ini Selasa, tanggal 26 Mei 2026, telah mengadakan Rapat
Umum Pemegang Saham Tahunan (selanjutnya disebut “RUPST”). RUPST dibuka pada pukul 14.21 WIB dan RUPST dihadiri oleh anggota
Dewan Komisaris dan Direksi Perseroan yakni:

1) Persetujuan Laporan Tahunan Perseroan termasuk pengesahan Laporan Keuangan Tahunan dan Laporan Pelaksanaan
Tugas Pengawasan Dewan Komisaris untuk tahun buku 2025;
2) Persetujuan penggunaan Laba Bersih Perseroan untuk Tahun Buku yang berakhir tanggal 31 Desember 2025;

3) Penunjukan Akuntan Publik untuk melakukan audit atas Laporan Keuangan Perseroan untuk tahun buku yang berakhir
pada tanggal 31 Desember 2026; dan
4) Penetapan tugas dan wewenang serta gaji dan tunjangan bagi anggota Direksi Perseroan, dan gaji atau honorarium dan
tunjangan bagi anggota Dewan Komisaris Perseroan untuk tahun 2026.
C. Kuorum Kehadiran Para Pemegang Saham
Bahwa ketentuan mengenai kuorum untuk sahnya penyelenggaraan RUPST adalah berdasarkan :
➢ Kuorum kehadiran untuk seluruh Mata Acara RUPST berlaku ketentuan berdasarkan Pasal 41 ayat 1 (a) Peraturan Otoritas Jasa
Keuangan No. 15/POJK.04/2020 tentang Rencana Penyelenggaraan Rapat Umum Pemegang Saham Perusahaan Terbuka (“POJK 15”)
dan Pasal 14 ayat 2 (1) Anggaran Dasar Perseroan, bahwa RUPST dapat dilangsungkan jika dalam RUPST lebih dari 1/2 (satu per dua)
bagian dari jumlah seluruh saham dengan hak suara hadir atau diwakili dan RUPST adalah sah jika disetujui oleh lebih dari 1/2 (satu
per dua) bagian dari seluruh saham dengan hak suara yang hadir dalam RUPST.
-Dalam RUPST telah dihadiri oleh para pemegang saham atau kuasanya yang sah yang hadir atau diwakili dalam RUPST sebanyak
17.204.454.386 (tujuh belas miliar dua ratus empat juta empat ratus lima puluh empat ribu tiga ratus delapan puluh enam) saham atau
sebesar 99,30% (sembilan puluh sembilan koma tiga nol persen) dari 17.325.253.194 (tujuh belas miliar tiga ratus dua puluh lima juta dua
ratus lima puluh tiga ribu seratus sembilan puluh empat) saham, yang merupakan hasil pengurangan seluruh saham yang telah dikeluarkan
oleh Perseroan sampai dengan tanggal 30 April 2026 pukul 16.00 WIB, yaitu sejumlah 17.710.708.194 (tujuh belas miliar tujuh ratus
sepuluh juta tujuh ratus delapan ribu seratus sembilan puluh empat) saham setelah dikurangi dengan Saham Treasury yaitu sebesar
385.455.000 (tiga ratus delapan puluh lima juta empat ratus lima puluh lima ribu) saham.
-Sehingga dengan demikian berdasarkan jumlah kuorum kehadiran tersebut di atas, maka RUPST adalah sah dan dapat mengambil
keputusan-keputusan yang sah dan mengikat untuk seluruh Mata Acara RUPST.

D. Kesempatan Tanya Jawab
Sebelum pengambilan keputusan, Pimpinan RUPST memberikan kesempatan kepada Pemegang Saham dan/atau Kuasa Pemegang Saham
yang hadir baik secara fisik maupun secara elektronik untuk mengajukan pertanyaan dalam pembahasan setiap Mata Acara RUPST.
Terdapat 1 (satu) orang kuasa pemegang saham yang mengajukan pertanyaan pada pembahasan Mata Acara pertama dan kedua RUPST.
E. Mekanisme Pengambilan Keputusan
Keputusan diambil secara musyawarah untuk mufakat, namun apabila Pemegang Saham atau Kuasa Pemegang Saham ada yang tidak
menyetujui atau memberikan suara abstain, maka keputusan diambil dengan cara pemungutan suara.

Keputusan Mata Acara 1. Menyetujui dan menerima baik Laporan Tahunan Perseroan untuk tahun buku yang berakhir
Pertama RUPST pada 31 Desember 2025, termasuk laporan Direksi Perseroan, dan mengesahkan laporan tugas
pengawasan Dewan Komisaris Perseroan dan Laporan Keuangan Konsolidasian Perseroan dan
entitas anaknya tanggal 31 Desember 2025 dan untuk tahun yang berakhir pada tanggal tersebut,
yang telah diaudit oleh Kantor Akuntan Publik Purwanto Susanti dan Surja (firma anggota Ernst
& Young Global Limited) sebagaimana dimuat dalam Laporan No. 00435/2.1505/AU.1/06/0690-
2/1/III/2026, Perihal: Laporan Keuangan Konsolidasi Perseroan dan Entitas Anak tanggal
31 Desember 2025 dan untuk tahun yang berakhir pada tanggal tersebut, tanggal 31 Maret 2026,
dengan pendapat: “Laporan keuangan konsolidasian terlampir menyajikan secara wajar, dalam
semua hal yang material, posisi keuangan konsolidasian Grup tanggal 31 Desember 2025, serta
kinerja keuangan dan arus kas konsolidasiannya untuk tahun yang berakhir pada tanggal
tersebut, sesuai dengan Standar Akuntansi Keuangan di Indonesia.”; dan
2. Menyetujui pemberian pelunasan dan pembebasan tanggung jawab sepenuhnya (acquit et de
charge) kepada seluruh anggota Direksi dan anggota Dewan Komisaris Perseroan atas tindakan
pengurusan dan pengawasan yang telah mereka jalankan selama tahun buku 2025 sepanjang
tindakan-tindakan mereka tersebut bukan merupakan suatu tindakan pidana dan tindakan
tersebut tercermin dalam Laporan Tahunan Perseroan.

Keputusan Mata Acara 1. Menyetujui pada tahun buku yang berakhir tanggal 31 Desember 2025, Perseroan membukukan
Kedua RUPST Laba Bersih sebesar Rp103.812.303.092,00 (seratus tiga miliar delapan ratus dua belas juta tiga
ratus tiga ribu sembilan puluh dua Rupiah), sehingga setelah diakumulasikan dengan Saldo Laba
tahun sebelumnya, Perseroan membukukan total Saldo Laba sebesar Rp730.948.452.045,00 (tujuh
ratus tiga puluh miliar sembilan ratus empat puluh delapan juta empat ratus lima puluh dua ribu
empat puluh lima Rupiah).
2. Menyetujui penggunaan Laba Bersih Perseroan sebagai berikut:
a. Dari Laba Bersih Perseroan disisihkan sejumlah Rp938.977.026,00 (sembilan ratus tiga puluh
delapan juta sembilan ratus tujuh puluh tujuh ribu dua puluh enam Rupiah) akan
dialokasikan sebagai cadangan wajib sesuai Pasal 70 Undang-Undang Perseroan Terbatas;
b. Dari Laba Bersih Perseroan disisihkan sejumlah Rp92.958.725.631,00 (sembilan puluh dua
miliar sembilan ratus lima puluh delapan juta tujuh ratus dua puluh lima ribu enam ratus tiga
puluh satu Rupiah) akan disisihkan sebagai cadangan lainnya sesuai Pasal 70 Undang-Undang
Perseroan Terbatas yang dapat digunakan untuk kebutuhan Perseroan termasuk
pengembangan usaha modal kerja, sosial, dan pembagian dividen di masa mendatang; dan

c. Dari Laba Bersih Perseroan disisihkan sebesar Rp5,25 (lima koma dua lima Rupiah) per
saham akan dibagikan sebagai dividen dengan rincian sebagai berikut:
i. Sebesar Rp2,63 (dua koma enam tiga Rupiah) per saham telah dibayarkan oleh Perseroan
kepada Pemegang Saham sebagai dividen interim pada tanggal 3 Desember 2025; dan
ii. Sebesar Rp2,62 (dua koma enam dua Rupiah) per saham yang akan dibayarkan kepada
Pemegang Saham yang terdaftar dalam Daftar Pemegang Saham Perseroan hari Rabu,
tanggal 10 Juni 2026 pada pukul 16:00 WIB sebagai Dividen Tunai.
Sehubungan dengan Dividen Tunai, memberikan wewenang mutlak kepada Direksi Perseroan
untuk atas diskresinya mengambil keputusan dan/atau melakukan tindakan apapun yang menurut
pertimbangan Direksi Perseroan dianggap baik atau perlu dalam rangka pelaksanaan
pembagian/pembayaran Dividen Tunai, termasuk menetapkan jadwal dan tata cara
pembagian/pembayaran Dividen Tunai, serta sehubungan dengan pelaksanaan kewenangan
tersebut, Direksi Perseroan dapat memberikan kuasa (dengan hak substitusi) kepada pihak atau
pihak-pihak yang ditunjuk olehnya.

Keputusan Mata − Menyetujui melimpahkan wewenang kepada Dewan Komisaris Perseroan untuk menunjuk Kantor
Acara Ketiga Akuntan Publik yang terdaftar di OJK untuk memeriksa dan melakukan audit terhadap Laporan
RUPST Keuangan Perseroan untuk tahun buku 2026 serta menetapkan honorarium dan persyaratan lain
penunjukannya serta menunjuk Kantor Akuntan Publik pengganti bilamana karena sebab apa pun
juga berdasarkan ketentuan peraturan yang berlaku di bidang Pasar Modal atau ketentuan
perundangan lainnya yang berlaku, Kantor Akuntan Publik yang ditunjuk tidak dapat melaksanakan
tugasnya, selanjutnya Dewan Komisaris akan memberikan kuasa kepada Direksi sehubungan dengan
Penunjukan Kantor Akuntan Publik tersebut.

Direksi Perseroan untuk tahun buku 2026 dengan memperhatikan kondisi dan kemampuan keuangan
Perseroan.

B. Agenda of AGMS
1. Approval of the Company’s Annual Report including the ratification of the Company’s Financial Statement and Report on
the Implementation of Supervisory Duties of the Board of Commissioners for the financial year of 2025;
2. Approval of the determination of the Company’s Net Profit for the financial year ended in December 31, 2025;

3. Appointment of a Public Accountant to conduct an audit of the Company’s Financial Statements for the financial year ending
December 31, 2026; and
4. Determination of the duties and authorities, as well as salaries and allowances, for the members of the Company’s Board of
Directors, and salaries or honorarium and allowances for the members of the Company’s Board of Commissioners for the
fianancial year of 2026.
C. Quorum of Attendance of Shareholders
That the provisions regarding the quorum for the validity of the convening of the AGMS are based on:
➢ The quorum requirement for all Agenda Items of the AGMS shall be in accordance with the provisions of Article 41 paragraph 1 (a) of
OJK Regulation No. 15/POJK.04/2020 concerning The Implementation of General Meeting of Shareholders of The Public Company
and the Article 14 paragraph 2 (1) of Company Article of Association, which stipulates that the AGMS may be convened if more than
1/2 (one-half) of the total shares with valid voting rights are present or represented at the meeting, and the AGMS resolutions shall be
deemed valid if approved by more than 1/2 (one-half) of the total shares with valid voting rights present at the AGMS.
-At the AGMS, shareholders or their legitimate proxies were present or represented in the amount of 17,204,454,386 (seventeen billion
two hundred four million four hundred fifty-four thousand three hundred eighty-six) shares or representing 99.30% (ninety-nine point three
zero percent) of 17,325,253,194 (seventeen billion three hundred twenty-five million two hundred fifty-three thousand one hundred ninety-
four) shares, being the result of the deduction from the total issued shares of the Company as of April 30, 2026 at 16:00 Western Indonesia
Time, amounting to 17,710,708,194 (seventeen billion seven hundred ten million seven hundred eight thousand one hundred ninety-four)
shares, less the Treasury Stock of 385,455,000 (three hundred eighty-five million four hundred fifty-five thousand) shares.
-Accordingly, based on the quorum of attendance described above, the AGMS is valid and may adopt lawful and binding resolutions on all
Agenda Items.

D. Questions and Answer
Before the resolutions were passed, the Chairman of the AGMS provided an opportunity for Shareholders and/or their proxies who were
present either physically or electronically to raise questions during the discussion of each agenda item of the AGMS. There was 1 (one)
question from the shareholder’s proxy related to the First and Second Agenda of AGMS.
E. Decision-Making Mechanism
Resolutions shall be adopted by way of deliberation to reach a consensus. However, in the event that any Shareholders or their Proxies do
not approve or abstain from voting, the resolutions shall be adopted through a voting mechanism.

been audited by Puwanto Susanti and Surja Public Accounting Firm (member firm of Ernst &
Young Global Limited), as set forth in Report No. 00435/2.1505/AU.1/06/0690-2/1/III/2026
concerning the Consolidated Financial Statements of the Company and its Subsidiaries as of 31
December 2025 and for the year then ended, dated 31 March 2026, with the opinion: “The
accompanying consolidated financial statements present fairly, in all material respects, the
consolidated financial position of the Group as of 31 December 2025, and its consolidated financial
performance and consolidated cash flows for the year then ended, in accordance with Indonesian
Financial Accounting Standards.”; and
2. 2. To approve the granting of full release and discharge (acquit et de charge) to all members of the
Company’s Board of Directors and Board of Commissioners for the management and supervisory
actions they performed during the 2025 financial year, provided that such actions do not constitute
criminal acts and are reflected in the Company’s Annual Report.

Decision on the Second 1. To approve that for the financial year ended 31 December 2025, the Company recorded a Net
Agenda of the AGMS Profit amounting to Rp103,812,303,092.00 (one hundred three billion eight hundred twelve million
three hundred three thousand ninety-two Rupiah), and after being accumulated with the retained
earnings from previous years, the Company recorded total Retained Earnings amounting to
Rp730,948,452,045.00 (seven hundred thirty billion nine hundred forty-eight million four hundred
fifty-two thousand forty-five Rupiah).
2. To approve the appropriation of the Company’s Net Profit as follows:
a. An amount of Rp938,977,026.00 (nine hundred thirty-eight million nine hundred seventy-seven
thousand twenty-six Rupiah) from the Company’s Net Profit shall be allocated as statutory
reserve in accordance with Article 70 of the Indonesian Company Law;
b. An amount of Rp92,958,725,631.00 (ninety-two billion nine hundred fifty-eight million seven
hundred twenty-five thousand six hundred thirty-one Rupiah) from the Company’s Net Profit
shall be allocated as other reserves in accordance with Article 70 of the Indonesian Company
Law, which may be used for the Company’s purposes, including business development, working

capital, social activities, and future dividend distributions; and
c. An amount of Rp5.25 (five point two five Rupiah) per share from the Company’s Net Profit shall
be distributed as dividends, with the following details:
i. An amount of Rp2.63 (two point six three Rupiah) per share has been paid by the Company
to the Shareholders as interim dividend on 3 December 2025; and
ii. An amount of Rp2.62 (two point six two Rupiah) per share shall be paid as cash dividend to
the Shareholders registered in the Company’s Register of Shareholders on Wednesday, 10
June 2026 at 16:00 Western Indonesian Time.
In relation to the Cash Dividend, to grant full authority to the Company’s Board of Directors, at
its discretion, to make decisions and/or take any actions which the Board of Directors deems
appropriate or necessary for the implementation of the distribution/payment of the Cash
Dividend, including determining the schedule and procedures for the distribution/payment of the
Cash Dividend, and in relation to the exercise of such authority, the Company’s Board of
Directors may grant powers of attorney (with substitution rights) to any party or parties
appointed by it.

Accounting Firm in the event that, for any reason and pursuant to the prevailing regulations in the
Capital Market sector or other applicable laws and regulations, the appointed Public Accounting
Firm is unable to perform its duties. Furthermore, the Board of Commissioners shall grant authority
to the Board of Directors in relation to the appointment of the said Public Accounting Firm.
