3. Uraian Informasi atau Fakta Pada tanggal 15 Agustus 2024, AHM selaku Penerima Pinjaman
Material telah melakukan penandatanganan Perjanjian Fasilitas
Pembiayaan dengan SMI selaku Perusahaan Pembiayaan
Infrastruktur dengan besaran nilai fasilitas pembiayaan maksimal
adalah Rp223.000.000.000 (dua ratus dua puluh tiga miliar

of 180 (one hundred and eighty) months (the “Facility
Agreement”) with the Purpose including but not limited to the
construction of hydroelectric power plant in South Sulawesi.

Transaksi ini telah dicatatkan dalam Akta No. 33 tanggal 15
Agustus 2024, yang dibuat dihadapan Lieastiany Wang S.H.,
M.Kn., Notaris di Jakarta Pusat.

Central Jakarta.

merupakan transaksi afiliasi dan benturan kepentingan
berdasarkan Peraturan Otoritas Jasa Keuangan No. 42/04/2020
tentang Transaksi Afiliasi dan Benturan Kepentingan.
The signing of this Facility Agreement is a Material Transaction as
regulated in POJK 17/202 considering that the value of the
Transaction reaches more than 20% of the Company's equity
based on the Company's audited financial statements as of
December 31, 2023, but this Transaction is not an affiliated
transaction and conflict of interest based on the Financial Services
Authority Regulation No. 42/04/2020 concerning Affiliated
Transactions and Conflict of Interest.
Transaksi ini merupakan transaksi material yang dikecualikan
sebagaimana dimaksud dalam Pasal 11 huruf (b) POJK 17/2020,
dikarenakan transaksi ini merupakan transaksi pinjaman yang
diperoleh langsung dari perusahaan pembiayaan infrastuktur,
sehingga Perseroan tidak diharuskan menggunakan jasa penilai
dan memperoleh persetujuan Rapat Umum Pemegang Saham.
This transaction is an exempted material transaction as referred
to in Article 11 letter (b) POJK 17/2020, because this transaction
is a loan transaction obtained directly from an infrastructure
financing company, so the Company is not required to use
appraisal services and obtain approval from the General Meeting
of Shareholders.
