Uraian Informasi atau Fakta Material Telah dilakukan penandatanganan Akta Perjanjian Pemberian
Fasilitas Pembiayaan Syariah Line Facility Al Musyarakah
Mutanaqisah (MMq) yang dibuat di hadapan Notaris
Herdimansyah Chaidirsyah, S.H., Notaris di Jakarta Utara,
dengan Nomor Akta 29 tertanggal 9 Agustus 2024, antara PT
Citra Marga Nusaphala Persada Tbk (Perseroan) selaku
Nasabah atau Penerima Fasilitas Pembiayaan dengan PT
Sarana Multi Infrastruktur (Persero) (PT SMI) selaku Pemberi
Fasilitas Pembiayaan. Perseroan mendapatkan fasilitas
pembiayaan dari PT SMI dengan syarat dan ketentuan
sebagai berikut:
Limit Pembiayaan:
Maksimum sebesar Rp4.000.000.000.000,- (empat triliun
Rupiah), terdiri atas:
a. Tranche I: Limit pembiayaan secara bilateral dan full
commitment basis maksimum sebesar Rp2.000.000.000.000,-
(dua triliun Rupiah) - porsi pembiayaan PT SMI.
b. Tranche II (Accordion) : Dibentuk atau diberikan
secara best effort basis maksimum sebesar Rp2.
000.000.000.000,- (dua triliun Rupiah).
Jangka Waktu
a. Line Facility : Maksimal 10 (sepuluh)
tahun sejak penandatanganan Perjanjian Pembiayaan
b. Fasilitas Pembiayaan : Maksimal 10
(sepuluh) tahun sejak penandatanganan Perjanjian
Pembiayaan dan tidak melebihi jangka waktu Line Facility
c. Availability Period : 1) Tranche I
36 (tiga puluh enam) bulan sejak penandatanganan Perjanjian
Pembiayaan
2) Tranche II
Sejak fasilitas Tranche II berlaku efektif s.d. berakhirnya Masa
Penarikan Tranche I
Tujuan Penggunaan:
Untuk membiayai Pembangunan dan Pengembangan Jalan
Tol Ruas Ancol Timur - Pluit (Elevated) atau Harbour Road II
Agunan Pembiayaan:
Agunan dan jaminan pembiayaan yang diserahkan berupa:
1. Hak Konsesi Pengusahaan Jalan Tol berdasarkan
PPJT Tahun 2020;
2. Seluruh pendapatan jalan tol dan usaha-usaha lain
yang berhubungan dengan pengusahaan jalan tol;
3. Dana dalam Rekening Penampungan (Escrow
Account);
4. Tagihan atas pendapatan dari hasil klaim asuransi,
klaim bank garansi (khusus klaim bank garansi selama masa
konstruksi - apabila ada).
Dampak kejadian, informasi atau fakta Memperkuat kondisi keuangan maupun keberlangsungan
material tersebut terhadap kegiatan usaha Perseroan.

Description of Material Information or The signing of the Deed of Agreement for the Provision of
Facts Sharia Financing Facilities Line Facility Al Musyarakah
Mutanaqisah (MMq) has been carried out, made before Notary
Herdimansyah Chaidirsyah, S.H., Notary in North Jakarta, with
Deed Number 29 dated August 9, 2024, between PT Citra
Marga Nusaphala Persada Tbk (the Company) as the
Customer or Recipient of the Financing Facility with PT Sarana
Multi Infrastruktur (Persero) (PT SMI) as the Provider of the
Financing Facility. The Company received financing facilities
from PT SMI with the following terms and conditions:
Financing Limit:
A maximum of IDR4,000,000,000,000,- (four trillion Rupiah),
consisting of:
a. Tranche I: Bilateral financing limit and full commitment basis
maximum of IDR2,000,000,000,000,- (two trillion Rupiah) - PT
SMI's financing portion.
b. Tranche II (Accordion): Formed or given on a best effort
basis with a maximum of IDR2,000,000,000,000 (two trillion
Rupiah).
Term
a. Line Facility: Maximum 10 (ten) years from the signing of the
Financing Agreement
b. Financing Facility: Maximum 10 (ten) years from the signing
of the Financing Agreement and not exceeding the term of the
Line Facility
c. Availability Period: 1) Tranche I
36 (thirty six) months from the signing of the Financing
Agreement
2) Tranche II
Since the Tranche II facility is effective until the end of the
Tranche I Withdrawal Period
Purpose of Use:
To finance the Construction and Development of the Ancol
Timur - Pluit (Elevated) Toll Road or Harbor Road II
Financing Collateral:
The collateral and financing guarantees submitted are in the
form of:
1. Toll Road Business Concession Rights based on the 2020
PPJT;
2. All toll road revenues and other businesses related to toll
road management;
3. Funds in Escrow Account;
4. Bills on income from insurance claims, bank guarantee
claims (specifically bank guarantee claims during the
construction period - if any).
