3. | Objek dan Nilai Transaksi/ Object | Pada tanggal 7 Agustus 2024, BTPN sebagai pemberi
and Value of the Transaction pinjaman serta Perseroan, Protelindo, Iforte, SUPR, BIT
dan VTS sebagai para peminjam (“Para Peminjam”) telah
menandatangani Perubahan dan Pernyataan Kembali
atas Perubahan dan Pernyataan Kembali Perjanjian atas
Fasilitas No. BTPN/NS/0122 tanggal 8 Desember 2021
(“Perjanjian Fasilitas”) / On August 7, 2024, BTPN as the
lender and the Company, Protelindo, Iforte, SUPR, BIT
and VTS as the borrowers (“Borrowers”) have signed
Amendment and Restatement to the Amendment and
Restatement to the Facility Agreement No. BTPN/NS.0122
dated December 8, 2021 (“Facility Agreement”)
1. Berikut adalah syarat dan ketentuan dalam Perjanjian
Fasilitas: / The following are terms and conditions
under the Facility Agreement:
1) Komitment/ Commitment:
Rp4.000.000.000.000,- dengan rincian sebagai
berikut: / IDR4,000,000,000,000.- with the
following details:
(a) Maksimum sebesar Rp4.000.000.000.000 atau
nilai setaranya dalam mata uang Dolar Amerika
Serikat (“AS$”) dan Japanese Yen (“JPY”) yang
tersedia untuk Protelindo, / Maximum of
IDR4,000,000,000,000,- or the eguivalent
amount in United States Dollars (“USD”) and
Japanese Yen (“YYPY") made available to
Protelindo,
(b) Maksimum sebesar Rp1.400.000.000.000, -
atau nilai setaranya dalam mata uang AS$ yang
tersedia untuk ' SUPR/ Maximum of
IDR1,400,000,000,000 or the eguivalent
amount in USD made available to the SUPR,

Maksimum sebesar Rp35.000.000.000,- yang tersedia untuk VTS / Maximum of IDR385,000,000,000.- made available to VTS: (f) Maksimum sebesar Rp1.000.000.000.000,- yang tersedia untuk Perseroan / Maximum of IDR1.000,000,000,000.- made available to the Company. Seluruh penarikan fasilitas tersebut tidak boleh melebih Total Fasilitas./ All withdrawals of the facility shall not exceed the Total Facility. 2) Periode Ketersediaan/Availability Period: 7 Agustus 2024 sampai dengan 30 April 2025 / August 7, 2024 until April 30, 2025. 3) Protelindo, Iforte, SUPR BIT dan VTS bertanggung jawab secara tanggung renteng terhadap pelaksanaan seluruh kewajiban berdasarkan Perjanjian Fasilitas terhadap BTPN/ Protelindo, Iforte, SUPR, BIT and VTS are jointly liable for their obligations under the Facility Agreement to BTPN. 4) Perjanjian Fasilitas diatur dan tunduk pada hukum negara Republik Indonesia./ The Facility Agreement is made and governed in accordance with the laws of Republic of Indonesia: 5) Protelindo setuju memberikan jaminan Perusahaan untuk menjamin pelaksanaan kewajiban Perseroan, Iforte, SUPR, BIT dan VTS sehubungan dengan Perjanjian Fasilitas (“Perjanjian Penanggungan”). / Protelindo agrees to provide a corporate guarantee to guarantee the fulfilment of the Company, Iforte's, SUPR', BIT's and VTS's obligations under the Facility Agreement (“Corporate Guarantee”). Perjanjian Fasilitas bukan merupakan transaksi benturan kepentingan bagi Perseroan sebagaimana diatur dalam POJK 42/ The Facility Agreement is not a conflict-of-interest transaction of the Company as referred to POJK 42. 2.
