3. Uraian Informasi Merujuk kepada Peraturan OJK No. 31/POJK.04/2015 tentang

Perusahaan Publik (“POJK 31/2015”), bersama ini kami informasikan
Detail of bahwa telah diumumkan dalam Harian Neraca dan Link Bisnis pada
Information or tanggal 9 Agustus 2024 mengenai rencana penawaran tender sukarela yang
Material Facts akan dilakukan oleh Barokah Melayu Food Pte.Ltd. (“BMF”) sebagai salah
satu pemegang saham Perseroan. Pengumuman koran terkait Penawaran
Tender Sukarela adalah sebagaimana terlampir.
BMF berencana untuk menambah kepemilikian saham yang dimiliki saat
ini sebesar 42,462% dengan membeli saham Perseroan yang tersedia di
pasar modal di harga penawaran senilai Rp1.025/saham dengan mencapai
batas maksimal sebesar 7,638%, sehingga kepemilikan saham BMF menjadi
sebanyak-banyaknya sebesar 50,100%.
Rencana penawaran tender sukarela BMF tersebut saat ini masih dalam
proses memperoleh pernyataan efektif dari OJK.
Referring to OJK Regulation No. 31/POJK.04/2015 regarding Disclosure of
Material Information or Facts by Issuers or Public Companies ("POJK
31/2015"), we hereby inform you that it has been announced in Harian
Neraca and Link Bisnis on August 9, 2024 regarding the voluntary tender
offer plan to be carried out by Barokah Melayu Food Pte.Ltd. ("BMF") as
one of the Company's shareholders. The newspaper announcement
regarding the Voluntary Tender Offer is as attached.
BMF plans to increase its current ownership of 42.462% by purchasing the
Company's shares available in the capital market at an offering price of
Rp1,025/share by reaching a maximum limit of 7.638%, resulting in BMF's
share ownership to a maximum of 50.100%.
BMF's voluntary tender offer plan is currently still in the process of
obtaining an effective statement from OJK.
