bermaksud untuk menyampaikan Laporan Informasi atau Fakta Material sebagai berikut:
In order to comply with OJK Regulation No. 31/POJK.04/2015 dated 16 December 2015 regarding Disclosure of
Material Information or Facts by the Issuers or Public Companies (“POJK 31”) and Directors Decree of Indonesia
Stock Exchange No. KEP-00066/BEI/09-2022 dated 30 September 2022 regarding the Amendment to Regulation
No. I-E on the Obligation to Submit Information (“IDX Regulation No. I-E”), we, PT Agung Podomoro Land Tbk. (the
“Company”) hereby intend to submit the Report on Material Information or Facts as follows:

3. Uraian Informasi atau Fakta Melalui siaran persnya tanggal 8 Agustus 2024, Moody's Ratings (“Moody’s”)
Material | Description of mengumumkan telah menaikkan peringkat corporate family rating (CFR) dari
Material Information or Perseroan menjadi Caa1 dari Caa3, dan merevisi prospek menjadi stabil dari
Facts: negatif.
Kenaikan peringkat ke Caa1 mencerminkan (1) berkurangnya risiko
pembiayaan kembali bagi Perseroan, setelah Perseroan, melalui APL Realty
Holdings Pte. Ltd. (“APL Realty”), entitas anak yang didirikan berdasarkan
hukum negara Singapura dan seluruh sahamnya dimiliki oleh Perseroan,
berhasil melunasi dengan tepat waktu sisa obligasi (Senior Notes)*) sebesar
USD 131,96 juta yang jatuh tempo pada 3 Juni 2024; dan (2) peningkatan
kinerja penjualan pemasaran Perseroan.
Pelunasan Senior Notes dalam mata uang Dollar Amerika Serikat tersebut
dibiayai melalui pinjaman dari Bank Danamon dalam mata uang Rupiah yang
keseluruhannya telah ditarik pada 27 Mei 2024 berjumlah Rp2,95 triliun.

CM/V.2024 tanggal 29 Mei 2024 perihal: Laporan Informasi atau Fakta
Material yang disampaikan Perseroan melalui SPE-IDXnet No.
024/APLN/V/2024 tanggal 29 Mei 2024 perihal: Penarikan Fasilitas Kredit
Berdasarkan Perjanjian Kredit; (2) Sedangkan mengenai pelunasan seluruh
Senior Notes pada 3 Juni 2024 telah pula kami laporkan kepada OJK sebagai
keterbukaan informasi melalui surat Perseroan No. 015/APLN-CM/VI.2024
tanggal 4 Juni 2024 perihal: Laporan Informasi atau Fakta Material yang
disampaikan Perseroan melalui SPE-IDXnet No. 029/APLN/VI/2024 tanggal 4
Juni 2024 perihal: Pelunasan Senior Notes APL Realty.)
Through its press release dated August 8, 2024, Moody’s Ratings (“Moody’s”)
announced has upgraded the corporate family rating (CFR) of the Company to
Caa1 from Caa3, and revised the outlook to stable from negative.
The rating upgrade to Caa1 reflects (1) the easing of the Company’s
refinancing risk, following the Company, through APL Realty Holdings Pte. Ltd.
(“APL Realty”), a subsidiary incorporated under the laws of Singapore and
wholly owned by the Company, has successfully made timely repayment of the
remaining bonds (Senior Notes)*) of USD 131.96 million due on June 3, 2024;
and (2) the improvement in the Company's marketing sales performance.
The settlement of the Senior Notes in US Dollar currency was financed through
credit facility from Bank Danamon in Rupiah currency, the total of which was
withdrawn on May 27, 2024, amounting to Rp2.95 trillion. (Note: (1) Please
also refer to the Company's letter No. 012/APLN-CM/V.2024 dated May 29,
2024 regarding: Report of Material Information or Facts submitted by the
Company through SPE-IDXnet No. 024/APLN/V/2024 dated May 29, 2024
regarding: Drawdown of Credit Facility Based on the Credit Agreement; (2)
Meanwhile, regarding the settlement of all Senior Notes on June 3, 2024, we
have also reported to OJK as an information disclosure through the Company's

4. Dampak kejadian, informasi Kenaikan peringkat oleh Moody’s tersebut akan memberikan dampak positif
atau fakta material tersebut bagi Perseroan, karena menunjukkan perbaikan kinerja operasional dan
terhadap Emiten atau keuangan Perseroan.

5. Keterangan lain-lain | Other
Information: Senior Notes adalah obligasi senior yang diterbitkan oleh APL Realty pada
2 Juni 2017 dengan nilai pokok USD 300 juta, berjangka waktu 7 tahun,
dan kupon 5,95% per tahun, yang dicatatkan dan diperdagangkan di Bursa
Efek Singapura (“SGX”).
Pada 2 Agustus 2023, APL Realty menyelesaikan pelaksanaan penawaran
pembelian kembali sebagian Senior Notes (“Tender Offer”) sebesar USD
168,04 juta dan telah melakukan pembayaran kepada para pemegang
Senior Notes, sehingga dengan demikian masih terdapat jumlah pokok
Senior Notes yang terutang sebesar USD 131,96 juta.
Pada 15 November 2023 APL Realty kembali melakukan Tender Offer atas
Senior Notes yang jumlah pokok beredar pada saat penawaran dimulai
sebesar USD 131,96 juta. Jumlah yang akan dibeli kembali sampai dengan
Rp 1 triliun, dengan pendanaan dari fasilitas pinjaman.
Setelah berakhirnya Tender Offer pada 21 November 2023, Perseroan
melalui APL Realty, pada 22 November 2023 memutuskan untuk
membatalkan Tender Offer dan oleh karenanya tidak menerima
penawaran untuk pembelian Senior Notes.
Dengan demikian jumlah Senior Notes yang dilunasi pada saat jatuh
tempo pada 3 Juni 2024 sebesar USD 131,96 juta.
*)
Senior Notes are senior bonds issued by APL Realty on June 2, 2017 with a
principal amount of USD 300 million, 7 years tenor, and coupon of 5.95%
per annum, which are listed and traded on the Singapore Stock Exchange
(“SGX”).
On August 2, 2023, APL Realty completed an offer to repurchase part of
the Senior Notes ("Tender Offer") of USD 168.04 million and has settled
payments to the Senior Notes holders, so that the outstanding principal
amount of the Senior Notes was USD 131.960 million. On August 2, 2023,
APL Realty completed the implementation of the partial Senior Notes
repurchase offer (“Tender Offer”) and has made payments to the holders
of the Senior Notes, so that there is still a principal amount of Senior Notes
outstanding of USD 131.96 million
On November 15, 2023, APL Realty again conducted a Tender Offer for the
Senior Notes, which principal amount outstanding at the time of the

commencement of the offering was USD 131.96 million. The amount to be
repurchased was up to IDR 1 trillion, financed from a credit facility.
Further to the expiration of the Tender Offer on November 21, 2023, the
Company through APL Realty, on November 22, 2023 has decided to
terminate the Tender Offer and therefore not accepted any Senior Notes
for purchase.
Thus, the amount of Senior Notes that be paid off when due date on June
3, 2024 was USD 131.96 million.
