Uraian Informasi atau Fakta Material Grundtvig Marine Pte Ltd (GMP) adalah anak cabang PT Rig
Tenders Indonesia Tbk (Perseroan) yang saham nya dimiliki
100% oleh Perseroan.
GMP adalah Perusahaan Singapura yang didirikan dan
berdasarkan hukum yang berlaku di negara Singapura, oleh
sebab itu GMP adalah perusahaan yang tunduk pada hukum
yang berlaku di negara Singapura.
Perseroan telah menghentikan aktivitas operasi GMP yang
efektif pada tanggal 6 Agustus 2024. Penghentian operasi ini
telah dilaksanakan sesuai dengan tahapan dan prosedur yang
berlaku di Singapura dan telah mendapatkan persetujuan dari
IRAS dan ACRA Singapura (Accounting and Corporate
Regulatory Authority).
Tidak adanya aktivitas yang dapat memberikan keuntungan
kepada Perseroan merupakan pertimbangan dihentikannya
aktivitas operasi GMP. Penghentian ini juga dimaksudkan
untuk efesiensi biaya-biaya operasional yang harus
dikeluarkan oleh Perseroan (biaya konsultan pajak Singapura,
penyewaan virtual office, biaya Auditor dan biaya-biaya jasa
profesioanal lainnya).
Dengan pertimbangan dan alasan tersebut di atas maka
Perseroan memutuskan untuk menutup GMP sesuai dengan
peraturan yang berlaku di negara Singapura.

Dampak kejadian, informasi atau fakta Dampak dari dihentikannya aktivitas operasi pada anak
material tersebut terhadap kegiatan Perusahaan tersebut terhadap kondisi operasional dan
operasional, hukum, kondisi keuangan, keuangan Perseroan berdampak cukup baik dikarenakan
atau kelangsungan usaha Emiten atau Perseroan dapat melakukan efesiensi biaya yang cukup
Perusahaan Publik signifikan untuk biaya-biaya operasional Perusahaan tersebut.
Dampak hukumnya pada Perusahaan tersebut berdasarkan
sistem pada ACRA dinyatakan bubar dan tidak dapat
melakukan kegiatan usaha apapun di Singapura.

Description of Material Information or Grundtvig Marine Pte Ltd (GMP) is a subsidiary of PT Rig
Facts Tenders Indonesia Tbk (the Company) whose shares are
100% owned by the Company.
GMP is a Singapore company which was established and
based on the laws in Singapore, therefore GMP is a company
which is subject to the laws in Singapore.
The Company has stopped GMP operational activities
effective August 6, 2024. This cessation of operations has
been carried out in accordance with the stages and
procedures applicable in Singapore and has received approval
from IRAS and ACRA Singapore (Accounting and Corporate
Regulatory Authority).
The absence of activities that can provide profits to the
Company is a consideration for discontinuing GMP operational
activities. This termination is also intended to streamline
operational costs that must be incurred by the Company
(Singapore tax consultant fees, virtual office rental, auditor
fees and other professional service fees).
With the considerations and reasons mentioned above, the
Company decided to close GMP in accordance with the
regulations in force in Singapore.
Impact of event, material information or The impact of the cessation of operating activities at the
facts towards Issuers or Public subsidiary on the Company's operational and financial
Company’s operational activities, legal, condition had a good impact because the Company was able
financial condition, or going concern to achieve significant cost efficiencies for the Company's
operational costs.
The legal impact on the company is that based on the ACRA
system it is declared dissolved and cannot carry out any
business activities in Singapore.
