Dengan hormat,
Sehubungan dengan Surat Bursa No.: S-06326/BEI.PP3/05-2026 (“Surat Bursa S-06326”) tertanggal
26 Mei 2026 yang ditujukan kepada Direksi PT Wilton Makmur Indonesia Tbk. (“Direksi Perseroan”) perihal
Permintaan Penjelasan Bursa.
Bersama ini kami sampaikan tanggapan atas Surat Bursa S-06326 sebagai berikut:
Merujuk pada pemberitaan media massa Kompas tanggal 22 Mei 2026 terkait rencana Penerbitan Peraturan
Pemerintah (PP) Tata Kelola Ekspor SDA dan rencana Pemerintah Indonesia untuk membentuk Badan Usaha
Milik Negara (BUMN) Khusus Ekspor, dapat dijelaskan beberapa hal berikut:
1. Sehubungan dengan rencana Pemerintah terkait penerbitan PP Tata Kelola Ekspor Sumber Daya Alam,
bagaimana Perseroan menyikapi rencana atas penerapan PP Tata Kelola Ekspor Sumber Daya Alam
tersebut?
Tanggapan:
Grup ini mengapresiasi dan mendukung langkah-langkah yang diambil oleh Pemerintah. Grup memahami
bahwa Pemerintah memperkenalkan peraturan ini terutama untuk tujuan stabilitas fiskal negara.
Pada tahap ini, Grup akan terus mengamati dengan cermat implementasi kebijakan peraturan dan menilai
kembali dampaknya terhadap aktivitas operasional dan posisi keuangan Grup.
2. Dalam hal terdapat pendapatan/penjualan ekspor dari Perseroan, agar disampaikan dampak yang dapat
terjadi bagi Perseroan atas rencana tersebut, antara lain:
a. Dampak terhadap kelangsungan usaha Perseroan.
Tanggapan:
Tidak ada dampak langsung terhadap kelangsungan bisnis Grup mengingat implementasi awal tidak
memengaruhi penambang emas.
Namun, jika implementasi tersebut diterapkan pada penambang emas, pasar ekspor mungkin akan
mencari alternatif lain jika mereka tidak menyetujui harga yang ditetapkan oleh Badan Usaha Milik
Negara. Hal ini, pada gilirannya, dapat memengaruhi penjualan Grup.

b. Dampak terhadap kegiatan operasional Perseroan.
Tanggapan:
Tidak ada dampak langsung pada aktivitas operasional Grup yang ada karena implementasi awal
tidak memengaruhi penambang emas.
Namun, jika implementasi tersebut diperkenalkan kepada penambang emas, keterlibatan Badan
Usaha Milik Negara berpotensi menimbulkan persyaratan persetujuan tambahan (misalnya volume
dan harga). Penundaan apa pun dapat mengakibatkan biaya tambahan yang akan ditanggung oleh
Grup.
c. Dampak terhadap kondisi keuangan Perseroan, terutama dampak terhadap pendapatan, laba usaha,
laba bersih dan arus kas Perseroan.
Tanggapan:
Tidak ada dampak langsung pada kondisi keuangan Grup saat ini mengingat implementasi awal tidak
memengaruhi penambang emas.
Namun, jika implementasi tersebut diterapkan pada penambang emas, Grup memperkirakan margin
akan lebih tipis mengingat biaya operasional secara keseluruhan diperkirakan akan meningkat.
d. Dampak terhadap perjanjian kerjasama dengan pelanggan eksisting Perseroan.
Tanggapan:
Tidak ada dampak pada perjanjian kerja sama dengan pelanggan Grup yang sudah ada.
e. Dampak terhadap pemenuhan kewajiban maupun covenant dalam perjanjian pembiayaan Perseroan,
(jika ada).
Tanggapan:
Tidak ada dampak terhadap pemenuhan kewajiban dan perjanjian yang timbul dari perjanjian
pembiayaan yang ada pada Grup.
f. Risiko hukum, seperti risiko wanprestasi kontrak.
Tanggapan:
Tidak ada risiko hukum langsung terhadap kewajiban kontraktual Grup yang ada saat ini, mengingat
implementasi awal tidak memengaruhi penambang emas.
Namun, Grup akan menilai implikasi yang timbul dari pengaturan di masa mendatang (yaitu perjanjian
pembelian/off take).
Situasinya mungkin lebih rumit jika perjanjian kontraktual ini dibuat oleh perusahaan induk yang
berbasis di luar negeri dan di mana perjanjian kontraktual tersebut diatur oleh hukum yurisdiksi asing.

g. Dampak lainnya (jika ada).
Tanggapan:
Tidak ada dampak potensial langsung berdasarkan situasi Grup saat ini mengingat implementasi awal
belum memengaruhi bisnis pertambangan emas.
Namun, Grup memperkirakan jika terdampak, bahwa mungkin akan terpapar fluktuasi harga karena
masih belum jelas bagaimana bisnis dapat melakukan lindung nilai terhadap pergerakan harga
mengingat adanya mekanisme penetapan harga variabel yang dikendalikan secara ketat oleh Badan
Usaha Milik Negara.
Paparan tersebut diperkirakan akan lebih besar ketika implementasi beralih dari model jual-melalui
(sell-through) ke model jual-ke-beli (sell-to).
3. Strategi Perseroan dalam memitigasi kebijakan Pemerintah tersebut, termasuk rencana tindakan
korporasi yang akan dilakukan (jika ada), serta lini masa (timeline) dari rencana tersebut.
Tanggapan:
Grup akan terus mengamati perkembangan implementasi dengan cermat sebelum menentukan sikap
atau kebijakan lebih lanjut. Belum ada langkah korporasi yang direncanakan dalam waktu dekat.

Re : Response to IDX Letter S-06326 regarding the explanations requested by IDX
Dear Sir/Madam,
In connection with the IDX Letter No.: S-06326/BEI.PP3/05-2026 (“IDX Letter S-06326”) dated 25 May 2026,
addressed to the Board of Directors of PT Wilton Makmur Indonesia Tbk regarding the explanations requested by
IDX.
We hereby submit the response to IDX Letter S-06326 as follow:
With reference to the Kompas news article dated 22 May 2026, regarding the planned issuance of a Governmental
Regulation (“PP”) on Natural Resource Export Governance and the Indonesian Government’s plan to establish a
State-Owned Enterprise (BUMN) dedicated to exports, the following below is the response to the request for
explanation on the following matters:
1. In relation to the Government’s plan to issue a PP on Natural Resource Export Governance, how does
the Group view and respond to the planned implementation of this PP?
Response:
The Group appreciates and supports the measures undertaken by the Government. The Group
understands that the Government is introducing this regulation primarily for the purpose of state fiscal
stability.
At this stage, the Group will continue to closely observe the implementation of the regulatory policies and
re-assess the impact to the Group’s operational activities and financial position.
2. In the event that the Group generates export revenue/sales, please describe the potential impacts of this
plan on the Group, including, but not limited to:
a. The impact on the Group’s business continuity.
Response:
There is no immediate impact on the Group’s business continuity given that the initial implementation
does not affect gold miners.
However, in the event that such an implementation would be introduced to gold miners, the export
markets may look elsewhere for alternatives if they do not agree on the pricing stipulated by the
State-Owned Enterprise. This, may in turn, affect the sales of the Group.

b. The impact on the Group’s operational activities.
Response:
There is no immediate impact on the Group’s existing operational activities given that the initial
implementation does not affect gold miners.
However, in the event that such an implementation would be introduced to gold miners, the
involvement of the State-Owned Enterprise would potentially create a requirement for additional
clearance (e.g. volume and pricing). Any delays may result in additional costs that will be incurred
by the Group.
c. The impact on the Company’s financial condition, particularly on revenue, operating profit, net profit,
and cash flow.
Response:
There is no immediate impact on the Group’s existing financial condition given that the initial
implementation does not affect gold miners.
However, in the event that such an implementation would be introduced to gold miners, the Group
expects that margins will be thinner given that overall operational costs are expected to increase.
d. The impact on cooperation agreements with the Group’s existing customers.
Response:
There is no impact on cooperation agreements with the Group’s existing customers.
e. The impact on the fulfilment of obligations and covenants in the Group’s financing agreements (if
any).
Response:
There is no impact on the fulfilment of obligations and covenants arising from the Group’s existing
financing agreements.
f. Legal risks, including the risk of contractual default.
Response:
There is no immediate legal exposure on the Group’s existing contractual obligations given that the
initial implementation does not affect gold miners.
However, the Group will assess the implications arising from future term arrangements (i.e. offtake
agreements).
The situation may be more complicated if these contractual agreements are entered into by the
holding companies that are based abroad and whereby the contractual agreements are governed
under the laws of foreign jurisdictions.

g. Any other potential impacts (if any).
Response:
There are no immediate potential impacts based on the existing situation of the Group given that the
initial implementation does not affect gold miners.
However, the Group expects that it may be exposed to pricing fluctuations as it is still unclear on
how businesses will be able to hedge against price movements given that there is a variable pricing
mechanism that is controlled strictly by the State-Owned Enterprise.
The exposure is expected to be greater when the implementation transits from a sell-through model
to a sell-to model.
3. The Company’s strategy to mitigate the impact of this Government policy, including any planned corporate
actions (if any), as well as the timeline for the implementation of such plans.
Response:
The Group will continue to closely observe the implementation developments before determining any
further stance or policy. There are no immediate planned corporate actions.
