2TBS PERMINTAAN PENJELASAN RENCANA PENERBITAN PERATURAN PEMERINTAH (PP) TATA KELOLA EKSPOR SDA 25 MEI 2026 1. Sehubungan dengan rencana Pemerintah terkait penerbitan PP Tata Kelola Ekspor Sumber Daya Alam, bagaimana Perseroan menyikapi rencana atas penerapan PP Tata Kelola Ekspor Sumber Daya Alam tersebut? In connection with the Government's plan regarding the issuance of the Government Regulation (PP) on Natural Resources Export Governance, how does the Company respond to the planned implementation of such Government Regulation on Natural Resources Export Governance? Penjelasan Perseroan/ Company's Explanation: Perseroan mendukung upaya pemerintah untuk mengoptimalkan manfaat pengelolaan sumber daya alam demi kemakmuran masyarakat serta keberlanjutan pembangunan nasional melalui penerbitan Peraturan Pemerintah terkait tata kelola ekspor sumber daya alam tersebut. Perseroan senantiasa memastikan bahwa seluruh kegiatan usahanya telah dan akan dilaksanakan sesuai dengan ketentuan dan peraturan yang berlaku, termasuk dalam hal kegiatan ekspor Perseroan, apabila ada. Saat ini kami masih menunggu penerbitan PP Tata Kelola Ekspor SDA beserta peraturan pelaksanaannya. Perseroan akan mempelajari dan melakukan kajian menyeluruh terhadap potensi dampak yang akan muncul terhadap kegiatan operasional dan kinerja bisnis setelah peraturan resminya diterbitkan. The Company supports the Government's efforts to optimize the benefits of natural resources management for the prosperity of the community and the sustainability of national development through the issuance of the Government Regulation concerning natural resources export governance. The Company consistently ensures that all of its business activities have been and will continue to be carried out in compliance with the applicable laws and regulations, including with respect to the Company's export activities, if any. At present, we are still awaiting the issuance of the Government Regulation on Natural Resources Export Governance along with its implementing regulations. The Company will conduct a comprehensive review and assessment of the potential impacts that may arise on its operational activities and business performance once the official regulations have been issued. Dampak terhadap kelangsungan usaha Perseroan/ The impact on the Company's business continuity Berdasarkan kajian awal yang telah dilakukan serta informasi yang tersedia di media massa saat ini, Perseroan tidak melihat adanya indikasi bahwa rencana penerapan PP Tata Kelola Ekspor SDA akan menimbulkan dampak material terhadap kelangsungan usaha Perseroan. Namun demikian, Perseroan akan terus memantau perkembangan regulasi dimaksud dan melakukan kajian lebih lanjut setelah peraturan pemerintah beserta peraturan pelaksanaannya diterbitkan. Based on the preliminary assessment that has been conducted and the information currently available in the mass media, the Company does not see any indication that the proposed implementation of the Government Regulation on Natural Resources Export Governance will have a material impact on the Company's business continuity. Nevertheless, the Company will continue to monitor the development of the relevant regulations and conduct further assessments once the Government Regulation and its implementing regulations have been officially issued. Mengingat PP Tata Kelola Ekspor SDA serta peraturan pelaksanaannya belum diterbitkan, Perseroan belum dapat melakukan penilaian secara komprehensif terhadap dampak operasional yang mungkin timbul. The Company is currently still assessing the potential impact of the implementation of the Government Regulation on Natural Resources Export Governance on the Company's operational activities. Considering that the Government Regulation and its implementing regulations have not yet been issued, the Company is not yet able to comprehensively assess the potential operational impacts that may arise. c. Dampak terhadap kondisi keuangan Perseroan, terutama dampak terhadap pendapatan, laba usaha, laba bersih dan arus kas Perseroan/ The impact on the Company's financial condition, particularly on revenue, operating profit, net profit, and cash flow Perseroan masih melakukan kajian terhadap potensi dampak penerapan PP Tata Kelola Ekspor SDA terhadap kondisi keuangan Perseroan, termasuk namun tidak terbatas pada aspek mekanisme pembayaran, tata kelola ekspor, serta aspek- aspek lain yang akan diatur lebih lanjut berdasarkan peraturan perundang- undangan yang berlaku. Mengingat PP Tata Kelola Ekspor SDA dan peraturan pelaksanaannya belum diterbitkan, Perseroan belum dapat mengukur dampak finansial yang mungkin timbul terhadap pendapatan, laba usaha, laba bersih maupun arus kas Perseroan. The Company is currently still assessing the potential impact of the implementation of the Government Regulation on Natural Resources Export Governance on the Company's financial condition, including but not limited to aspects relating to payment mechanisms, export governance, and other matters that will be further regulated under the prevailing laws and regulations. Considering that the Government Regulation and its implementing regulations have not yet been issued, the Company is not yet able to measure the potential financial impact on the Company's revenue, operating profit, net profit, and cash flow. Dampak terhadap perjanjian kerjasama dengan pelanggan eksisting Perseroan/ The impact on cooperation agreements with the Company's existing customers Perseroan masih melakukan kajian terhadap potensi dampak penerapan PP Tata Kelola Ekspor SDA terhadap pelaksanaan hak dan kewajiban Perseroan berdasarkan perjanjian-perjanjian yang saat ini berlaku dengan pelanggan maupun pihak ketiga lainnya. Sampai dengan saat ini, Perseroan belum dapat melakukan penilaian secara komprehensif mengingat peraturan pemerintah dan peraturan pelaksanaannya belum diterbitkan. The Company is currently still assessing the potential impact of the implementation of the Government Regulation on Natural Resources Export Governance on the execution of the Company's rights and obligations under the agreements currently in effect with customers and other third parties. As of this date, the Company is not yet able to conduct a comprehensive assessment considering that the Government Regulation and its implementing regulations have not yet been issued. Dampak terhadap pemenuhan kewajiban maupun covenant dalam perjanjian pembiayaan Perseroan (jika ada)/ The impact on the fulfillment of obligations and/or covenants under the Company's financing agreements (if any) Perseroan masih melakukan kajian terhadap potensi dampak penerapan PP Tata Kelola Ekspor SDA terhadap kemampuan Perseroan dalam memenuhi kewajiban maupun covenant berdasarkan perjanjian pembiayaan yang berlaku. Kajian tersebut antara lain mempertimbangkan potensi perubahan terhadap aspek penetapan harga, mekanisme pembayaran, tata kelola ekspor serta aspek lainnya yang dapat mempengaruhi kegiatan usaha Perseroan. Sampai dengan saat ini, Perseroan belum dapat melakukan penilaian secara komprehensif mengingat PP Tata Kelola Ekspor SDA dan peraturan pelaksanaannya belum diterbitkan. The Company is currently still assessing the potential impact of the implementation of the Government Regulation on Natural Resources Export Governance on the Company's ability to fulfill its obligations and covenants under the applicable financing agreements. Such assessment includes consideration of potential changes relating to pricing aspects, payment mechanisms, export governance, and other aspects that may affect the Company's business activities. As of this date, the Company is not yet able to conduct a comprehensive assessment considering that the Government Regulation and its implementing regulations have not yet been issued. Dampak lainnya (jika ada)/ Other impacts (if any) Selain hal-hal sebagaimana diuraikan di atas, Perseroan mengantisipasi kemungkinan adanya respons maupun sentimen pasar sehubungan dengan perkembangan kebijakan terkait penerapan PP Tata Kelola Ekspor SDA. Sehubungan dengan hal tersebut, Perseroan berkomitmen untuk senantiasa mematuhi peraturan yang berlaku, menerapkan tata kelola perusahaan yang baik, menjaga keterbukaan informasi, serta memenuhi kebutuhan informasi para pemegang saham dan investor sesuai dengan ketentuan peraturan perundang- undangan yang berlaku. Perseroan akan menyampaikan informasi material lebih lanjut kepada publik apabila terdapat perkembangan yang wajib diungkapkan sesuai dengan ketentuan yang berlaku. In addition to the matters described above, the Company anticipates the possibility of market responses and sentiment in relation to policy developments concerning the implementation of the Government Regulation on Natural Resources Export Governance. In this regard, the Company remains committed to compiying with applicable regulations, implementing good corporate governance, maintaining information transparency, and fulfilling the information needs of shareholders and investors in accordance with the prevailing laws and regulations. The Company will disclose further material information to the public should there be any developments reguired to be disclosed pursuant to the applicable regulations. 3. Strategi Perseroan dalam memitigasi kebijakan Pemerintah tersebut, termasuk rencana tindakan korporasi yang akan dilakukan (jika ada), serta lini masa (timeline) dari rencana tersebut. The Company's strategy in mitigating the Government's policy, including any planned corporate actions (if any), as well as the timeline for such plans. Selain itu, Perseroan terus memantau perkembangan penerbitan regulasi terkait serta secara aktif melakukan komunikasi dan diskusi dengan pelaku usaha di sektor pertambangan batubara melalui Asosiasi Pertambangan Batubara Indonesia (APBI) guna memperoleh pemahaman yang lebih komprehensif mengenai perkembangan regulasi serta potensi implikasinya terhadap industri.
