 RATING ACTION COMMENTARY

Fitch Affirms Hino Finance Indonesia at 'AA+(idn)'; Off Rating
 Watch Evolving; Outlook Stable
 Tue 26 May, 2026 - 12:57 AM ET

Fitch Ratings - Jakarta - 26 May 2026: Fitch Ratings Indonesia has affirmed PT Hino
Finance Indonesia's (HFI) National Long-Term Rating of 'AA+(idn)' and removed the Rating
Watch Evolving (RWE). The Outlook is Stable.

'AA' National Long-Term Ratings denote expectations of a very low level of default risk
relative to other issuers or obligations in the same country or monetary union. The default
risk inherent differs only slightly from that of the country's highest rated issuers or
 obligations.

 KEY RATING DRIVERS

RWE Removal: The removal of the RWE on HFI reflects Fitch's view that the credit profile
of its main shareholder and support provider, Hino Motors, Ltd., has stabilised. HFI's rating
is driven by our expectation of extraordinary support from Hino Motors, if needed, and the
rating is linked to our view of Hino Motors' credit profile.

This follows Hino Motors' recapitalisation by now indirect shareholder Toyota Motor
Corporation (TMC, A+/Stable) in March 2026 and its merger with Mitsubishi Fuso Truck
and Bus Corporation (MFTBC) to form a new holding entity, ARCHION Corporation. This
reduced uncertainty around Hino Motors' ownership and operating structure, while
transaction proceeds were used in part to repay a substantial amount of its debt and reduce
its leverage significantly. Hino Motors has also maintained a strong market position in its
key markets despite past certification issues.

Parent's Ownership Change: Hino Motors and MFTBC became wholly owned subsidiaries
of ARCHION in April 2026. TMC and Daimler Truck AG - MBFTC's previous controlling

shareholder - each own 25% in the new holding company, which is also listed on the Tokyo
Stock Exchange. Hino Motors' credit profile is now solely driven by its standalone credit
profile without any expectation of shareholder support from TMC. ARCHION's limited
financial information precludes Fitch from assessing its credit profile and considering
 shareholder support for Hino Motors.

Shareholder Support Drives Rating: HFI's rating reflects Fitch's expectation that Hino
Motors would provide extraordinary support to its Indonesian financing subsidiary, if
required. This is underpinned by HFI's role as the captive financier for Hino Motors'
commercial vehicle sales in Indonesia, the second largest market for the automaker. It also
reflects the shared branding and ordinary support from Hino Motors to HFI.

Joint Shareholding Structure: HFI is owned by Hino Motors, Ltd. (40%), local conglomerate
PT Indomobil Multi Jasa Tbk (40%) and Summit Global Auto Management B.V. (20%), a
subsidiary of Sumitomo Corporation. This shareholder structure is the same as that of Hino
Motors' distribution company in Indonesia, reflecting the shareholders' established
collaboration and expertise in both local distribution and financing. We view Hino Motors
as HFI's main source of support, given HFI's role as a captive finance company and the
 shared brand.

Adequate Standalone Profile: HFI's rating is not directly driven by its standalone credit
profile, which we view as weaker than its support-driven rating. Even so, we believe HFI has
a strong position in its commercial vehicle financing niche, asset quality above peer average
that compensates for modest profitability, moderate leverage, and adequate funding access
supported by its links to its shareholders.

 RATING SENSITIVITIES

Factors that Could, Individually or Collectively, Lead to Negative Rating
 Action/Downgrade

HFI's rating is sensitive to Hino Motors' ability and propensity to provide extraordinary
support to the subsidiary in times of need. A significant deterioration in Hino Motors'
financial profile could diminish its ability to support its subsidiary and may be negative for
 HFI's rating.

Any weakening in the relationship between Hino Motors and HFI could dilute the parent's
propensity to support its subsidiary and could lead to negative rating action on HFI. This
could result from a material decline in HFI's role and contribution to Hino Motors' overall

business, including a strategic shift within the Hino group, reducing Hino Motors ownership
in HFI, or declining integration between the two entities.

HFI's support-driven rating also depends on Fitch's assessment on Hino Motors' credit
profile. If Fitch is no longer able to reliably assess the parent's credit profile and propensity
to provide support, Fitch may no longer be able to maintain HFI's rating, or the rating could
instead be based on by its standalone credit profile, which may be several notches lower
 than its current rating.

Factors that Could, Individually or Collectively, Lead to Positive Rating Action/Upgrade

An improvement in Hino Motors' credit profile could drive positive rating action on HFI,
provided that the strategic links between Hino Motors and HFI as well as Hino Motors'
propensity to support HFI remain intact.

A closer perceived relationship and stronger integration between Hino Motors and HFI
could also lead to positive rating action on HFI. This may include significant increase in Hino
 Motors' shareholding in HFI.

DEBT AND OTHER INSTRUMENT RATINGS: KEY RATING DRIVERS

The affirmation and removal of the RWE on the programme and bond ratings are driven by
the rating action on HFI's National Long-Term Rating. HFI's rupiah bond programme and
issuance are rated on a par with its National Long-Term Rating, in line with Fitch's criteria.
This is because the instruments represent direct and senior obligations of the company, and
rank equally with all its other senior obligations.

DEBT AND OTHER INSTRUMENT RATINGS: RATING SENSITIVITIES

HFI's local-currency bond programme and instrument ratings will move in tandem with its
 National Long-Term Rating.

In issuing and maintaining its ratings and in making other reports (including forecast
information), Fitch relies on factual information it receives from issuers and underwriters
and from other sources Fitch believes to be credible. Fitch conducts a reasonable
investigation of the factual information relied upon by it in accordance with its ratings
methodology, and obtains reasonable verification of that information from independent
sources, to the extent such sources are available for a given security or in a given
jurisdiction. The manner of Fitch's factual investigation and the scope of the third-party
verification it obtains will vary depending on the nature of the rated security and its issuer,
the requirements and practices in the jurisdiction in which the rated security is offered and
sold and/or the issuer is located, the availability and nature of relevant public information,
access to the management of the issuer and its advisers, the availability of pre-existing
third-party verifications such as audit reports, agreed-upon procedures letters, appraisals,
actuarial reports, engineering reports, legal opinions and other reports provided by third
parties, the availability of independent and competent third- party verification sources with
respect to the particular security or in the particular jurisdiction of the issuer, and a variety
of other factors. Users of Fitch's ratings and reports should understand that neither an
enhanced factual investigation nor any third-party verification can ensure that all of the
information Fitch relies on in connection with a rating or a report will be accurate and
complete. Ultimately, the issuer and its advisers are responsible for the accuracy of the
information they provide to Fitch and to the market in offering documents and other
reports. In issuing its ratings and its reports, Fitch must rely on the work of experts,
including independent auditors with respect to financial statements and attorneys with
respect to legal and tax matters. Further, ratings and forecasts of financial and other
information are inherently forward-looking and embody assumptions and predictions
about future events that by their nature cannot be verified as facts. As a result, despite any
verification of current facts, ratings and forecasts can be affected by future events or
conditions that were not anticipated at the time a rating or forecast was issued or affirmed.
