G PT. SURYAMAS DUTAMAKMUR, Tbk. maka, bersama ini kami, PT Suryamas Dutamakmur Tbk (“Perseroan”), melakukan keterbukaan informasi dan mengumumkan hal- hal sebagaimana diuraikan berikut ini. Tanggal Kejadian: 31 Juli 2024 Jenis Informasi atau Fakta Material: Perseroan menyatakan memang benar terdapat proses negosiasi pengambilalihan dari Top Global Limited (“TGL”) ke PT Bumi Serpong Damai Tbk (“BSDE”) dengan melakukan pembelian saham - saham Perseroan yang dimiliki sejumlah 91,994 (sembilan puluh satu koma sembilan sembilan persen) dari total modal yang disetor dan ditempatkan dalam perseroan dan setelah penyelesaian transaksi pengambilalihan saham tersebut, BSDE akan menjadi pengendali baru perseroan. Negosiasi sehubungan dengan Rencana Pengambilalihan dilakukan secara langsung antara BSDE dengan TGL, dan pada tanggal 31 Juli 2024, BSDE dan TGL telah menandatangani suatu Perjanjian Pembelian Saham Bersyarat sehubungan dengan Rencana Pengambilalihan. Sehubungan dengan penandatanganan Perjanjian Pembelian Saham Bersyarat: (i) Perjanjian Pembelian Saham Bersyarat bersifat bersyarat dan penyelesaian dari Rencana Pengambilalihan akan bergantung pada terpenuhinya syarat dan ketentuan dalam Perjanjian Pembelian Saham Bersyarat, antara lain, terpenuhinya atau dikesampingkannya syarat - syarat tangguh, (il) BSDE dan TGL menyepakati klausula - klausula pengakhiran yang lazim terjadi apabila syarat dan ketentuan dalam Perjanjian Pembelian Saham Bersyarat tidak dipenuhi atau diselesaikan, antara lain, pengakhiran dengan kesepakatan antara TGL dan BSDE secara tertulis, dan pengakhiran karena tidak terpenuhinya beberapa syarat tangguh, dan (iii) Penandatanganan Perjanjian Pembelian Saham Bersyarat belum dapat dianggap telah terjadinya transaksi yang mengakibatkan perubahan pengendalian berdasarkan POJK No. 9/2018 hingga terjadinya penyelesaian Rencana Pengambilalihan sebagaimana diatur dalam we, PT Suryamas Dutamakmur Tbk (the "Company"), hereby disclose and announce the matters as described below. Dat vent: 31 July 2024 of Material Information or Fact: The Company stated that it was true that there is in the process of conducting acguisition negotiations from Top Global Limited (“TGL”) to PT Bumi Serpong Damai Tbk (“BSDE”) by purchasing 91.9996 (ninety-one point nine nine per cent) company shares owned by TGL of the total paid-up and issued capital in company and upon the completion of the share acguisition transaction, BSDE shall become the new controller of the company. Negotiation in relation to the Proposed Acguisition is conducted directly between the BSDE and TGL, and on 31 July 2024, BSDE and TGL entered into @ Conditional Shares Purchase Agreement in relation to the Proposed Acguisition. In connection with the execution of the Conditional Shares Purchase Agreement: () the Conditional — Shares — Purchase Agreement is conditional, and the completion of the Proposed Acguisition will depend on the fulfillment of the terms and conditions in the Conditional Shares Purchase Agreement, among others, the fulfillment or waiver of the conditions precedent: (i) BSDE and TGL agreed on customary termination clauses in the event that the terms and conditions under the Conditional Shares Purchase Agreement are not fulfilled or completed, among others, by mutual agreement by TGL and BSDE in writing, and termination due to non-fulfillment of certain conditions precedent: and (iii) The execution of the Conditional Shares Purchase Agreement shall not be deemed as the occurrence of the transaction that results in the change of control under OJK Regulation No. 9/2018 until the completion of the Proposed Acguisition Plan as stipulated in the Conditional Tel. : (62-21) 5793 6733 (Hunting) Fax. : (62-21) 5793 6730 V Sudirman Plaza Business Complex, Plaza Marein 16" Floor Jl.
