mematuhi semua peraturan yang relevan dan praktik bisnis yang etis. Kebijakan ini mencakup aspek-aspek
seperti kondisi kehidupan yang dapat diterima, anti kerja paksa dan anti pekerja anak, persyaratan upah
hidup minimum serta standar kesehatan dan keselamatan.

Pengangkatan, pemberhentian serta penetapan remunerasi anggota Direksi dan BOC adalah wewenang
para pemegang saham melalui RUPS. Agar pemegang saham mendapatkan kandidat terbaik dan
memberikan remunerasi yang mampu mengoptimalkan kinerja anggota Direksi dan BOC, maka proses
nominasi dan remunerasi anggota Direksi dan BOC dilakukan oleh BOC yang dibantu Komite Nominasi dan
Remunerasi (NRC).
BOC melalui NRC dalam pelaksanaan evaluasi kinerja dan fokus area untuk anggota BOC, yang mana
penilaian kinerja dilakukan 2 (dua) arah yakni penilaian diri sendiri (self-assessment) dan evaluasi oleh
NRC. Kebijakan metode penilaian ditentukan bersama di awal tahun dan bersifat spesifik, terukur, dapat
dicapai dan relevan. Termasuk di dalam indikator evaluasi kinerja BOC adalah fungsi pengawasan
terhadap Direksi atas:
a.Fokus Area Keuangan;
b.Fokus Area Kemitraan Strategis;
c.Fokus Area Indeks Produktivitas;
d. Fokus Area Kepuasan Pelanggan
e. Fokus Area Pengembangan Talenta dan

b.Pernah tidak menyelenggarakan RUPS tahunan
c.Pertanggungjawabannya pernah tidak diterima oleh RUPS atau pernah tidak memberikan
pertanggungjawaban kepada RUPS.
d.Pernah menyebabkan perusahaan yang memperoleh izin, persetujuan, atau pendaftaran dari OJK
tidak memenuhi kewajiban menyampaikan laporan tahunan dan/atau laporan keuangan kepada OJK.
- Memiliki komitmen untuk mematuhi peraturan perundang-undangan.
- Memiliki pengetahuan dan/atau keahlian di bidang yang dibutuhkan Perusahaan
- Memiliki wawasan tertentu yang sesuai dengan kebutuhan strategis Perusahaan kini dan masa depan.

Perusahaan memiliki kebijakan terkait kode etik perusahaan yang tercantum dalam dokumen Code of
Conduct. Perusahaan juga telah mengintegrasikan risiko konflik kepentingan dan penyuapan ke dalam kode
etik dan memasukkannya dalam pelatihan anti penyuapan dan korupsi melalui modul pembelajaran
elektronik. Pendekatan ini memastikan bahwa semua karyawan memahami pentingnya mengelola konflik
kepentingan dan tetap waspada terhadap potensi risiko. Perusahaan juga telah mewajibkan semua
karyawan untuk menandatangani pernyataan konflik kepentingan setiap tahun. Selain itu Perusahaan juga
memiliki dokumen kebijakan terkait Whistleblowing System yang berisi mekanisme pengaduan dengan
berbagai saluran pelaporan.

Direksi menetapkan Kode Etik dengan Surat No.HC-00.01 tanggal 28 Maret 2013. Salah satu pokok dalam

Setiap jajaran manajemen dan karyawan, termasuk Direksi dan BOC wajib mematuhi Kode Etik, peraturan,

The appointment, dismissal and determination of remuneration for members of the Directors and BOC fall
under the authority of shareholders through the GMS. To ensure shareholders secure top-tier candidates
and offer remuneration that maximizes the performance of the members of Directors and BOC, the
nomination and remuneration processes are overseen by the BOC with support from the Nomination and
Remuneration Committee (NRC).
The BOC through the NRC in conducting performance evaluations and area focus of the BOC was
conducted in two ways namely self-assessment and evaluation by the NRC. The self-assessment method is
determined together at the beginning of the year, that is specific, measurable, achievable and relevant.
Included in the BOC performance evaluation indicators is the supervisory function of the Directors:

b. Strategic Partnership Area Focus;
c.Productivity Index Area Focus;
d. Customer Satisfaction Area Focus;

The Company has a policy regarding the code of ethic of the Company, stated in the Code of Conduct
document. The Company also integrated the risk of conflict of interest and bribery into Code of Conduct and
included it in anti bribery and corruption training through e-learning modules. This approach ensure that all
employees understand the importance of managing conflicts of interest and remain alert to potential risks.
The Company has also required all employees to sign a conflict of interest statement every year. In addition,
we also have a policy document related to the Whistleblowing System which contains a grievance
mechanism with multiple reporting channels.

The Directors have established the Code of Ethics as stipulated in the Letter No.HC-00.01, issued on

Code of Ethics, rules, regulations, policies and procedures.
