Uraian Informasi atau Fakta Material .Dalam rangka memenuhi Peraturan Otoritas Jasa Keuangan
No. 31/POJK.04/2015 tanggal 16 Desember 2015 tentang
Keterbukaan atas Informasi atau Fakta Material oleh Emiten
atau Perusahaan Publik, Perusahaan menyampaikan bahwa:
a. Perusahaan melalui anak usahanya, PT Global
Chemindo Megatrading (GCM) bersama dengan Lian SGP
Holding Pte. Ltd. (Lian SGP), anak usaha yang sepenuhnya
dimiliki oleh Livzon Pharmaceutical Group Inc. melakukan
penandatanganan Shareholders Agreement (SHA) dalam
rangka pendirian perusahaan patungan;
b. Penandatanganan SHA dilakukan pada tanggal 29
Juli 2024, GCM dan Lian SGP sepakat untuk mendirikan
perusahaan baru bernama PT Livzon Pharma Indonesia yang
berkedudukan di Jakarta Pusat, bergerak di bidang industri
bahan farmasi aktif dengan investasi awal senilai Rp650 miliar,
serta komposisi modal ditempatkan dan disetor penuh masing-
masing sebesar 80% oleh Lian SGP dan 20% oleh GCM.
Dampak kejadian, informasi atau fakta Kerjasama ini diharapkan dapat memperkuat fokus
material tersebut terhadap kegiatan Perusahaan pada kegiatan produksi bahan aktif farmasi (API)
operasional, hukum, kondisi keuangan, dan bahan farmasi lainnya untuk pasar ekspor, dengan
atau kelangsungan usaha Emiten atau melihat potensi penggunaan pasar domestik di masa
Perusahaan Publik mendatang.

Description of Material Information or In compliance with Indonesia Financial Services Authority
Facts Regulation No. 31/POJK.04/2015 dated December 16, 2015,
regarding Disclosure of Information or Material Facts by the
Issuer or a Listed Company, the Company hereby announces
that:
a. Company through its subsidiary, PT Global Chemindo
Megatrading (GCM) together with Lian SGP Holding Pte. Ltd.
(Lian SGP), a wholly owned subsidiary of Livzon
Pharmaceutical Group Inc. signing a Shareholders Agreement
(SHA) in the context of establishing a joint venture;
b. The SHA signing was carried out on the date July 29,
2024, GCM and Lian SGP agreed to establish a new company
called PT Livzon Pharma Indonesia based in Central Jakarta,
operates in the manufacturing of active pharmaceutical
ingredients with an initial investment of IDR 650 billion, as well
as composition capital placed and fully paid each as big as
80% by Lian SGP and 20% by GCM.
Impact of event, material information or This collaboration is expected to strengthen the Company's
facts towards Issuers or Public focus on the production of active pharmaceutical ingredients
Company’s operational activities, legal, (API) and other pharmaceutical ingredients for the export
financial condition, or going concern market, by looking at the potential for use in the domestic
market in the future.
