Uraian Informasi atau Fakta Material 1. Tanggal Kejadian: 22 Mei 2026.
2. Jenis Informasi atau Fakta Material: Penggabungan Usaha
PT Perusahaan Perkebunan Panigoran (Panigoran) dengan
dan ke dalam Perseroan (selanjutnya disebut Penggabungan).
3. Uraian Informasi atau Fakta Material: Sehubungan dengan
rencana Penggabungan sebagaimana diungkapkan dalam
Ringkasan Rancangan Penggabungan Usaha yang
diumumkan tanggal 30 Maret 2026 serta Ringkasan
Perubahan dan/atau Tambahan Informasinya yang
diumumkan tanggal 20 Mei 2026, bersama ini kami
informasikan bahwa Penggabungan telah menjadi efektif, di
mana:
a. Penggabungan telah disetujui oleh:
- Pemegang Saham Perseroan sebagaimana
tercantum dalam Berita Acara Rapat Umum Pemegang
Saham Luar Biasa Perseroan tanggal 22 Mei 2026 No. 41
yang dibuat oleh Sri Hidianingsih Adi Sugijanto, S.H., notaris di
Jakarta; dan
- Pemegang Saham Panigoran sebagaimana
tercantum dalam Akta Pernyataan Keputusan Pemegang
Saham Panigoran No. 42 tanggal 22 Mei 2026 yang dibuat
oleh Sri Hidianingsih Adi Sugijanto, S.H., notaris di Jakarta.
b. Perseroan dan Panigoran telah menandatangani Akta
Penggabungan No. 43 tanggal 22 Mei 2026, yang dibuat oleh
Sri Hidianingsih Adi Sugijanto, S.H., notaris di Jakarta, dan
Akta tersebut telah diberitahukan kepada Menteri Hukum
Republik Indonesia (Menkum) dan telah diterima oleh Menkum
melalui Surat Penerimaan Pemberitahuan Penggabungan
Perseroan No. AHU-AH.01.09-0292302 tanggal 25 Mei 2026.
Pihak-pihak yang bertransaksi: Perseroan dan Panigoran.
Hubungan Antara Pihak-pihak yang Bertransaksi: Panigoran
merupakan entitas anak Perseroan yang dimiliki sebesar 100
persen.
Nilai Transaksi: Tidak terdapat nilai transaksi terkait
Penggabungan.
Tujuan Transaksi: Tujuan Penggabungan secara lengkap telah
disampaikan dalam Ringkasan Rancangan Penggabungan
Usaha.
Tata cara pengalihan saham: Tidak terdapat pengalihan
saham, sehubungan Perseroan memiliki 100 persen saham
yang ditempatkan dan disetor penuh atas Panigoran.
Dampak kejadian, informasi atau fakta Penggabungan tidak mengakibatkan perubahan atas struktur
material tersebut terhadap kegiatan permodalan, susunan Direksi dan Dewan Komisaris, Anggaran
operasional, hukum, kondisi keuangan, Dasar Perseroan, kondisi keuangan, visi dan misi, serta
atau kelangsungan usaha Emiten atau strategi bisnis Perseroan sehingga tidak menimbulkan dampak
Perusahaan Publik material yang merugikan terhadap kegiatan operasional,
hukum, kondisi keuangan, dan kelangsungan usaha
Perseroan.

Description of Material Information or 1. Date of Event: 22 May 2026.
Facts
2. Type of Material Fact or Information: The Merger between
PT Perusahaan Perkebunan Panigoran (Panigoran) with and
into the Company (hereinafter referred to as the Merger).
3. Description of Material Fact of Information: In connection
with the Merger plan as disclosed in the Abridged Merger Plan
announced on 30 March 2026 and its Amendments and/or
Additional Information announced on 20 May 2026, we
herewith convey that the Merger has been effective, as
detailed below:
a. The Merger has been approved by:
- The Shareholders of the Company as stated in the
Deed of Minutes of the Extraordinary General Meeting of
Shareholders of the Company dated 22 May 2026 No. 41,
made before Sri Hidianingsih Adi Sugijanto, S.H., notary in
Jakarta; and
- Shareholders of Panigoran as stated in the Deed of
Statement of Resolution of Shareholders of Panigoran No. 42
dated 22 May 2026, made before Sri Hidianingsih Adi
Sugijanto, S.H., Notary in Jakarta.
b. The Company and Panigoran have signed the Merger Deed
No. 43 dated 22 May 2026, made before Sri Hidianingsih Adi
Sugijanto, S.H., Notary in Jakarta, and the Deed has been
notified to the Ministry of Law of the Republic of Indonesia
(MOL) and has been accepted by the MOL through the
Company Merger Notification Acceptance Letter No. AHU-AH.
01.09-0292302 dated 25 May 2026.
Parties Involved in the Transaction: The Company and
Panigoran.
Relationship Among the Parties: Panigoran is a wholly owned
subsidiary of the Company.
Value of Transaction: There is no transaction value associated
with the Merger.
Purpose of Transaction: The purpose of the Merger has been
fully disclosed in the Abridged Merger Plan.
Procedures for Transferring Shares: There is no transfer of
shares, as the Company holds 100 percent of the issued and
fully paid shares of Panigoran.
Impact of event, material information or The Merger will not result in any changes to the Company
facts towards Issuers or Public capital structure, membership of the Board of Directors and the
Company’s operational activities, legal, Board of Commissioners, Articles of Association, financial
financial condition, or going concern condition, vision and mission, as well as business strategy,
therefore there is no material impact on the Company
operational activities, legal status, financial condition, and
business continuity.
