Uraian Informasi atau Fakta Material Pada tanggal 7 September 2026, Perseroan dan PT Nextier
Datamate Center (NDC) telah menandatangani akta
pengambilalihan saham, dimana Perseroan mengambilalih
seluruh saham yang dimiliki oleh NGC pada PT Nextier Askara
Center (NAC) dan PT Nextier GenAi Center (NGC).
Penandatanganan akta pengambilalihan saham tersebut
dilakukan sebagai pelaksanaan penyelesaian transaksi
pengambilalihan NAC dan NGC oleh Perseroan sesuai
transaksi yang diuraikan dalam Keterbukaan Informasi
Perseroan tanggal 28 Juli 2026, sebagaimana diubah dengan
Perubahan dan/atau Tambahan Informasi atas Keterbukaan
Informasi tanggal 3 September 2026.
Dampak kejadian, informasi atau fakta Sehubungan dengan telah ditandatanganinya akta
material tersebut terhadap kegiatan pengambilalihan saham NAC dan NGC oleh Perseroan,
operasional, hukum, kondisi keuangan, seluruh saham NDC pada NAC dan NGC telah efektif beralih
atau kelangsungan usaha Emiten atau kepada Perseroan dan Perseroan telah efektif menjadi
Perusahaan Publik pemegang saham NAC dan NGC

Description of Material Information or On 7 September 2026, the Company and PT Nextier
Facts Datamate Center (NDC) executed a deed of acquisition of
shares, pursuant to which the Company acquired all shares in
PT Nextier Askara Center (NAC) and PT Nextier GenAi Center
(NGC) owned by NDC. The execution of the deed of
acquisition of shares was carried out as the implementation of
the completion of the transaction for the acquisition of NAC
and NGC by the Company, pursuant to the transaction
described in the Disclosure of Information dated 28 July 2026,
as amended by the Amendment and/or Addition of Information
of the Disclosure of Information dated 3 September 2026
Impact of event, material information or Following the execution of the deed of acquisition of shares in
facts towards Issuers or Public NAC and NGC by the Company, all shares held by NDC in
Company’s operational activities, legal, NAC and NGC have been effectively transferred to the
financial condition, or going concern Company, and the Company has effectively become the
shareholder of NAC and NGC.
