Pada tanggal 16 Juli 2024, Perseroan menandatangani sebuah Perjanjian Usaha
Patungan dengan PT Rajawali Perak Mulia, sebuah perseroan terbatas
berkedudukan di Jakarta Pusat (“RPM”), untuk membentuk usaha patungan dengan
nama PT Wintermar Rajawali Asia (“Perusahaan Patungan”), berkedudukan di
Jakarta Barat yang akan bergerak di bidang usaha pelayaran dengan fokus pada
kepemilikan, pengoperasian dan persewaan kapal penunjuang kegiatan angkutan
lepas pantai bagi industri minyak dan gas bumi.
Adapun struktur kepemilikan saham pada Perusahaan Patungan adalah dimiliki
Perseroan sebesar 5096 dan RPM memiliki 5094.
Perusahaan Patungan ini dibentuk untuk mengembangkan dan meningkatkan
keahlian Perseroan dalam kepemilikan dan pengoperasian kapal pada segmen
accomodation working barge untuk mendukung sektor pelayaran pada industri
minyak dan gas bumi.
PT Rajawali Perak Mulia tidak terafiliasi dengan Perseroan./
On 16 July 2024, the Company signed a Joint Venture Agreement with PT Rajawali
Perak Mulia, a limited liability company domiciled in Central Jakarta ("RPM"), to enter
into a joint venture in the form of the company to be named PT Wintermar Rajawali
Asia( “Joint Venture Company”)., domiciled in West Jakarta, which will operate in the
shipping sector with a focus on owning, operating and chartering vessels supporting
offshore transportation activities for the oil and gas industry.
The share ownership in the Joint Venture Company is 5096 held by the Company and
509 held by RPM.
This Joint Venture Company was formed to develop and improve the Company's
expertise in owning and operating vessels in the accommodation work barge segment
to support the shipping sector in the oil and gas industry.
PT Rajawali Perak Mulia is not affiliated to the Company.

does not have a material impact on the operational activities, law, financial condition
or business continuity of the Company.
