Perseroan telah melakukan penandatanganan addendum terhadap
Perihal
Kesepakatan Akuisisi Saham PT Laxo Global Akses. Dalam addendum
tersebut pada intinya menyepakati terkait rencana Perseroan untuk melakukan
peningkatan kepemilikan saham di PT Laxo Global Akses dari yang

Jenis Informasi atau Fakta Material Perseroan telah melakukan penandatanganan addendum
terhadap Kesepakatan Akuisisi Saham PT Laxo Global
Akses. Dalam addendum tersebut pada intinya menyepakati
terkait rencana Perseroan untuk melakukan peningkatan
kepemilikan saham di PT Laxo Global Akses dari
yang sebelumnya disepakati hanya sebesar 60%, kemudian
dalam addendum ini disepakati menjadi sebesar 90%
(sembilan puluh persen).
Uraian Informasi atau Fakta Material a. PT Laxo Global Akses merupakan perusahaan
penyedia layanan Internet Service Provider (ISP)
berkedudukan di Jakarta Pusat, dan berkantor pusat di
Komplek Ruko Harco Mangga Dua Blok G nomor 9 ;
b. Perseroan telah melakukan akuisisi atas sebagian
kepemilikan saham di PT Laxo Global Akses dan kepemilikan
Perseroan saat ini adalah sebesar 8,5%, adapun melalui
addendum kesepakatan tersebut telah disepakati kembali
rencana Perseroan untuk melakukan peningkatan
kepemilikan saham di PT Laxo Global Akses menjadi sebesar
90% ;
c. Peningkatan kepemilikan saham di PT Laxo Global
Akses menjadi sebesar 90% rencananya dilakukan melalui
penambahan setoran modal.

Dampak kejadian, informasi atau fakta Dengan memiliki kendali atas penyedia akses internet,
material tersebut terhadap kegiatan Perseroan dapat menawarkan paket bundling atau fasilitas
operasional, hukum, kondisi keuangan, smart connectivity yang lebih kompetitif di proyek-proyek
atau kelangsungan usaha Emiten atau properti Perseroan. Hal ini akan meningkatkan daya tarik
Perusahaan Publik properti bagi pembeli dibandingkan kompetitor yang hanya
menawarkan unit.
Sinergi ini akan memperkuat strategi Perseroan dalam
membangun arus pendapatan berulang (recurring income)
yang sangat krusial untuk stabilitas keuangan Perseroan
ditengah volatilitas di sektor properti.
Outlook kinerja keuangan PT Laxo Global Akses yang terus
bertumbuh diharapkan dapat memberikan kontribusi revenue
maupun hasil investasi kepada Perseroan yang memiliki
saham mayoritas.
PT Laxo Global Akses menargetkan untuk memperluas
daerah operasional dari yang saat ini ada di 30 kota besar di
Indonesia ke kota-kota lainnya sehingga berpotensi
menambah jumlah pelanggan korporasi yang sekarang sudah
lebih dari 100 dan instansi pemerintah serta pelanggan retail
yang saat ini sudah mencapai angka diatas 10.000.

The Company has signed an addendum to the Share
Type of Material Information or Facts Acquisition Agreement for PT Laxo Global Akses. The
addendum essentially formalizes the Company's plan to
increase its shareholding in PT Laxo Global Akses from the
previously agreed 60% to 90% (ninety percent).
Description of Material Information or a. PT Laxo Global Akses is an Internet Service Provider
Facts (ISP) company domiciled in Central Jakarta, with its head
office located at Komplek Ruko Harco Mangga Dua, Block G,
No. 9;
b. The Company has acquired a portion of the shares in
PT Laxo Global Akses, and the Companys current
shareholding stands at 8.5%; furthermore, through an
addendum to the agreement, the Companys plan to increase
its shareholding in PT Laxo Global Akses to 90% has been
reaffirmed;
c. The planned increase in shareholding in PT Laxo
Global Akses to 90% is to be effected through an additional
capital injection.

exceeds 100 corporate and government clients and over
10,000 retail customers.
