Uraian Informasi atau Fakta Material Pada tanggal 29 Desember 2023, PT Kioson Komersial
Indonesia Tbk. (Perseroan) telah menambah kepemilikannya
pada PT Retail Kita Indonesia dengan melakukan konversi
hutang menjadi modal sebanyak 14.000 lembar saham
(nominal Rp1.000.000,- per saham) PT Retail Kita Indonesia
dengan nilai transaksi sebesar Rp14.000.000.000,- atau
11,86% dari total modal disetor dan ditempatkan PT Retail Kita
Indonesia setelah peningkatan modal.
Setelah konversi ini maka kepemilikan saham Perseroan pada
PT Retail Kita Indonesia menjadi 99,9992% dari total modal
disetor dan ditempatkan PT Retail Kita Indonesia.
Dampak kejadian, informasi atau fakta Saat ini belum ada dampak material terhadap kegiatan
material tersebut terhadap kegiatan operasional, hukum, kondisi keuangan atau kelangsungan
operasional, hukum, kondisi keuangan, usaha Perseroan,
atau kelangsungan usaha Emiten atau
Perusahaan Publik Kedepannya, Transaksi ini diharapkan akan berdampak pada
peningkatan kegiatan bisnis Perseroan.
Informasi Lain
Transaksi ini bukan Transaksi Material sebagaimana Peraturan OJK No.17/POJK.04/2020 tanggal 20 April 2020 tentang
Transaksi Material dan Perubahan Kegiatan Usaha dan juga bukan merupakan Transaksi Afiliasi sebagaimana dalam
Peraturan OJK No.42/POJK.04/2020 tanggal 1 Juli 2020 tentang Transaksi Afiliasi dan Transaksi Benturan Kepentingan
Transaksi.

Description of Material Information or On December 29, 2023, PT Kioson Commercial Indonesia
Facts Tbk. (the Company) has increased its ownership in PT Retail
Kita Indonesia by converting debt into capital of 14,000 shares
(nominal IDR 1,000,000 per share) of PT Retail Kita Indonesia
with a transaction value of IDR 14,000,000,000 or 11.86% of
the total paid-up and issued capital of PT Retail Kita Indonesia
after the capital increase.
After this conversion, the Company's share ownership in PT
Retail Kita Indonesia will be 99.9992% of the total paid-up and
issued capital of PT Retail Kita Indonesia.
Impact of event, material information or there is no material impact on the Company's operational,
facts towards Issuers or Public legal, financial condition or business continuity.
Company’s operational activities, legal,
financial condition, or going concern In the future, this transaction is expected to have an impact on
increasing the Company's business activities.
Other Information
This Transaction is not a Material Transaction as per OJK Regulation No.17/POJK.04/2020 dated April 20, 2020
concerning Material Transactions and Changes in Business Activities and is also not an Affiliate Transaction as
stated in OJK Regulation No.42/POJK.04/2020 dated July 1, 2020 concerning Affiliate Transactions and
Transaction Conflicts of Interest.
