Description

Pada tanggal 8 Juli 2024, Perseroan bersama
dengan PT PLN Nusantara Power (“PLN NP”)
selaku konsorsium (“Konsorsium”), telah
menandatangani suatu Novasi Perjanjian Jual Beli
Listrik dengan PLN Batam dan PT Nusantara
Tembesi Baru Energi (“NTBE”), selaku
perusahaan proyek sehubungan dengan Penyedia
Listrik Tenaga Surya Terapung Tembesi 46 MWp
(“Novasi PJBL”).

On 8 July 2024, the Company together with
PT PLN Nusantara Power ("PLN NP") as a
consortium (“Consortium”), has signed a Novation
of Power Purchase Purchase Agreement with PLN
Batam and PT Nusantara Tembesi Baru Energi
("NTBE"') as the project company in relation to 46
MWp Tembesi Floating Solar Power Supply
("Novation of PPA").

Novasi PJBL ini merupakan tindak lanjut dari
penandatanganan Perjanjian Jual Beli Listrik
antara Konsorsium dan PLN Batam sehubungan
dengan Penyedia Listrik Tenaga Surya Terapung
Tembesi 46 MWp (“PJBL”) yang telah dilaporkan
oleh Perseroan kepada Otoritas Jasa Keuangan
(OJK) dan diumumkan kepada masyarakat pada
tanggal 15 Februari 2024. Lebih lanjut pendirian
NTBE selaku perusahaan proyek juga telah
dilaporkan oleh Perseroan ke OJK dan diumumkan
kepada masyarakat pada tanggal 16 April 2024.
This Novation of PPA is a follow-up to the signing
of the Power Purchase Agreement between the
Consortium and PLN Batam in relation to the 46
MWp Tembesi Floating Solar Power Supply
("PPA") which has been reported by the Company
to Financial Services Authority (OJK) and
announced to the public on 15 February 2024.
Furthermore, the establishment of NTBE as the
project company has also been reported by the
Company to OJK and announced to the public on
16 April 2024.

Dengan telah dilakukannya Novasi PJBL, maka
PJBL telah berlaku efektif dan semua hak beserta
kewajiban sebagaimana diatur dalam PJBL
seluruhnya beralih dari Konsorsium kepada NTBE
selaku perusahaan proyek.

With the Novation of PPA, the PPA has become
effective and all rights and obligations as stipulated
in the PPA are entirely transferred from the
Gansartium to NTBE as the project company,

Penandatanganan Novasi PJBL ini diharapkan
akan memberikan kontribusi positif kepada
kegiatan operasional, kondisi keuangan dan
kelangsungan usaha Perseroan. Tindakan
Perseroan untuk menandatangani Novasi PJBL ini
merupakan salah satu upaya Perseroan secara
grup untuk melakukan pengembangan usaha
dalam sektor kegiatan usaha ramah lingkungan,
sejalan dengan tujuan untuk mencapai target
netralitas karbon di tahun 2030. Secara jangka
panjang, penandatanganan Novasi PJBL ini akan
memperkuat kondisi keuangan Perseroan.

The signing of this Novation of PPA is expected will
make a positive contribution to the Company's
operational activities, financial condition and
business continuity. The Company's action to sign
this PPA Novation is one of the Company's group
efforts to expand its business in the
environmentally friendly business activities sector,
in line with the goal of achieving carbon neutrality
targets by 2030. In the long term, the signing of this
Novation of PPA will strengthen the Company's
financial condition.
