   3.1 Berdasarkan Akta Pendirian No. 61 tanggal 28 Juni 2024 yang dibuat di hadapan Haji
       Ade Adriansyah, Notaris di Bekasi dengan lampiran keputusan Menteri Hukum dan
       Hak Asasi Manusia Republik Indonesia No. AHU-0047961.AH.01.01.TAHUN 2024
       tanggal 2 Juli 2024, telah dibentuk entitas anak Perusahaan, yaitu sebagai berikut:

         Based on the deed No. 61 dated June 28th, 2024 made by Haji Ade Adriansyah,
         Notary in Bekasi with the attachment to the Decree of the Minister of Law and
         Human Rights of the Republic of Indonesia No. AHU-0047961.AH.01.01.TAHUN 2024
         dated on July 2nd, 2024, a subsidiary entity has been established as follows:

  v.      Pemegang Saham:
         PT Urban Jakarta Komersial Rp 2.475.000.000 (dua miliar empat ratus tujuh
          puluh lima juta Rupiah) atau setara dengan 99% saham
         PT Urban Jakarta Propertindo Tbk Rp 25.000.000 (dua puluh lima juta Rupiah)
          atau setara dengan 1% saham

          Shareholders:
         PT Urban Jakarta Komersial IDR2,475,000,000 (two million four hundred
          seventy-five million Rupiah) or the equivalent of 99% shares
         PT Urban Jakarta Propertindo Tbk IDR25,000,000 (twenty-five million Rupiah) or
          the equivalent of 1% shares

  vi.      Alasan dilakukan pembentukan entitas anak Perusahaan adalah untuk
           menunjang kegiatan usaha Perseroan.

           The reason for establishing a subsidiary is to support the Company's business
           activities.

4. Dampak kejadian, informasi atau fakta material tersebut terhadap kegiatan operasional,
   hukum, kondisi keuangan, atau kelangsungan usaha Emiten atau Perseroan Publik /
   Effect of the said event, material information or facts to the operational activities legal,
   financial condition or business continuity of the issuer or Public Company.

         Fakta Material tersebut di atas tidak berdampak negatif terhadap kegiatan
          operasional, hukum, kondisi keuangan atau kelangsungan usaha Perseroan.

            The Material Facts stipulated above do not have any negative impacts on the
            operational activities, legal, financial condition, or business continuity of the
            Company.
