Hal : Keterbukaan Informasi Sehubungan dengan Transaksi Pinjaman kepada Afiliasi
Dengan hormat,
Dalam rangka memenuhi ketentuan Pasal 4 ayat 1 huruf b Peraturan Otoritas Jasa Keuangan
POJK No. 42/POJK.04/2020 tentang Transaksi Afiliasi dan Transaksi Benturan Kepentingan.
Dengan ini PT TEMAS Tbk. (“Perseroan”) menyampaikan keterbukaan informasi sehubungan dengan
ditandatanganinya perjanjian pinjaman dengan Pemegang Saham pada tanggal 1 Juli 2024 sebagai
berikut:
1. Sebagaimana telah disetujui dalam Agenda Pertama Rapat Umum Pemegang Saham Luar
Biasa (“RUPSLB”) yang diselenggarakan pada tanggal 27 Maret 2024, Perseroan beserta
entitas anaknya berencana untuk membeli barang modal/capex dalam rangka meningkatkan
kapasitas usaha Perseroan & Entitasnya.
2. Bahwa Perseroan telah menandatangani perjanjian pinjaman dengan PT Temas Lestari
dengan plafon pinjaman maksimal sebesar Rp 300.000.000.000,- (tiga ratus miliar Rupiah)
untuk jangka waktu sampai dengan tanggal 31 Desember 2025.
3. Plafon pinjaman tersebut tidak melebihi 20% ekuitas Perseroan berdasarkan laporan
keuangan tahun buku 2023.
4. Adapun tujuan pinjaman dari pemegang saham utama Perseroan ini adalah untuk
mendukung strategic planning Perseroan guna meningkatkan kapasitas usaha, yang mana
dana yang diterima Perseroan akan digunakan untuk pembelian capex, dan akan
dikembalikan oleh Perseroan secara bertahap atau keseluruhan.
Demikian informasi ini kami sampaikan sesuai dengan Peraturan Otoritas Jasa Keuangan POJK
No. 42/POJK.04/2020 tentang Transaksi Afiliasi dan Transaksi Benturan Kepentingan. Atas

Subject: Disclosure of Information Regarding Loan Transactions to Affiliates
Dear Sir/Madam,
In order to comply with the provisions of Article 4 paragraph 1 letter b of the Financial Services
Authority Regulation No. 42/POJK.04/2020 concerning Affiliated Transactions and Conflict of Interest
Transactions, PT TEMAS Tbk. (“the Company”) hereby discloses information regarding the signing of
a loan agreement with the Shareholders on July 1, 2024, as follows:
1. As approved in the First Agenda of the Extraordinary General Meeting of Shareholders
("EGMS") held on March 27, 2024, the Company and its subsidiaries plan to purchase capital
goods/capex to increase the business capacity of the Company and its Entities.
2. The Company has signed a loan agreement with PT Temas Lestari with a maximum loan limit
of IDR 300,000,000,000 (three hundred billion Rupiah) for the period until December 31,
2025.
3. This limit does not exceed 20% of the Company’s equity based on the financial statements
for the 2023 fiscal year.
4. The purpose of the loan from the Company’s major shareholder is to support the Company’s
strategic planning to increase business capacity. The funds received by the Company will be
used for capex purchases and will be returned by the Company in stages or in full.
This information is provided in accordance with the Financial Services Authority Regulation
No. 42/POJK.04/2020 concerning Affiliated Transactions and Conflicts of Interest Transactions.
