Uraian Informasi atau Fakta Material Dalam rangka memenuhi Peraturan Otoritas Jasa Keuangan
No. 42/POJK.04/2020 tanggal 01 Juli 2020 tentang Transaksi
Afiliasi dan Transaksi Benturan Kepentingan, Perusahaan
menyampaikan bahwa telah dilaksanakan transaksi dimana
PT Barclay Products, entitas anak Perusahaan dengan
kepemilikan sebesar 99,999% telah melakukan pembelian
atas 20.000 saham atau setara dengan 80,00% dengan nilai
nominal masing-masing sebesar Rp 1.000.000, saham yang
ditempatkan dan disetor dalam PT Tempo Scan Industry,
dahulu bernama PT Tempo Merah Putih (selanjutnya disebut
TSI) dari PT Bogamulia Nagadi (selanjutnya disebut BMN)
dengan nilai transaksi sebesar Rp 20.080.000.000
(selanjutnya disebut Transaksi Pembelian I) dan pembelian
atas 4.999 saham atau setara dengan 19,996%, dengan nilai
nominal masing-masing saham sebesar Rp 1.000.000, saham
yang ditempatkan dan disetor dalam TSI dari Perusahaan
dengan nilai transaksi sebesar Rp 5.018.996.000 (selanjutnya
disebut Transaksi Pembelian II) Transaksi Pembelian I dan
Transaksi Pembelian II selanjutnya secara bersama-sama
disebut Transaksi.
Dampak kejadian, informasi atau fakta Transaksi ini tidak memiliki dampak secara material dan
material tersebut terhadap kegiatan signifikan atas kegiatan operasional, hukum, kondisi

Description of Material Information or In order to comply with Financial Services Authority Regulation
Facts No. 42/POJK.04/2020 dated July 1, 2020 concerning Affiliate
Transactions and Conflict of Interest Transactions, the
Company conveyed that a transaction had been carried out
where PT Barclay Products, a subsidiary of the Company with
99.999% ownership, had purchased 20,000 shares or
equivalent to 80.00% with a nominal value of Rp1,000,000
each, shares placed and paid up in PT Tempo Scan Industry,
formerly known as PT Tempo Merah Putih (hereinafter referred
to as TSI) from PT Bogamulia Nagadi (hereinafter referred to
as BMN) with a transaction value of Rp20,080,000,000
(hereinafter referred to as Purchase Transaction I) and the
purchase of 4,999 shares or equivalent to 19.996%, with a
nominal value of Rp1,000,000 each, shares placed and paid
up in TSI from the Company with a transaction value of Rp
5,018,996,000 (hereinafter referred to as Purchase
