B. Uraian mengenai Transaksi Afiliasi dan Transaksi material
1) Transaksi Afiliasi
Perseroan tidak wajib melakukan prosedur Transaksi
Afiliasi sebagaimana dimaksud dalam Pasal 3 POJK-42
serta tidak wajib memenuhi ketentuan sebagaimana
dimaksud dalam Pasal 4 ayat (1) POJK-42 karena
transaksi tersebut termasuk dalam kategori Transaksi
Afiliasi yang dikecualikan oleh Pasal 6 ayat (1) huruf e
POJK-42.

Transaksi Material
Perseroan tidak wajib melakukan prosedur Transaksi
Material sebagaimana dimaksud dalam Pasal 6 ayat (1)
huruf a POJK-17 dan memperoleh persetujuan RUPS
sebagaimana dimaksud dalam Pasal & ayat (1) huruf d
POJK-17 terkait transaksi pemberian jaminan kepada
Bank oleh Perseroan atas pinjaman kredit ISA karena
termasuk dalam kategori Transaksi Material yang
dikecualikan oleh Pasal 11 huruf c POJK-17.
Transaksi ini mengwajibkan untuk melakukan keterbukaan
informasi.
C. Penjelasan, pertimbangan dan alasan dilakukannya
transaksi
Transaksi pemberian jaminan ini bertujuan untuk memenuhi
persyaratan dalam Perjanjian Kredit serta menjamin
pembayaran seluruh pokok, bunga dan kewajiban lainnya
atas pinjaman kredit ISA yang akan digunakan untuk
keperluan belanja modal Perseroan dalam melaksanakan
kegiatan usahanya.
A: Name of the party conducting the transactlon and relationship with the company:
1) PT Intan Sejati Andalan (“ISA”)
A limited company established under and based on the laws of Indonesian
state, domiciled in Medan, is a subsidiary of the entity PT Mutiara Unggul
Lestari ("MUL") (a subsidiary of the Company), with share ownership of 99.296.
2) PT Mahkota Group Tbk (“Company”)
The majority shareholder of MUL (9256) and ISA controller.
3) PT Bank Mandiri Tbk (“Bank”)
Neither the Company nor MUL and ISA have any affiliation with the Bank, as
reerred to in the Capital Market Law (law Number 8 of 1995 concerning
Capital Market).
B. Destription of Affilate Transactions and material Transactions
1) Transaksi Afillasi
The Company is not obliged to carry out Affiliate Transaction procedures as
intended in Article 3 POIK-42 and Is not obliged to fulfill the provisions as
intended in Article 4 paragraph (1) POIK-42 because the transaction is included
in the Affiliate Transaction category which is excluded by Article 6 paragraph
(1) letter e POIK-42:

intended in Article 6 paragraph (1) letter a POIK-17 and obtain GMS approval

Explanation, considerations and reason for the transaction This guarantee transaction aims to fulfill the reguirements in the Credit Agreement and to guarantee payment of all principal, interest and other obligations on ISA credit loans which will be used for the Company's capital expenditure purposes in carrying out its business activities.
