Description of Material No. 061/LGC-DOC/CAP/III/2024 tanggal 19 Maret 2024 dan (ii)
Information or Facts Surat No. 099/LGC-DOC/CAP/V/2024 tanggal 7 Mei 2024.

Pada tanggal 28 Juni 2024, Perseroan dan PT Chandra
Pelabuhan Nusantara (“CPN”) telah menandatangani Akta
Pemisahan Unit Usaha Pelabuhan, Dermaga, dan Fasilitas
Penyimpanan, yang dibuat di hadapan Jose Dima Satria, S.H,
M.Kn., Notaris di Jakarta Selatan (“Akta Pemisahan”).
Transaksi ini berlaku efektif pada tanggal 1 Juli 2024 dan:
a) sesuai dengan Peraturan OJK No. 42/POJK.04/2020 tentang
Transaksi Afiliasi dan Transaksi Benturan Kepentingan
(“POJK 42”), Perseroan akan menyampaikan laporan
kepada OJK 2 hari kerja sejak tanggal Akta Pemisahan ini.
b) transaksi ini bukan merupakan transaksi benturan
kepentingan sebagaimana dimaksud dalam POJK 42.
c) transaksi ini bukan merupakan Transaksi Material
sebagaimana dimaksud dalam Peraturan OJK No.
17/POJK.04/2020 tentang Transaksi Material dan
Perubahan Kegiatan Usaha. /
This report is a continuation of the Report on Material
Information or Facts that we have previously announced based
on: (i) Letter No. 061/LGC-DOC/CAP/III/2024 dated 19 March
2024 and (ii) Letter No. 099/LGC-DOC/CAP/V/2024 dated 7 May
2024.
On 28 June 2024, the Company and PT Chandra Pelabuhan
Nusantara (“CPN”) signed the Deed of Spin-Off of Jetty, Tank,
and Farm Facility Business Unit, drawn up before Jose Dima
Satria, S.H, M.Kn., Notary in South Jakarta (“Spin-off Deed”).
This transaction is effective on 1 July 2024 and:
a) in accordance with OJK Regulation No. 42/POJK.04/2020
concerning Affiliate Transaction and Conflict of Interest
Transaction ("POJK 42"), the Company will submit a report
to OJK 2 business days since the date of Spin-off Deed.
b) this transaction is not constitute as conflict-of-interest
transaction under POJK 42.
c) this transaction is not constitute as Material Transaction
under OJK Regulation No. 17/POJK.04/2020 concerning
Material Transaction and Changes in Business Activities.
4. Dampak kejadian, informasi : Pemisahan unit usaha diharapkan dapat memberikan beberapa
atau fakta material tersebut manfaat, antara lain:
terhadap kegiatan 1) Optimalisasi pengelolaan aset oleh CPN;
operasional, hukum, kondisi 2) Akselerasi dan diversifikasi pengembangan usaha oleh CPN;

kelangsungan usaha Emiten 3) Potensi kerja sama strategis dan sinergis oleh CPN untuk

The Business Unit Spin-off is expected to provide several

CPN;

create added value for CPN and the Company group and
attain business opportunities; and
4) The creation of asset management optimization, business
acceleration and development, as well as the potential for
strategic cooperation are expected to be able to improve
financial performance and create added value for
shareholders as the ultimate goal.
