MANAGEMENT FEE AGREEMENT This Agreement, made and entered into this day, Monday, 1"' day of July 2024 by and between : L PT MK PRIMA INDONESIA, a corporation duly organized and existing under the laws of the Republic of Indonesia, with its registered office at Jl. Mayjen Sungkono 16, Gresik, in this matter represented by Wiranto Nurhadi, as President Director, therefore lawfully represents the Board of Directors, act for and on behalf of ' PT MK PRIMA INDONESIA (hereinafter was called as the “First Party”), II. PT INDOSPRING Tbk., a corporation duly organized and existing under the laws of Republic of Indonesia, with its registered office at Jl. Mayjend Sungkono 10 Gresik, Indonesia, in this matter represented by Lioe Cu Ling, as Vice President Director, therefore lawfully represents the Board of Directors, act for and on behalf of PT INDOSPRING Tbk. (hereinafter was called as the “Second Party”), The First Party and Second Party explain in advance : WHEREAS, the Second Party has experience, knowledge and expertise in the scope of Management, and both parties intend to bind themselves under Management Fee Agreement in which the Second Party shall provide management assistance to the First Party. In consideration of the above premises and covenants hereinafter set forth, First Party and Second Party hereby agree as follows : PERJANJIAN MANAJEMEN FEE Perjanjian ini, dibuat dan ditandatangani pada hari Senin, tanggal 1 Juli 2024, oleh dan antara : L PT MK PRIMA INDONESIA, suatu perseroan yang didirikan berdasarkan hukum Negara Republik Indonesia, beralamat kantor di Jl. Mayjen Sungkono 16, Gresik, dalam hal ini diwakili oleh Wiranto Nurhadi, selaku Direktur Utama, dengan demikian sah mewakili Direksi, bertindak untuk dan atas nama PT MK PRIMA INDONESIA (selanjutnya disebut “Pihak Pertama”), I. PT INDOSPRING Tbk., suatu perseroan yang didirikan berdasarkan hukum Negara Republik Indonesia, beralamat kantor di Jl. Mayjend Sungkono 10 Gresik, Indonesia, dalam hal ini diwakili oleh Lioe Cu Ling, selaku Wakil Direktur Utama, dengan demikian sah mewakili Direksi, bertindak untuk dan atas nama PT INDOSPRING Tbk. (selanjutnya disebut sebagai “Pihak Kedua”): Pihak Pertama dan Pihak Kedua menerangkan terlebih dahulu : BAHWA, Pihak Kedua memiliki pengalaman, pengetahuan dan keahlian di bidang Manajemen, dan Para Pihak berkeinginan untuk mengadakan Perjanjian Manajemen Fee dimana Pihak Kedua akan menyediakan bantuan manajemen kepada Pihak Pertama. Article 1 DEFINITIONS In this Agreement, unless the context otherwise reguires, the following term shall have the meanings assigned to them herein below : 1.1. The term “Agreement” shall Management Fee Agreement. mean 12. The term “Fee” shall mean Management Fee. 1.3. The term “Management Fee” shall mean fee Charged to cover management assistance granted by the Second Party to the First Party as referred by Article 2 hereunder. Management fee is established based on monthly fixed fee. ARTICLE 2 SERVICES 2.1. The Second Party hereto undertakes to the First Party that it will use its best endeavors to provide management assistance to the First Party and to use its best endeavors to promote and develop the business of the First Party. 2.2. The Second Party provides an opportunity for the First Party to actively join in activities as well as carrying out sinergys with the Second Party to increase ability and management skill of the First Party with the scope which mutually agreed by both parties. ARTICLE 3 MANAGEMENT FEE 3.1. In exchange for receiving services from Second Party, First Party shall pay management fee to Second Party namely : - Monthly Fee: IDR 160.000.000,- (One Hundred Sixty Million Rupiah) exclude PASAL 1 DEFINISI Dalam Perjanjian ini, kecuali ditentukan sebaliknya, istilah-istilah berikut ini memiliki arti sebagaimana berikut : 11. Istilah “Perjanjian” artinya Perjanjian Manajemen Fee. 1.2. Istilah “Biaya” artinya Biaya Manajemen. 1.3, 2. 2.2. 3. Istilah “Biaya Manajemen” artinya biaya yang dikenakan atas bantuan manajemen yang diberikan oleh Pihak Kedua kepada Pihak Pertama sebagaimana dimaksud oleh Pasal 2 dibawah ini. Biaya Manajemen ditentukan berdasarkan biaya tetap setiap bulan. PASAL 2 JASA Pihak Kedua dengan ini berjanji kepada Pihak Pertama untuk menggunakan upaya terbaiknya dalam menyediakan bantuan manajemen kepada Pihak Pertama, termasuk untuk mempromosikan dan mengembangkan usaha Pihak Pertama. Pihak Kedua memberi kesempatan kepada Pihak Pertama untuk turut serta aktif dalam kegiatan-kegiatan serta melakukan sinergi dengan Pihak Kedua dengan tujuan untuk menambah kemampuan dan ketrampilan Pihak Pertama dalam bidang manajemen dengan ruang lingkup yang disepakati bersama. PASAL 3 MANAJEMEN FEE Atas jasa yang diterima dari Pihak Kedua, Pihak Pertama harus membayar Manajemen Fee kepada Pihak Kedua yaitu : - Biaya Bulanan: Rp 160.000.000,- (Seratus Enam Puluh Juta Rupiah) belum termasuk Ss Management Fee Agreement MK Prima Indonesia — Indospring Tbk dated July 18, 2024 Page 20f5

tax per month for the period starting from 18! day of July 2024, 3.2. Payment of the management fee shall be done monthly and not later than 15" (fifteenth) day of the next month. 3.3. For any delay of such payment, the First Party shall pay penalty at 0,24 of Management Fee accounted for each day of such delay. ARTICLE 4 TAX Any tax-related obligations shall be performed in accordance with the prevailing tax regulations in Indonesia. ARTICLE 5 CONFIDENTIALITY 5.1. Each Party agrees to preserve and protect the confidentiality of the confidential information relating to other party's finances and administration, including but not limited to financial statements and budgets, minutes of meeting, and Agreements. 5.2. Bach party agrees not to use such information for its own benefit, for the benefit of any of its officers, directors or employees, including contract employees, or for the benefit of any third party, without the prior consent of the other party. 5.3. The confidential obligation imposed by this Article shall survive any termination or cancellation of the Agreement. 3.2. 33. pajak per bulan untuk periode terhitung sejak tanggal 1 Juli 2024, Pembayaran Manajemen Fee dilakukan setiap bulan selambat-lambatnya pada tanggal 15 (lima belas) pada bulan berikutnya. Untuk keterlambatan pembayaran, Pihak Pertama harus membayar denda sebesar 0,246 dari Biaya Manajemen untuk setiap hari keterlambatan. PASAL 4 PAJAK Segala kewajiban terkait perpajakan dilakukan sesuai dengan peraturan perpajakan yang berlaku di Indonesia. PASAL 5 KERAHASIAAN 5.1. Masing-masing Pihak setuju untuk menjaga dan 5.2. 53. melindungi kerahasiaan dari Informasi Rahasia terkait dengan keuangan dan administrasi dari pihak lain termasuk namun tidak terbatas pada Laporan Keuangan dan anggaran, notulen meeting dan perjanjian-perjanjian. Masing-masing Pihak setuju untuk tidak menggunakan informasi tersebut untuk keuntungan pribadi, untuk keuntungan dari pejabat, direksi atau karyawan, termasuk karyawan kontrak, atau untuk keuntungan pihak ketiga, tanpa persetujuan terlebih dahulu dari Pihak lainnya. ARTICLE 6 DURATION OF AGREEMENT 6.1. This agreement is valid for 1 (one) year starting from 1“'day of July 2024. 62. The duration of Agreement may be extended based on written agreement of the Parties. ARTICLE 7 AMENDMENT This Agreement may be amended by the Parties subject to both Parties” mutual agreement in writing. 4 ARTICLE 8 GOVERNING LAW AND DISPUTE SETTLEMENT 8.1. The validity, construction and performance of this agreement shall be governed by and interpreted in accordance with the laws of Indonesia. 82. All disputes which may arise out of performance of this agreement or in connection with this agreement shall be settled by amicable discussion of the parties. If the parties fail to resolve such a dispute through discussions, it shall be brought to Indonesia National Board of Arbitration in accordance with its rules of arbitrage procedure. The award of the arbitration shall be final and be binding on all the parties hereto. ARTICLE 9 LANGUAGE This Agreement is made in Bahasa Indonesia and English, however in case of differences in interpretation of any of the provisions of this PASAL 6 JANGKA WAKTU PERJANJIAN 6.1. Perjanjian ini berlaku selama 1 (satu) tahun terhitung mulai tanggal 1 Juli 2024. 62. Jangka waktu Perjanjian tersebut dapat diperpanjang berdasarkan kesepakatan tertulis dari Para Pihak. PASAL 7 PERUBAHAN Perjanjian ini dapat diubah oleh Para Pihak berdasarkan kesepakatan tertulis dari Para Pihak. PASAL 8 HUKUM YANG MENGATUR DAN PENYELESAIAN SENGKETA 8.1. Keabsahan, konstruksi dan pelaksanaan dari Perjanjian ini tunduk dan ditafsirkan berdasarkan Hukum Indonesia. 82. Segala sengketa yang mungkin timbul dari pelaksanaan Perjanjian ini atau sehubungan dengan Perjanjian ini diselesaikan dengan musyawarah. Dalam hal Para Pihak tidak dapat menyelesaikan sengketa secara musyawarah, maka akan diselesaikan melalui Badan Arbitrase Nasional Indonesia sesuai dengan aturan dan prosedur Arbitrase. Putusan Arbitrase bersifat final dan mengikat Para Pihak.
