Garudafood LEADING IN INNOVATION PENDAHULUAN / FOREWORD Perseroan bermaksud untuk mengungkapkan transaksi material sehubungan dengan transaksi pembelian saham milik Greatwall Capital Pte. Ltd. (“GWC”) sejumlah 348.500.000 saham, yang merupakan 344 dari total saham yang ditempatkan dan disetor dalam PT Sinarniaga Sejahtera (“SNS”) oleh Perseroan dengan telah ditandatanganinya Akta Jual Beli Saham tanggal 25 Juni 2024 (“Transaksi”). SNS adalah perusahaan yang bergerak di bidang distributor makanan dan minuman, dimana Perseroan memiliki penyertaan sebesar 55,704 saham sebelumnya. Keterbukaan Informasi dibuat dalam rangka pemenuhan ketentuan POJK 17/2020 ,yang mewajibkan Perseroan untuk melakukan keterbukaan informasi atas transaksi material tertentu yang dilakukan oleh Perseroan. Transaksi tersebut merupakan suatu transaksi material karena nominal pendapatan yang menjadi objek transaksi yaitu sebesar 344 dari pendapatan SNS berdasarkan laporan keuangan yang telah diaudit oleh KAP Tanudiredja, Wibisana, Rintis & Rekan per 31 Desember 2023 adalah sebesar Rp3.460.290.887.645,- dan pendapatan Perseroan berdasarkan laporan keuangan yang telah diaudit oleh KAP Tanudiredja, Wibisana, Rintis & Rekan per 31 Desember 2023 adalah sebesar Rp10.543.572.559.649,-, dengan demikian materialitas nilai transaksi 32,82 dari pendapatan Perseroan. Transaksi ini termasuk transaksi material dikarenakan batasan nilai lebih dari 2044 namun tidak melebihi 5086 nilai pendapatan usaha dari sehingga Transaksi ini tidak memerlukan persetujuan RUPS sesuai dengan POJK 17/2020. Transaksi ini bukan merupakan transaksi afiliasi bagi Perseroan sebagaimana dimaksud dalam Peraturan Otoritas Jasa Keuangan Nomor 42/POJK.04/2020 tentang Transaksi Afiliasi dan Transaksi Benturan Kepentingan. Transaksi ini tidak — berpotensi — mengakibatkan terganggunya kelangsungan usaha Perseroan. The Company intends to disclose material transactions in connection with the purchase of share owned by Greatwall Capital Pte. Ltd. (“GWC”) in the amount of 348,500,000 shares, which constitutes 344 of the issued and paid-up shares in PT Sinarniaga Sejahtera (“SNS”) by the Company with the execution of Share Sale and Purchase Deed dated 25 June 2024 (“Transaction”) SNS is a company engaged in food and beverage distribution, in which previously the Company had an investment of 55.704 shares. This Disclosure Information is made to comply with the provisions of POJK 17/2020, which reguired the Company to make a disclosure on certain material transactions undertaken by the Company. Transaction thereof is a material transaction because the revenue nominal which is the object of the transaction, is 3496 of SNS's revenue based on the financial statements audited by KAP Tanudiredja, Wibisana, Rintis & Rekan as of 31 December 2023 which amounts to IDR3,460,290,887.645.- and the Company's revenue based on the financial statements audited by KAP Tanudiredja, Wibisana, Rintis & Rekan as of 31 December 2023 is IDR10,543,572,559,649.-, thus the materiality of the transaction value is 32.824 of the Company's revenue. The Transaction is a material transaction because the threshold is more than 2096 but does not exceed 506 of the business revenue therefore no GMS approval is reguired in accordance with POJK 17/2020. This Transaction is not an affiliate transaction to the Company as referred in the Financial Services Authority Regulation Number 42/POJK.04/2020 regarding Affiliate and Conflict of Interest Transaction. Berdasarkan Akta Jual Beli saham SNS antara GWC

milik GWC pada SNS oleh Perseroan sebesar
Rp200.090.000.000,- (dua ratus miliar Rupiah).

shares in SNS by the Company.

Based on the Deed of Sale and Purchase of SNS shares
between GWC and Company dated 25 June 2024, the
purchase price of 34.004 (thirty four percent) shares
owned by GWC in SNS by the Company amounted to

Dengan dilakukannya Transaksi oleh Perseroan, maka
