Multiartha. Rencana Penggabungan beserta rancangan Akta
Penggabungan telah memperoleh persetujuan pemegang
saham Perseroan dalam RUPSLB yang diselenggarakan pada
tanggal 01 September 2026.
Dampak kejadian, informasi atau fakta Penggabungan diharapkan memberikan dampak positif
material tersebut terhadap kegiatan terhadap kegiatan operasional dan kondisi keuangan
operasional, hukum, kondisi keuangan, Perseroan melalui peningkatan sinergi usaha. Seluruh hak dan
atau kelangsungan usaha Emiten atau kewajiban Perseroan yang menggabungkan diri beralih
Perusahaan Publik kepada Peseroan Penerima Penggabungan sesuai ketentuan
yang berlaku. Penggabungan tidak berdampak negatif secara
material terhadap kelangsungan usaha Perseroan.

Description of Material Information or The Company has obtained approval from the Financial
Facts Services Authority (OJK) for the proposed merger with PT Oto
Multiartha. The proposed merger and the draft Deed of Merger
were approved by the Company's shareholders at the
Extraordinary General Meeting of Shareholders held on 1st
September, 2026
Impact of event, material information or The merger is expected to have a positive impact on the
facts towards Issuers or Public Company's operations and financial condition through
Company’s operational activities, legal, increased business synergies. All rights and obligations of the
financial condition, or going concern merging Company are transferred to the Merged Company in
accordance with applicable regulations. The merger does not
have a material adverse effect on the Company's business
continuity
