3. Uraian Informasi atau Fakta Material Pada tanggal 28 Agustus 2026, Perseroan selaku pihak
Description of Material Information or Facts yang direncanakan menerima pendanaan telah
menandatangani suatu indicative non - binding term
sheet (“Term Sheet ”) bersama dengan PT Danantara
Investment Management (“ DIM ”) dan /atau afiliasinya
selaku investor , dan PT Bakrie & Brothers Tbk (“ BNBR ”)
sebagai penanggung (Perseroan, DIM, dan BNBR
secara bersama - sama disebut sebagai “ Para Pihak ”).
Penandatanganan Term Sheet tersebut merupakan
bagian dari proses penjajakan dan pembahasan awal
Para Pihak sehubungan dengan potensi kerja sama
berupa pendanaan untuk mendukung pengembangan
dan ekspansi kegiatan usaha mobility - as - a- service
(MaaS ) yang dilakukan oleh Perseroan .
Berdasarkan indikasi awal yang tercantum dalam Term
Sheet , potensi penyediaan pendanaan dilakukan dalam
jumlah pokok indikatif sebanyak - banyaknya
Rp2.000.000.000.000,00 (dua triliun Rupiah)
(“Rencana Pendanaan ”). Rencana Pendanaan akan
memiliki hak opsi konversi. sebagaimana ditentukan di
kemudian hari dalam dokumentasi definitif .
Adapun Perseroan berencana menggunakan Rencana
Pendanaan tersebut , antara lain untuk pembiayaan
pengadaan bus listrik dan/atau truk listrik dan tujuan
lainnya yang akan ditentukan dan disepakati oleh Para
Pihak dalam dokumen definitif.
Selain itu, Perseroan menyampaikan bahwa Term Sheet
ini masih bersifat non - binding yang hanya
mencerminkan pembahasan awal para pihak dan akan
tunduk lebih lanjut pada penandatanganan dokumen
definitif. Oleh karena itu, dalam hal dokumen definitif
telah ditandatangani dan menimbulkan hak dan
kewajiban yang mengikat bagi para pihak, Pers eroan
akan mengikuti dan mematuhi ketentuan transaksi

afiliasi dan/atau benturan kepentingan sebagaimana
dimaksud dalam Peraturan OJK No. 42/POJK.04/2020
tentang Transaksi Afiliasi dan Transaksi Benturan
Kepentingan dan transaksi material berdasarkan
Peraturan OJK No. 17/POJK.04/2020 tentang Transaksi
Material dan Perubahan Kegiatan Usaha sebagaimana
relevan.
On 28 August 2026, the Company as the party intended
to receive the financing entered into an indicative non -
binding term sheet (the “ Term Sheet ”) with PT
Danantara Investment Management (“ DIM ”) as the
investor and PT Bakrie & Brothers Tbk (“ BNBR ”) as
guarantors (the Company, DIM, and BNBR are
hereinafter collectively reffered to as the “ Parties ”).
The execution of the Term Sheet forms part of the
Parties’ preliminary discussions and exploratory
process in relation to a potential financing arrangement
intended to support the development and expansion of
the Company’s mobility - as - a- service (MaaS ) business
activities.
Based on the preliminary indications set out in the Term
Sheet, the proposed financing would be provided with
an indicative principal amount of up to IDR
2 ,000,000,000,000 (two trillion Rupiah ) (the “ Proposed
Financing ”). The Proposed Financing is convertible
subject to the terms in the definitive documents as
determined at a later stag e.
The Company intends to utilize the Proposed Financing ,
among other things, to finance the procurement of
electric buses and/or electric trucks , as well as for
other purposes to be determined and mutually agreed
upon by the Parties in the definitive documentation.
Furthermore, the Company states that the indicative
terms contemplated under the Term Sheet remains
non - binding and is subject to the fu rther execution of
the definitive documents. Accordingly, once the
definitive documents have been executed and give rise
to binding rights and obligations of the parties, the
Company will comply with the provisions on affiliated
transactions and/or conflict of interest transactions as
contemplated un der OJK Regulation No.
42/POJK.04/2020 on Affiliated Transactions and
Transactions Involving Conflicts of Interest , or the
provisions on material transactions under OJK
Regulation No. 17/POJK.04/2020 on Material
Transactions and Changes in Business Activities .

4. Dampak kejadian, informasi atau fakta material Kejadian, i nformasi atau fakta material tersebut di atas
tersebut terhadap kegiatan operasional tidak berdampak negatif material terhadap kegiatan
hukum, kondisi keuangan, atau kelangsungan operasional, hukum, kondisi keuangan, dan/ atau
usaha Perseroan atau Perusahaan Publik kelangsungan usaha Perseroan . Adapun
Impact of the event, material information or penandatangan Term Sheet ini diharapkan menjadi
fact on the Company’s operational activities, langkah strategi yang berpotensi memberikan dampak
legal, financial conditions or business positif terhadap pertumbuhan pendapatan Perseroan
continuity dan entitas anak di masa mendatang.
The event, information, or material fact s described
above does not have any material adverse impact on
the Company's operational activities, legal, financial
condition, and/or business continuity. The execution of
this Term Sheet is expected to serve as a strategic step
that has the potential to positively contribute to the
future revenue growth of the Company and its
subsidiaries .
