Sudirman Kav. 52-53 Jakarta 12190 Dengan hormat, Menanggapi surat dari PT Bursa Efek Indonesia (BEI) Nomor: S-06104/BEI.PP1/06-2024 tanggal 19 Juni 2024 perihal Permintaan Penjelasan atas Volatilitas Transaksi Efek, sehubungan dengan telah terjadinya peningkatan aktivitas dan penurunan harga saham Perseroan pada tanggal 13 Juni 2024, maka bersama ini kami untuk dan atas nama perusahaan PT Personel Alih Daya Tbk (“Perseroan”) memberikan tanggapan sebagai berikut : 1. Apakah Perseroan mengetahui adanya informasi atau fakta material yang dapat mempengaruhi nilai efek perusahaan atau keputusan investasi pemodal sebagaimana diatur dalam Peraturan Otoritas Jasa Keuangan Nomor 31/POJK.04/2015 Tentang Keterbukaan Informasi Atau Fakta Material Oleh Emiten Atau Perusahaan Publik? Penjelasan: Perseroan tidak mengetahui adanya informasi atau fakta material yang dapat mempengaruhi nilai efek Perseroan atau keputusan investasi pemodal sebagaimana diatur dalam Peraturan Otoritas Jasa Keuangan Nomor 31/POJK.04/2015 tentang Keterbukaan Informasi atau Fakta Material oleh Emiten atau Perusahaan Publik. Perseroan telah melakukan Keterbukaan Informasi, dan tidak ada peristiwa, informasi atau fakta material yang belum disampaikan kepada Publik. 2. Apakah Perseroan mengetahui adanya informasi atau fakta material yang dapat mempengaruhi nilai efek perusahaan atau keputusan investasi pemodal sebagaimana diatur dalam Peraturan Nomor I-E: Kewajiban Penyampaian Informasi ketentuan butir point III.2.1. dan IV.2.1. Lampiran Keputusan Direksi PT Bursa Efek Indonesia Kep-00015/BEI/01-2021. Penjelasai Sepanjang sepengetahuan Perseroan, Perseroan tidak mengetahui adanya informasi atau fakta material yang dapat mempengaruhi nilai efek Perseroan atau keputusan investasi pemodal. Perseroan telah menyampaikan laporan secara berkala dan insidental serta melakukan Keterbukaan Informasi kepada Publik, dan juga tidak ada peristiwa, informasi atau fakta material yang belum disampaikan kepada publik oleh Perseroan. 3. Informasi/fakta/kejadian penting lainnya yang material dan dapat mempengaruhi harga efek Perseroan serta kelangsungan hidup Perseroan yang belum diungkapkan kepada Publik. Penjelasan: Sepanjang sepengetahuan Perseroan, Perseroan tidak memiliki informasi penting yang material dan dapat mempengaruhi harga efek Perusahaan yang belum diungkapkan kepada Publik. Sampai dengan saat ini Perseroan telah mengungkapkan semua atau seluruh informasi/fakta/kejadian penting lainnya yang material dan dapat mempengaruhi harga efek Perseroan serta kelangsungan hidup Perseroan kepada Publik. Apakah Perseroan mengetahui adanya aktivitas dari pemegang saham tertentu sebagaimana diatur dalam Peraturan Otoritas Jasa Keuangan Nomor 11/POJK.04/2017 Tentang Laporan Kepemilikan atau Setiap Perubahan Kepemilikan Saham Perusahaan Terbuka Penjelasan: Perseroan tidak mengetahui adanya aktivitas dari pemegang saham tertentu sebagaimana diatur dalam Peraturan Otoritas Jasa Keuangan Nomor 11/POJK.04/2017 Tentang Laporan Kepemilikan atau Setiap Perubahan Kepemilikan Saham Perusahaan Terbuka. Dan Perseroan telah melakukan Keterbukaan Informasi melalui penyampaian laporan secara berkala mengenai Laporan Kepemilikan atau Setiap Perubahan Kepemilikan Saham Perseroan yang disampaikan kepada Publik. 5. Apakah Perseroan memiliki rencana untuk melakukan tindakan korporasi dalam waktu dekat, termasuk rencana korporasi yang akan berakibat terhadap pencatatan saham Perseroan di Bursa (paling tidak dalam 3 bulan mendatang)? Penjelasan : Perseroan belum memiliki rencana untuk melakukan tindakan Korporasi dalam waktu dekat, termasuk rencana Korporasi yang akan berakibat terhadap pencatatan saham Perseroan di Bursa (paling tidak dalam 3 bulan mendatang). 6. Rencana pemegang saham utama terkait dengan kepemilikan sahamnya di Perseroan. Dalam hal ini, mohon kiranya Corporate Secretary menanyakan terlebih dahulu kepada pemegang saham utama dalam menjawab konfirmasi tersebut. Penjelasan : Corporate Secretary telah menanyakan terlebih dahulu kepada pemegang saham utama Perseroan mengenai rencana pemegang saham utama terkait dengan kepemilikan sahamnya di Perseroan. Sepanjang informasi yang Perseroan terima dari pemegang saham utama Perseroan, tidak terdapat rencana khusus yang berkaitan dengan kepemilikan sahamnya di Perseroan. Namun jika kedepannya ada rencana khusus mengenai kepemilikan dari pemegang saham utama Perseroan, Perseroan akan melakukan pelaporan sesuai dengan ketentuan Peraturan Otoritas Jasa Keuangan dan Bursa Efek Indonesia. Dan Perseroan sebagai perusahaan public akan selalu berkomitmen untuk menyampaikan Keterbukaan Informasi sesuai dengan aturan Otoritas Jasa Keuangan Nomor 31/POJK.04/2015 tentang keterbukaan informasi atau fakta material oleh emiten atau Perusahaan Publik, serta Keputusan Direksi PT Bursa Efek Indonesia Kep-00015/BEI/01-2021 dan Kep-00066/BEI/09-2022 tentang Kewajiban Penyampaian Informasi. Isthe Company aware of any information or material facts that may affect the value of the company's securities or investors' investment decisions as stipulated in the Financial Services Authority Regulation Number 31/POJK.04/2015 regarding Disclosure of Information or Material Facts by Issuers or Public Companies? Explanation: The Company is not aware of any information or material facts that may affect the value of the Company's securities or investors' investment decisions as stipulated in the Financial Services Authority Regulation Number 31/POJK.04/2015 regarding Disclosure of Information or Material Facts by Issuers or Public Companies. The Company has disclosed information, and there are no events, information or material facts that have not been disclosed to the public. 2. Whether the Company is aware of any information or material facts that may affect the value of the company's securities or investors' investment decisions as stipulated in Regulation Number I-E: Obligation to Submit Information provisions point III.2.1. and IV.2.1. Attachment to the Decree of the Board of Directors of PT Bursa Efek Indonesia Kep-00015/BEI/01-2021. Explanation: To the knowledge of the Company, the Company is not aware of any information or material facts that may affect the value of the Company's securities or investors' investment decisions. The Company has submitted periodic and incidental reports and conducted Information Disclosure to the Public, and there are also no events, information or material facts that have not been submitted to the public by the Company. 3. Other important information/facts/events that are material and may affect the price of the Company's securities and the survival of the Company that have not been disclosed to the public. Explanation: To the knowledge of the Company, the Company does not have any important information that is material and may affect the price of the Company's securities that has not been disclosed to the Public. Until the present, the Company has disclosed all or any other important information/facts/events that are material and may affect the price of the Company's securities and the Company's survival to the Public. Is the Company aware of the activities of certain shareholders as stipulated in the Financial Services Authority Regulation Number 11/POJK.04/2017 regarding Ownership Report or Any Change in Share Ownership of Public Companies. Explanation: The Company is not aware of the activities of certain shareholders as stipulated in the Financial Services Authority Regulation Number 11/POJK.04/2017 regarding Ownership Reports or Any Changes in Share Ownership of Public Companies. And the Company has conducted Information Disclosure through the submission of periodic reports regarding the Ownership Report or Any Change in the Company's Share Ownership submitted to the Public. 5. Does the Company have any plans to conduct corporate actions in the near future, including corporate plans that will result in the listing of the Company's shares on the Stock Exchange (at least in the next 3 months)? Explanation: The Company has no plans to conduct any corporate actions in the near future, including corporate plans that will result in the listing of the Company's shares on the Stock Exchange (at least in the next 3 months). 6. Plans of major shareholders related to their share ownership in the Company. In this regard, please let the Corporate Secretary inguire in advance to the major shareholders in answering the confirmation. Explanation: The Corporate Secretary has inguired in advance to the major shareholders of the Company regarding the plans of the major shareholders in relation to their shareholding in the Company. As far as the information received by the Company from the major shareholders of the Company, there is no specific plan related to their shareholding in the Company. However, if in the future there is a special plan regarding the ownership of the Company's major shareholders, the Company will report in accordance with the provisions of the Financial Services Authority and the Indonesia Stock Exchange.
