presenter who then explained the order of events in the
Public Expose which would begin with a presentation of

3. Agenda Ketiga mengenai Evaluasi Kinerja Grup
SAME telah disampaikan oleh Bapak Armen
Antonius Djan.

Setelah pemaparan materi Public Expose selesai, acara
dilanjutkan dengan sesi tanya-jawab yang dimoderasi
oleh sekretaris perusahaan SAME, Ibu Rahmiyati
Yahya.

Dalam sesi tanya-jawab tersebut, terdapat 2 (dua)
wartawan yang mengajukan pertanyaan, yang
seluruhnya telah dijawab oleh Direksi SAME.

Public Expose ini selesai dan ditutup pada pukul 15.52

2. The Second Agenda regarding the Initiative
Highlights of SAME Group was presented by Ms. dr.
Juniwati Gunawan, M.M., and Ms. dr. Meta Dewi
Thedja, Ph.D.: and

3. The Third Agenda regarding SAME Group
Performance Review was presented by Mr. Armen
Antonius Djan.

After the Public Expose material was presented, the
event continued with a guestion and answer session,
which was moderated by SAME's corporate secretary,
Ms. Rahmiyati Yahya.

During the guestion and answer session, there were 2
(two) journalists who asked guestions which were all

answered by SAME's Board of Directors.

The Public Expose was finished and closed at 15.52
Western Indonesia Time.

Pertanyaan:

Mengenai rencana perusahaan ke depan, apakah
SAME atau EMC Healthcare ada rencana untuk
pengembangan di tahun 2024 ini, termasuk
akuisisi?

Jawaban:

Untuk ekspansi usaha, SAME masih terus terbuka
untuk setiap rumah sakit atau fasilitas kesehatan
yang ingin memberikan sinergi lebih kepada EMC
Healthcare dan Jakarta Eye Center.

Namun perlu disampaikan, saat ini SAME lebih
berkonsentrasi dalam pengembangan sarana dan
prasarana unit-unit rumah sakit yang dimiliki saat
ini sehingga dapat menambah daya tampung
pasien dan meningkatkan pelayanan kepada
pasien.

Sebagaimana telah diliput oleh pers dan media dari
SCTV dan Indosiar, kami baru saja melakukan
ground-breaking di RS EMC Sentul pada hari Jumat
yang lalu. Dalam RUPS Tahunan SAME tadi siang,
kami sampaikan bahwa pembelian sejumlah tanah
juga telah dilakukan untuk perluasan area rumah
sakit. Sejumlah tanah yang berlokasi tepat di
belakang RS EMC Alam Sutera dan juga sejumlah
tanah yang berlokasi di dekat RS EMC Pulomas,
akan digunakan untuk perluasan area usaha.

SAME tetap terbuka terhadap kesempatan untuk
bersinergi dengan rumah sakit atau fasilitas
kesehatan yang berpotensi menambah jangkauan
usaha EMC Healthcare, namun saat ini,

Regarding the company's plans for the future, does
SAME or EMC Healthcare have any plans for 2024
development, including acguisitions?

Answers:
For business expansion, SAME is still open to every
hospital or health facility that wants to provide

more synergy to EMC Healthcare and Jakarta Eye
Center.

However, it needs to be said that currently SAME is
concentrating more on developing the facilities and
infrastructure of the existing hospital units so that
it can increase patient capacity and improve our
services to patients.

As has been covered by press and media from SCTV
and Indosiar, we just carried out ground-breaking
at RS EMC Sentul last Friday. At the SAME Annual
GMS this afternoon, we also announced that a
number of land purchases had also been made to
expand our hospitals area. A number of lands
located right behind RS EMC Alam Sutera and a
number oflands located in Kayu Putih, near RS EMC
Pulomas, will be used to expand the business area.

SAME remains open to opportunities to Synergize
with hospitals or health facilities that have the
potential to increase EMC Healthcare's business
reach, but currently, SAME's targeted business

a. Mengenai hasil RUPS SAME hari ini, apakah
ada pembagian dividen?

b. Berapakah belanja modal yang dianggarkan
untuk tahun 2024 dan bagaimana realisasinya
di Kuartal 1 2024 ini?

Jawaban:

a. Berdasarkan hasil RUPS Tahunan SAME hari
ini, RUPS memutuskan tidak ada dividen yang
dibagikan oleh SAME. Hal ini dikarenakan
SAME sendiri masih membutuhkan dana
untuk melakukan pengembangan usahanya.
Di sisi lain, saldo laba SAME masih negatif
sebagai akumulasi rugi dari tahun-tahun kerja
yang lalu, sehingga sesuai dengan ketentuan
peraturan perundang-undangan di Indonesia,
SAME tidak dapat membagikan dividen
sampai saldo laba menjadi positif.

b. Anggaran belanja modal SAME di tahun 2024
diperkirakan melebihi Rp100 miliar. Pada
kuartal pertama tahun 2024 ini, SAME telah
menggunakan sebanyak 25Y6 dari anggaran
tersebut untuk melakukan pembelian tanah di
dekat RS EMC Pulomas, renovasi atau
perbaikan fasilitas bangunan beberapa rumah
sakit, dan pembelian alat-alat medis untuk
pengembangan layanan kesehatan.

Guestions:

a.  Regarding the results of today's SAME GMS, is
there a dividend distribution?

b. How much capital expenditure is budgeted for
2024 and how has it been realized for the First
Guarter of 2024?

Answers:

a. Based on the results of today's SAME Annual
GMS, the GMS decided that no dividends would
be distributed by SAME. This is because SAME
itself still needs funds to develop its business.
On the other hand, SAME's profit balance is
still negative as an accumulation ofllosses from
previous working years so that in accordance
with the provisions of Indonesian laws and
regulations, SAME cannot distribute dividends
until the profit balance becomes positive,

b.  SAME'S capital expenditure budget in 2024 is
estimated to exceed Rp100 billion. In the first
guarter of 2024, SAME has used 2546 of the
budget to purchase a land near RS EMC
Pulomas, renovate building facilities of our
hospitals, and purchase medical eguipmentfor
the development of healthcare.
