17/POJK.04/2020 tentang Transaksi Material dan Perubahan
Kegiatan Usaha.
Perseroan : Berarti badan hukum yang akan melakukan Emisi yang dalam
hal ini adalah PT Kian Santang Muliatama Tbk., berkedudukan
di Bekasi, suatu perseroan terbatas yang didirikan menurut dan
berdasarkan hukum dan undang-undang Negara Republik
Indonesia.
Penambahan KBLI : Berarti penambahan kegiatan usaha baru di dalam
Perseroan,yaitu:
- KBLI 46739 (Perdagangan Besar Bahan Konstruksi,
Perkakas, Perlengkapan Perpipaan,, dan Peralatan
Pemana Lainnya).

I. PENDAHULUAN
Keterbukaan Informasi kepada para Pemegang Saham Perseroan ini (“Keterbukaan Informasi”)
memuat informasi mengenai Perubahan Kegiatan Usaha Perseroan sebagaimana dimaksud dalam
POJK No. 17/POJK.04/2020 yang diwajibkan untuk memperoleh persetujuan Rapat Umum Pemegang
Saham berupa penambahan bidang usaha baru sebagaimana tersebut di dalam definisi Penambahan
KBLI di pembukaan Keterbukaan Informasi ini yang rencananya akan diselenggarakan pada tanggal
20 Mei 2026 (“RUPSLB”).
Sehubungan dengan hal-hal sebagaimana disebutkan di atas, Direksi Perseroan mengumumkan
Keterbukaan Informasi ini melalui situs web Perseroan, situs web Bursa Efek Indonesia, dan situs web
penyedia e-RUPS dengan maksud untuk memberikan informasi maupun gambaran yang lebih
lengkap kepada para Pemegang Saham Perseroan mengenai rencana Penambahan Kegiatan Usaha.
Perseroan juga menyediakan data mengenai Penambahan Kegiatan Usaha kepada pemegang saham
sejak saat Pengumuman RUPS serta dokumen pendukung kepada OJK dengan ketentuan
sebagaimana diatur dalam POJK No. 17/POJK.04/2020.
Keterbukaan Informasi ini menjadi dasar pertimbangan bagi para pemegang saham Perseroan untuk
memberikan persetujuan atas rencana Penambahan Kegiatan Usaha dalam hal ini berupa
Penambahan KBLI yang akan diusulkan oleh Perseroan kepada RUPS.
II. URAIAN SINGKAT MENGENAI PERSEROAN
1. Riwayat Singkat Perseroan
PT Kian Santang Muliatama Tbk ("Perseroan") didirikan berdasarkan Akta Notaris No. 634, tanggal
28 November 2018 dari Artisa Khamelia Ramadayanti, S.H., M.Kn., Notaris di Bekasi. Akta Pendirian
Perusahaan tersebut telah memperoleh pengesahan dari Menteri Hukum dan Hak Asasi Manusia
Republik Indonesia melalui Surat Keputusan No. AHU-0057381.AH.01.01.Tahun 2018, tanggal 1
Desember 2018 dan telah didaftarkan dalam Daftar Perseroan pada Kementerian Hukum dan Hak
Asasi Manusia Republik Indonesia di bawah No. AHU-0162290.AH.01.11.Tahun 2018, tanggal 1
Desember 2018.
Perseroan berstatus perusahaan terbuka (public company) sejak tahun 2023. Perseroan didirikan
serta menjalankan kegiatan usahanya di Indonesia dalam bidang perdagangan besar mesin peralatan
dan perlengkapan lainnya, instalasi mekanikal, serta jasa Engineering, Procurement, and Construction
(EPC) dalam industri minyak dan gas.
Berdasarkan Pasal 3 Anggaran Dasar Perseroan, Maksud dan Tujuan serta Kegiatan Perseroan ialah
berusaha dalam bidang Pembangunan (Kontraktor), Perdagangan, Industri, Jasa dan Pengangkutan.
Seiring dengan perkembangannya, kegiatan usaha Perseroan yang benar-benar dijalankan saat ini
adalah Perdagangan Besar Mesin Peralatan dan Perlengkapan Lainnya, Instalasi Mekanikal, Instalasi
Minyak dan Gas.
Riwayat Singkat Perseroan (Anggaran Dasar Terakhir)
Berdasarkan Anggaran Dasar Terakhir, Riwayat Singkat Perseroan tercatat dalam Akta Pernyataan
Keputusan Rapat PT Kian Santang Muliatama Tbk Nomor 19, tertanggal 16 Juni 2025, yang dibuat
di hadapan Rini Yulianti, S.H., Notaris di Kota Jakarta Timur. Akta tersebut telah mendapatkan
persetujuan dari Menteri Hukum Republik Indonesia sebagaimana tercantum dalam Keputusan
Menteri Hukum Republik Indonesia Nomor AHU-0039658.AH.01.02.TAHUN 2025 tanggal 18 Juni
2025. Selain itu, perubahan tersebut juga telah diterima dan disimpan di dalam database Sistem
Administrasi Badan Hukum Kementerian Hukum Republik Indonesia sesuai dengan Nomor
Pendaftaran 4025061832201319.
Perseroan akan melakukan perubahan Pasal 3 Anggaran Dasar Perseroan yang dimintakan
persetujuannya dalam RUPS berupa penambahan kegiatan usaha baru. Penambahan kegiatan

usaha baru tersebut adalah penambahan KBLI 46739 yaitu Perdagangan Besar Bahan Konstruksi,
Perkakas, Perlengkapan Perpipaan, dan Peralatan Pemanas Lainnya yang ketentuannya telah
disesuaikan dengan Peraturan Perundang-undangan yang mengatur mengenai Klasifikasi Baku
Lapangan Usaha Indonesia (“KBLI 2025”).
• Kegiatan Usaha Perseroan
Berdasarkan Pasal 3 Anggaran Dasar Perseroan, Maksud dan Tujuan serta Kegiatan Perseroan ialah
berusaha dalam bidang Pembangunan (Kontraktor), Perdagangan, Industri, Jasa dan Pengangkutan.
Seiring dengan perkembangannya, kegiatan usaha Perseroan yang benar-benar dijalankan saat ini
adalah Perdagangan Besar Mesin Peralatan dan Perlengkapan Lainnya, Instalasi Mekanikal, Instalasi
Minyak dan Gas. Untuk mencapai maksud dan tujuan tersebut, Perseroan memperoleh izin dalam
melaksanakan kegiatan usaha sebagai berikut:

Dari daftar di atas, kegiatan usaha yang saat ini telah benar benar dijalankan adalah Perdagangan
Besar Mesin Peralatan dan Perlengkapan Lainnya, Instalasi Mekanikal, Instalasi Minyak dan Gas.
Kegiatan usaha tersebut telah sesuai dengan kode KBLI 46599, KBLI 43291, KBLI 43223, dan KBLI
33131.
Selanjutnya Perseroan akan melakukan perubahan Pasal 3 Anggaran Dasar Perseroan yang
dimintakan persetujuannya dalam RUPS berupa penambahan kegiatan usaha baru. Penambahan
kegiatan usaha baru tersebut adalah penambahan KBLI 46739 yaitu Perdagangan Besar Bahan
Konstruksi, Perkakas, Perlengkapan Perpipaan, dan Peralatan Pemanas Lainnya yang ketentuannya
sudah disesuaikan dengan Peraturan Perundang-undangan yang mengatur mengenai Klasifikasi
Baku Lapangan Usaha Indonesia (“KBLI 2025”).
Kegiatan usaha baru yang akan dijalankan oleh Perseroan adalah Perdagangan Besar Bahan
Konstruksi, Perkakas, Perlengkapan Perpipaan, dan Peralatan Pemanas Lainnya. Adapun contoh
produk yang akan diperdagangkan antara lain meliputi:
• Sambungan pipa khusus (monolithic insulating joints).
• Perlengkapan instrumentasi perpipaan lainnya yang mendukung industri gas dan energi.

Mengenai pertimbangan Perseroan melakukan penambahan kegiatan usaha baru (KBLI 46739) di
saat masih terdapat beberapa kegiatan usaha yang telah dimiliki izinnya namun belum dijalankan
secara maksimal, dapat kami sampaikan hal-hal sebagai berikut:
• Fokus Strategis dan Efisiensi: Meskipun Perseroan memiliki 21 izin kegiatan usaha, strategi
saat ini difokuskan pada optimalisasi 4 kegiatan usaha utama yang memberikan kontribusi
pendapatan paling signifikan dan memiliki ekosistem yang sudah matang.
• Permintaan Pasar: Penambahan KBLI 46739 didasarkan pada analisis peluang pasar yang
nyata dan permintaan dari pelanggan setia Perseroan yang membutuhkan penyediaan
perlengkapan perpipaan dan alat instrumentasi secara lebih komprehensif.
• Sinergi Bisnis: Penambahan ini bukan sekadar menambah jumlah izin, melainkan untuk
melengkapi rantai pasok (supply chain) pada unit usaha Engineering, Procurement, and
Construction (EPC) yang sudah berjalan, sehingga Perseroan dapat meningkatkan margin profit
melalui pengadaan mandiri.
• Optimalisasi Sumber Daya: Perseroan menilai bahwa pengaktifan KBLI 46739 memiliki profil
risiko yang lebih rendah dan kesiapan infrastruktur yang lebih baik dibandingkan mengaktifkan
sisa KBLI lainnya yang belum berjalan, karena selaras dengan kompetensi inti (core competence)
Perseroan saat ini.

• Ultimate Beneficial Owner (Pemilik Manfaat Akhir): Berdasarkan penelusuran struktur
kepemilikan bertingkat, Bapak Edy Nurhamid Amin merupakan pemilik manfaat akhir
(Ultimate Beneficial Owner) sekaligus ditetapkan sebagai Pengendali Perseroan yang telah
sesuai dengan ketentuan dalam POJK Nomor 9/POJK.04/2018 dan POJK Nomor 45
Tahun 2024, di mana yang bersangkutan memiliki kendali baik secara langsung maupun

tidak langsung melalui perusahaan antara.
- Dasar Hukum dan Pelaporan Struktur Permodalan
• Dasar Akta: Struktur permodalan dan susunan pengurus Perseroan saat ini didasarkan pada
Akta Pernyataan Keputusan Rapat No. 19 tanggal 16 Juni 2025, yang dibuat di hadapan
Rini Yulianti, S.H., Notaris di Jakarta Timur. Akta ini telah mendapatkan persetujuan dari
Menteri Hukum dan HAM melalui Surat Keputusan No. AHU-0039658.AH.01.02.TAHUN
2025.
• Data kepemilikan saham didasarkan pada laporan bulanan yang dikelola dan dikeluarkan
oleh Biro Administrasi Efek (BAE) Perseroan, yaitu PT Adimitra Jasa Korpora, yang
dimutakhirkan pada tanggal 30 April 2025.
• Pemenuhan Pelaporan: Perseroan telah memenuhi kewajiban pelaporan pemilik manfaat
kepada instansi berwenang sesuai dengan Peraturan Presiden No. 13 Tahun 2018 tentang
Penerapan Prinsip Mengenali Pemilik Manfaat dari Korporasi dan peraturan
pelaksanaannya melalui sistem AHU Online pada tanggal 08 Juni 2023.
• Susunan Dewan Komisaris dan Direksi Perseroan
Akta yang mendasari susunan Dewan Komisaris dan Direksi Perseroan yang berlaku saat ini
adalah Akta Perubahan No. 12 tanggal 12 Juni 2024.

off date) adalah per 31 Desember 2025.

Maksud dan Tujuan
Mengkaji kelayakan bisnis sehubungan dengan rencana penambahan kegiatan usaha, untuk
memenuhi ketentuan-ketentuan sebagaimana diatur dalam POJK 17/2020 (untuk selanjutnya disebut
“Rencana Transaksi”).
Asumsi-Asumsi dan Kondisi Pembatas
Dalam menyusun Laporan Studi Kelayakan atas Rencana Transaksi, kami menggunakan
beberapa asumsi dan kondisi pembatas antara lain:
• Laporan Studi Kelayakan ini bersifat non-disclaimer opinion;
• Kami telah melakukan penelaahan atas dokumen-dokumen yang digunakan dalam studi
kelayakan;
• Dalam menyusun laporan studi kelayakan ini, penilai mengandalkan keakuratan dan
kelengkapan informasi yang disediakan oleh pemberi tugas atau data yang diperoleh dari
informasi yang tersedia untuk publik dan informasi lainnya serta penelitian yang kami
anggap relevan;
• Penilai menggunakan proyeksi keuangan yang disampaikan oleh manajemen dengan
mencerminkan kewajaran proyeksi keuangan dan kemampuan pencapaiannya (fiduciary
duty);
• Penilai bertanggung jawab atas pelaksanaan penilaian studi kelayakan dan kewajaran
proyeksi keuangan yang telah disesuaikan;
• Laporan yang dihasilkan terbuka untuk publik kecuali terdapat informasi yang bersifat
rahasia, yang dapat mempengaruhi operasional perusahaan;
• Penilai bertanggung jawab atas laporan studi kelayakan dan kesimpulan yang dihasilkan;
• Penilai telah memperoleh informasi atas status hukum obyek studi kelayakan dari pemberi
tugas.
Analisa Kelayakan Usaha
Kelayakan Pasar
Dari Kajian Kelayakan Pasar, pangsa pasar untuk produk dan jasa yang dijalankan oleh
Perseroan mencakup sektor konstruksi, infrastruktur, serta industri. Sektor-sektor tersebut
membutuhkan pasokan bahan konstruksi dan perlengkapan instalasi bangunan secara
berkelanjutan untuk mendukung berbagai kegiatan pembangunan, baik pada proyek
pembangunan gedung, kawasan industri, fasilitas utilitas, maupun infrastruktur pendukung
lainnya. Kebutuhan tersebut mencakup berbagai material konstruksi, perlengkapan perpipaan,
serta peralatan instalasi bangunan yang digunakan dalam kegiatan pembangunan dan instalasi
utilitas pada berbagai proyek konstruksi. Berdasarkan grafik distribusi Produk Domestik Bruto
(PDB) atas dasar harga berlaku menurut lapangan usaha pada Triwulan III 2025, sektor
konstruksi memberikan kontribusi sebesar 9,82% terhadap total PDB nasional. Kontribusi
tersebut menunjukkan bahwa sektor konstruksi merupakan salah satu sektor yang memiliki
peran penting dalam mendukung pertumbuhan ekonomi di Indonesia.

Salah satu indikator penting yang mencerminkan fluktuasi aktivitas konstruksi di Indonesia
adalah Indeks Nilai Konstruksi yang Diselesaikan. Pada triwulan III tahun 2024, indeks nilai
konstruksi yang diselesaikan tercatat sebesar 174,65 dan meningkat menjadi 180,02 pada
triwulan III tahun 2025. Kenaikan ini mencerminkan pertumbuhan sebesar 3,07% secara tahunan
(y-on-y), yang menunjukkan adanya peningkatan nilai konstruksi yang diselesaikan
dibandingkan periode yang sama tahun sebelumnya.
Rencana penambahan kegiatan usaha di bidang perdagangan besar bahan konstruksi,
perlengkapan perpipaan, serta peralatan instalasi bangunan pada dasarnya masih berada dalam
rantai nilai (value chain) yang sejalan dengan kegiatan usaha utama Perseroan. Dengan
pengalaman Perseroan dalam menyediakan produk dan jasa yang berkaitan dengan sistem
instalasi gas serta kegiatan konstruksi melalui layanan EPC, Perseroan dinilai memiliki
pemahaman teknis, jaringan pemasok, serta hubungan bisnis dengan pelanggan yang relevan
di sektor konstruksi dan industri. Hal ini memberikan nilai tambah bagi Perseroan dalam
menjalankan kegiatan perdagangan bahan konstruksi dan perlengkapan instalasi, karena
sebagian produk yang diperdagangkan memiliki keterkaitan dengan kebutuhan proyek
konstruksi maupun instalasi utilitas.
Secara keseluruhan, kondisi bisnis konstruksi menunjukkan tren pertumbuhan positif dan
optimisme yang terjaga. Hal ini tercermin dari angka Indeks Kondisi Bisnis yang meningkat dari
51,50 pada Triwulan II menjadi 56,76 pada Triwulan III. Kenaikan ini didorong kuat oleh sektor
operasional, di mana variabel Nilai Pekerjaan/Konstruksi yang Diselesaikan menjadi kontributor
tertinggi dengan indeks mencapai 63,48, yang mengindikasikan adanya peningkatan aktivitas
proyek yang signifikan di lapangan.
Sasaran pasar Perseroan dalam rencana penambahan kegiatan usaha ini meliputi beberapa
sektor, yaitu sektor konstruksi, sektor infrastruktur, sektor industri, serta distributor dan toko
material bangunan. Adapun wilayah pemasaran yang dituju oleh Perseroan meliputi pasar
domestik di seluruh wilayah Indonesia.
Dari Penambahan Kegiatan Usaha baru ini, Perseroan diproyeksikan mencatatkan tambahan
laba bersih dari penambahan kegiatan usaha baru sebesar Rp60,84 juta pada tahun 2026,
Rp217,21 juta pada tahun 2027, Rp228,07 juta pada tahun 2028, Rp239,48 juta pada tahun
2029, Rp251,45 juta pada tahun 2030, sebesar Rp264,02 juta pada tahun 2031, dan sebesar
Rp277,22 juta pada tahun 2032.
Untuk mencapai target pasar yang telah ditentukan, Perseroan akan menerapkan beberapa
strategi pemasaran yaitu (1) Penjualan langsung; (2) Kerja sama dengan distributor dan
pemasok; (3) Pemasaran digital; (4) Partisipasi dalam proyek dan tender; (5) Pelayanan
pelanggan profesional.
Dengan analisis pasar tersebut, maka dapat kami simpulkan bahwa Penambahan Kegiatan
Usaha pada aspek kelayakan pasar adalah layak.
Kelayakan Teknis
Dari Kajian Kelayakan Teknis, kapasitas operasional merupakan salah satu faktor penting dalam
mendukung kelancaran kegiatan usaha Perseroan, khususnya dalam menjalankan kegiatan
Perdagangan Besar Bahan Konstruksi, Perkakas, Perlengkapan Perpipaan, dan Peralatan
Pemanas Lainnya. Dalam hal ini, Perseroan telah memiliki kemitraan dengan pemasok yang
terpercaya, sehingga Perseroan dapat memastikan ketersediaan produk dengan kualitas yang

sesuai dengan standar pasar dan sesuai dengan kebutuhan proyek. Selain itu, kegiatan
operasional Perseroan juga akan didukung oleh sarana dan prasarana yang memadai, seperti
tersedianya kantor operasional yang digunakan untuk kegiatan administrasi dan pemasaran,
gudang untuk penyimpanan produk dan material konstruksi, sarana transportasi untuk kegiatan
distribusi barang, serta sistem administrasi dan manajemen penjualan.
Selain itu, sampai dengan tanggal 31 Desember 2025, Perseroan memiliki 57 orang karyawan.
Perseroan telah memiliki tenaga ahli untuk menjalankan kegiatan usaha baru ini, dengan mengisi
posisi Project Manager yang telah bekerja sejak tahun 2019. Proses operasional yang dilakukan
Perseroan untuk kegiatan usaha baru ini diantaranya adalah (1) Identifikasi kebutuhan pasar; (2)
Pengadaan produk dari pemasok; (3) Penerimaan dan pemeriksaan barang; (4) Penyimpanan
di Gudang; (5) Kegiatan pemasaran dan penawaran produk; (6) Penerimaan pesanan dari
pelanggan; (7) Proses administrasi dan penyiapan barang; (8) Distribusi dan pengiriman barang;
(9) Penerimaan barang oleh pelanggan; dan (10) Layanan purna jual.
Dengan analisis teknis tersebut, maka dapat kami simpulkan bahwa Penambahan Kegiatan
Usaha pada aspek kelayakan teknis adalah layak.
Kelayakan Pola Bisnis
Dari Kajian Kelayakan Pola Bisnis, Perseroan memiliki sejumlah keunggulan kompetitif yang
menjadi landasan kuat dalam menjalankan kegiatan usahanya, di antaranya adalah 1) Kehadiran
Perseroan sebagai perusahaan terbuka memiliki sejumlah keuntungan, di antaranya adalah
meningkatkan transparansi dalam pengelolaan perusahaan, memperluas akses terhadap
sumber-sumber pendanaan, serta meningkatkan citra dan kepercayaan dari masyarakat umum
serta para stakeholder; 2) Perseroan telah memiliki karyawan dan tim manajemen yang sangat
kompeten serta memiliki pengalaman yang tinggi, sehingga mampu menjalankan operasional
perusahaan dengan efektif dan efisien; dan 3) Perseroan sampai saat ini didukung oleh vendor
yang kuat dan terpercaya, serta menyediakan produk-produk yang berkualitas tinggi, inovatif,
dan kompetitif, sehingga dapat memenuhi kebutuhan pasar dengan baik.
Kemampuan pesaing untuk meniru produk memang tidak dapat dihindari, sehingga membuat
kegiatan usaha dalam bidang ini menjadi sangat kompetitif. Upaya mitigasi yang dapat dilakukan
oleh Perseroan diantaranya adalah 1) Meningkatkan kualitas produk dan layanan; 2) Melindungi
dan mendaftarkan hak kekayaan intelektual; 3) Meningkatkan kualitas dan diferensiasi produk
dan layanan; 4) Melakukan inovasi produk secara berkelanjutan; dan 5) Memperkuat loyalitas
konsumen terhadap produk dan layanan Perseroan.
Dengan keunggulan kompetitif yang dimiliki, Perseroan dapat menciptakan nilai diantaranya
adalah: (1) Penambahan kegiatan usaha baru; (2) Menambah sumber pendapatan baru; (3)
Meningkatan kinerja keuangan Perseroan.
Dengan analisis pola bisnis tersebut, maka dapat kami simpulkan bahwa Penambahan Kegiatan
Usaha pada aspek kelayakan pola bisnis adalah layak.
Kelayakan Model Manajemen
Dari Kajiam Kelayakan Model Manajemen, Perseroan memiliki 57 orang karyawan yang akan
dioptimalkan untuk memenuhi kebutuhan manajemen dan sumber daya manusianya untuk
menjalankan kegiatan usaha baru. Apabila diperlukan, Perseroan akan menambah personel
melalui proses rekrutmen untuk mendukung pelaksanaan proyek yang akan datang. Kegiatan
usaha baru ini akan dijalankan oleh tenaga kerja yang meliputi manajemen dan administrasi,

tenaga pemasaran dan penjualan, tenaga logistik dan distribusi, serta tenaga operasional
gudang, dengan estimasi kebutuhan personel sebanyak kurang lebih 9 orang.
Dalam menjalankan kegiatan usaha barunya, Perseroan menghadapi berbagai potensi risiko
yang dapat mempengaruhi kelancaran operasional maupun kinerja usaha. Adapun beberapa
risiko utama yang dihadapi Perseroan antara lain: (1) Risiko rantai pasok; (2) Risiko fluktuasi
harga komoditas; (3) Risiko kredit dan penagihan; dan (4) Risiko kepatuhan dan regulasi.
Kapasitas dan kemampuan manajemen Perseroan didukung oleh beberapa aspek yaitu seperti
struktur kepemimpinan yang kompeten, infrastruktur teknologi informasi, skalabilitas
operasional, dan pengembangan kapasitas SDM. Sementara itu, berkaitan dengan rencana
penambahan kegiatan usaha baru ini, Perseroan tidak melakukan perubahan/penambahan
terhadap struktur organisasi.
Dengan analisis model manajemen tersebut, maka dapat kami simpulkan bahwa Penambahan
Kegiatan Usaha pada aspek kelayakan model manajemen adalah layak.
Kelayakan Keuangan
Dari Kajian Kelayakan Keuangan, analisis kelayakan proyek menunjukkan bahwa Penambahan
Kegiatan Usaha ini memenuhi kriteria kelayakan dengan variabel-variabel sebagai berikut:
● Net Present Value (NPV) > 0 → Layak
NPV yang dihasilkan adalah sebesar Rp2.118.758.000,-. Dengan demikian, hasil NPV yang
positif atau lebih dari nol menunjukkan bahwa proyek layak dikerjakan karena memberikan
keuntungan.
● Internal Rate of Return (IRR) > Discount Rate → Layak
IRR yang dihasilkan adalah sebesar 43,37%. Hasil IRR berada di atas tingkat discount rate yang
sebesar 10,37%. Dengan demikian, hasil IRR menunjukkan bahwa proyek layak dikerjakan
karena keuntungan lebih besar dari biaya modal (cost of capital) yang diasumsikan.
● Profitability Index (PI) > 1 → Layak
PI yang diperoleh adalah sebesar 2,92666. Dengan demikian, hasil PI yang lebih dari 1
menunjukkan bahwa proyek layak dikerjakan karena memberikan keuntungan dari pengeluaran
investasi yang dilakukan.
● Payback Period (PP)
PP yang diperoleh adalah 4 tahun dan 10 bulan. Dengan demikian, Perseroan mampu
mengembalikan seluruh investasi setelah proyek berjalan selama 4 tahun dan 10 bulan.
Kemudian, dari analisis sensitivitas, kenaikan struktur biaya merupakan faktor yang paling
sensitif terhadap kelayakan usaha.
Dengan analisis keuangan tersebut, maka dapat kami simpulkan bahwa Penambahan Kegiatan
Usaha pada aspek kelayakan keuangan adalah layak.
Kesimpulan
Berdasarkan hasil kajian dan analisa yang telah dilakukan terhadap seluruh aspek yang terkait dalam
rangka menentukan kelayakan usaha, kami berpendapat bahwa Rencana Transaksi berupa
penambahan KBLI yang akan dilakukan oleh Perseroan adalah layak.

IV. KETERSEDIAAN TENAGA AHLI SEHUBUNGAN DENGAN RENCANA PENAMBAHAN
KEGIATAN USAHA
Sehubungan dengan rencana penambahan kegiatan usaha pada KBLI 46739 (Perdagangan Besar
Bahan Konstruksi, Perkakas, Perlengkapan Perpipaan, dan Peralatan Pemanas Lainnya), Perseroan
menyampaikan klarifikasi sebagai berikut:
a. Klarifikasi Tenaga Ahli yang Tersedia
Perseroan saat ini telah memiliki tenaga ahli di bidang supply chain management, teknisi
instrumentasi, dan staf legal/compliance yang memiliki pemahaman mendalam mengenai
spesifikasi teknis alat-alat perpipaan (seperti valves dan pressure gauges). Tenaga ahli ini telah
berpengalaman dalam mendukung kegiatan usaha EPC (Engineering, Procurement, and
Construction) yang merupakan kompetensi inti Perseroan.
b. Kebutuhan Tenaga Ahli Baru
Untuk menjalankan unit usaha baru ini secara optimal, Perseroan memandang perlu melakukan
penambahan tenaga ahli baru khususnya pada posisi Sales Engineer dan Technical Support yang
fokus pada distribusi dan perdagangan besar. Hal ini bertujuan agar operasional unit perdagangan
tidak mengganggu fokus tenaga ahli pada unit usaha EPC yang sudah ada.
c. Pelatihan dan Sertifikasi Khusus
Perseroan berkomitmen untuk memberikan pelatihan berkelanjutan, baik kepada karyawan
eksisting maupun karyawan baru, yang meliputi:
• Karyawan Eksisting: Pelatihan manajemen pergudangan (warehouse management) dan
sistem distribusi perdagangan besar.
• Karyawan Baru: Pelatihan pengenalan standar teknis produk spesifik Perseroan (ISO/API
standards) serta sertifikasi K3 yang relevan dengan penanganan logistik alat berat.
d. Alokasi Personil dan Struktur Organisasi
Berdasarkan laporan studi kelayakan, Perseroan mengalokasikan unit khusus di bawah Divisi
Perdagangan dan Distribusi. Struktur organisasi dan kualifikasi yang dialokasikan adalah

e. Mekanisme Pemenuhan Tenaga Kerja
Mekanisme pemenuhan tenaga ahli untuk penambahan kegiatan usaha ini dilakukan melalui
kombinasi antara rekrutmen baru dan penugasan karyawan eksisting:
• Rekrutmen Baru: Dilakukan untuk posisi yang membutuhkan fokus tinggi pada penjualan dan

teknis distribusi (Sales Engineer dan Technical Support).
• Karyawan Eksisting: Mengoptimalkan fungsi pendukung yang sudah ada seperti Divisi
Keuangan, HRD, dan Legal untuk mendukung administrasi unit usaha baru ini, guna menjaga
efisiensi operasional Perseroan.
V. PENJELASAN, PERTIMBANGAN DAN ALASAN DILAKUKANNYA PENAMBAHAN KEGIATAN
USAHA
a. Pemenuhan Perizinan
Perseroan mengonfirmasi bahwa seluruh perizinan yang diperlukan dalam rangka
penambahan dan pengaktifan kegiatan usaha baru (KBLI 46739) akan dipenuhi sesuai
dengan ketentuan peraturan perundang-undangan yang berlaku. Saat ini, Perseroan
sedang dalam proses pendaftaran KBLI tersebut melalui sistem Online Single Submission
Risk-Based Approach (OSS-RBA) dan akan segera melakukan pemutakhiran data
setelah mendapatkan persetujuan dari Rapat Umum Pemegang Saham (RUPS) serta
penerimaan pemberitahuan perubahan Anggaran Dasar dari Kemenkumham.
b. Kondisi Industri Saat Ini (Unit Usaha Eksisting)
Unit usaha eksisting Perseroan di bidang jasa penunjang industri gas dan EPC
menunjukkan performa yang stabil namun menghadapi tantangan dalam hal efisiensi
rantai pasok. Tingginya ketergantungan pada vendor pihak ketiga untuk pengadaan
komponen perpipaan seringkali memengaruhi margin laba dan ketepatan waktu proyek.
Hal ini menjadi pertimbangan utama Perseroan untuk memiliki unit perdagangan besar
sendiri guna memperkuat kontrol atas ketersediaan material dan menekan biaya
operasional secara keseluruhan.
c. Rencana Sumber Pendanaan dan Estimasi Dana
Estimasi jumlah dana yang dibutuhkan untuk pengaktifan awal kegiatan usaha baru ini
adalah sekitar Rp 201,68 juta (sebagaimana tercantum dalam proyeksi modal kerja tahun
2026). Rencana sumber pendanaan untuk penambahan kegiatan usaha ini seluruhnya
berasal dari kas internal Perseroan (kas operasional) yang tersedia, sehingga Perseroan
tidak memiliki rencana untuk melakukan pinjaman bank atau pendanaan eksternal lainnya
dalam waktu dekat khusus untuk keperluan ini.
d. Strategi dan Rencana Keberlanjutan
Perseroan menargetkan kegiatan usaha baru ini mulai beroperasi secara efektif pada
Kuartal III tahun 2026, segera setelah seluruh perizinan dan administrasi legal selesai.
Strategi keberlanjutan yang akan dilakukan meliputi:
• Penetrasi pasar melalui basis pelanggan eksisting di sektor migas.
• Pengembangan kemitraan dengan produsen komponen perpipaan global untuk
menjadi distributor resmi.
• Integrasi sistem manajemen inventori digital untuk memantau perputaran stok secara
real-time.
e. Kondisi Industri Kegiatan Usaha Baru
Sektor perdagangan besar bahan konstruksi dan perlengkapan perpipaan (KBLI 46739)
memiliki prospek yang sangat menjanjikan seiring dengan meningkatnya proyek
pembangunan infrastruktur gas nasional dan transmisi energi di Indonesia. Kurangnya
distributor lokal yang mampu menyediakan komponen spesialis dengan standar teknis
tinggi (seperti standar API/ISO) memberikan peluang bagi Perseroan untuk mengisi ceruk
pasar tersebut. Dengan rekam jejak Perseroan di bidang teknis, Perseroan memiliki nilai
tambah (competitive advantage) untuk meyakinkan pasar bahwa produk yang
diperdagangkan memiliki kualitas dan spesifikasi yang tepat sesuai kebutuhan industri.

VI. RAPAT UMUM PEMEGANG SAHAM LUAR BIASA
a. Agenda, Waktu, dan Tempat
Persetujuan atas rencana Penambahan Kegiatan Usaha, akan dimohonkan persetujuan pada
Rapat Umum Pemegang Saham Luar Biasa (“RUPSLB”) yang akan diselenggarakan oleh
Perseroan pada:

b. Mata Acara
1. Persetujuan atas rencana Penambahan Kegiatan Usaha Perseroan berdasarkan Studi Kelayakan.
2. Persetujuan Perubahan Pasal 3 Anggaran Dasar Perseroan sehubungan dengan Penambahan
Kegiatan Usaha Perseroan dengan memperhatikan Peraturan OJK Nomor 17/POJK.04/2020
tentang Transaksi Material dan Perubahan Kegiatan Usaha.
c. Kuorum Kehadiran dan Keputusan
Sehubungan dengan Rencana Penambahan Kegiatan Usaha, Perseroan bermaksud untuk
meminta persetujuan atas mata acara tersebut dalam RUPS melalui RUPS LB Perseroan dengan
memperhatikan ketentuan yang diatur dalam UUPT yaitu sebagai berikut:
a. Merujuk pada Pasal 88 Ayat (1) UUPT san Ayat 14.2 Pasal 14 Anggaran Dasar Perseroan
yang mengatur bahwa kuorum kehadiran dan kuorum keputusan RUPS untuk mata acara
rapat dapat dilangsungkan jika RUPS dihadiri oleh pemegang saham atau kuasanya yang
sah yang mewakili paling sedikit 2/3 (dua per tiga) bagian dari jumlah seluruh saham yang
telah ditempatkan oleh Perseroan dengan hak suara yang sah. Keputusan RUPS Pertama
adalah sah jika disetujui oleh lebih dari 2/3 (dua per tiga) bagian dari seluruh saham dengan
hak suara yang hadir dalam RUPS.
b. Dalam hal kuorum kehadiran dalam RUPS Pertama tidak tercapai, maka diadakan RUPS
kedua. RUPS kedua dapat diadakan dengan ketentuan RUPS kedua sah dan berhak
mengambil keputusan jika RUPS dihadiri oleh pemegang saham atau kuasanya yang sah
yang mewakili paling sedikit 3/5 (tiga per lima) bagian dari jumlah seluruh saham dengan
hak suara yang sah. Keputusan RUPS kedua adalah sah jika disetujui oleh lebih dari 1/2
(satu per dua) bagian dari seluruh saham dengan hak suara yang hadir dalam RUPS.
c. Dalam hal kuorum kehadiran pada RUPS kedua tidak tercapai, RUPS ketiga dapat diadakan
dengan ketentuan RUPS ketiga sah dan berhak mengambil keputusan jika dihadiri oleh
pemegang saham dari saham dengan hak suara yang sah dalam kuorum kehadiran dan
jumlah suara untuk mengambil keputusan yang ditetapkan oleh Otoritas Jasa Keuangan atas
permohonan Perseroan.
d. Ketentuan Pengulangan RUPSLB (Pasal 26 POJK 17/2020)
Apabila dalam RUPSLB tanggal 20 Mei 2026 rencana Penambahan Kegiatan Usaha ini tidak
memperoleh persetujuan dari pemegang saham, maka Perseroan hanya dapat mengajukan kembali
rencana penambahan kegiatan usaha tersebut paling cepat 12 (dua belas) bulan setelah pelaksanaan
RUPSLB yang tidak memberikan persetujuan dimaksud.
Sesuai dengan ketentuan POJK 17/2020, Perubahan Kegiatan Usaha sebagaimana dijelaskan dalam

Keterbukaan Informasi ini akan dimintakan persetujuannya kepada pemegang saham Perseroan dalam
RUPS Perseroan yang rencananya akan diselenggarakan pada hari Rabu, tanggal 20 Mei 2026. Lebih
lanjut, di dalam Mata Acara RUPS terkait Perubahan Kegiatan Usaha akan terdapat pembahasan
mengenai studi kelayakan tentang Perubahan Kegiatan Usaha Perseroan.
Sehubungan dengan penyelenggaraan Rapat tersebut, Perseroan akan melakukan Pengumuman pada
tanggal 13 April 2026, Recording Date pada tanggal 27 April 2026 dan Pemanggilan Rapat pada tanggal
28 April 2026 melalui situs web Bursa Efek Indonesia, situs web penyedia e-RUPS dan situs web
Perseroan.
VII. PENJELASAN TENTANG PENGARUH PENAMBAHAN KEGIATAN USAHA PADA KONDISI
KEUANGAN PERSEROAN
• KBLI 46739 (Perdagangan Besar Bahan Konstruksi, Perkakas, Perlengkapan Perpipaan, dan
Peralatan Pemanas Lainnya)
Pada tahun 2026, Perseroan berencana menambah kegiatan usaha atas 46739 yaitu Perdagangan
Besar Bahan Konstruksi, Perkakas, Perlengkapan Perpipaan, dan Peralatan Pemanas Lainnya
investasi dan modal kerja tambahan untuk kegiatan usaha baru yang akan dimulai pada tahun 2026
adalah sebesar Rp 201.679.000.

with and based on the laws and regulations of the Republic of

Addition of KBLI : This means the addition of new business activities within the

I. INTRODUCTION
This Information Disclosure to the Company's Shareholders ("Information Disclosure") contains
information regarding the Company's Changes in Business Activities as referred to in POJK No.
17/POJK.04/2020 which is required to obtain the approval of the General Meeting of Shareholders in the
form of the addition of new business areas as mentioned in the definition of the Addition of KBLI at the
opening of this Information Disclosure which is planned to be held on May 20, 2026 ("GMS").
In connection with the matters mentioned above, the Company's Board of Directors announces this
Information Disclosure through the Company's website, the website of the Indonesia Stock Exchange,
and the website of the e-GMS provider with the intention of providing more complete information and
an overview to the Company's Shareholders regarding the plan to Increase Business Activities. The
Company also provides data on the Addition of Business Activities to shareholders from the time of
the Announcement of the GMS and supporting documents to the OJK with the provisions as stipulated
in POJK No. 17/POJK.04/2020.
This Information Disclosure is the basis for consideration for the Company's shareholders to give
approval to the plan to Add Business Activities in this case in the form of an Addition to KBLI which will
be proposed by the Company to the GMS.
II. BRIEF DESCRIPTION OF THE COMPANY
1. Brief History of the Company
PT Kian Santang Muliatama Tbk (the "Company") was established based on Notarial Deed No. 634,
dated November 28, 2018 of Artisa Khamelia Ramadayanti, S.H., M.Kn., Notary in Bekasi. The
Company's Deed of Establishment has been approved by the Minister of Law and Human Rights of
the Republic of Indonesia through Decree No. AHU-0057381.AH.01.01.Tahun 2018, dated
December 1, 2018 and has been registered in the Company Register at the Ministry of Law and
Human Rights of the Republic of Indonesia under No. AHU-0162290.AH.01.11.Tahun 2018, dated
December 1, 2018.
The Company has been a public company since 2023. The Company was established and operates
its business in Indonesia in the wholesale trade of machinery, equipment, and other supplies,
mechanical installations, and Engineering, Procurement, and Construction (EPC) services in the oil
and gas industry.
According to Article 3 of the Company's Articles of Association, the Company's purpose, objectives,
and activities are to engage in construction (contracting), trade, industry, services, and
transportation. As its development progresses, the Company's current business activities are the
wholesale trade of machinery, equipment, and other supplies, mechanical installations, and oil and
gas installations.

These business activities comply with KBLI codes 46599, KBLI 43291, KBLI 43223, and KBLI 33131.
Furthermore, the Company will amend Article 3 of its Articles of Association, which will require approval
at the GMS, by adding a new business activity. This new business activity is KBLI 46739, namely
Wholesale Trading of Construction Materials, Tools, Piping Equipment, and Other Heating Equipment,
whose provisions have been adjusted to the Laws and Regulations governing the Indonesian Standard
Classification of Business Fields ("KBLI 2020").
The new business activity to be carried out by the Company is Wholesale Trading of Construction
Materials, Tools, Piping Equipment, and Other Heating Equipment. Examples of products to be traded
include:
Special pipe joints (monolithic insulating joints).
Other piping instrumentation equipment that supports the gas and energy industry.
Regarding the Company's considerations for adding new business activities (KBLI 46739) while
several business activities already have permits but are not yet fully operational, we can convey the

Strategic Focus and Efficiency: Although the Company has 21 business activity permits, its
current strategy is focused on optimizing four main business activities that contribute the most
significant revenue and have a mature ecosystem.
Market Demand: The addition of KBLI 46739 is based on an analysis of real market opportunities
and demand from the Company's loyal customers who require a more comprehensive provision
of piping equipment and instrumentation equipment.
Business Synergy: This addition is not simply an increase in the number of permits, but also a
way to complement the existing supply chain within the Engineering, Procurement, and
Construction (EPC) business unit, allowing the Company to increase profit margins through
independent procurement.
Resource Optimization: The Company assesses that the activation of KBLI 46739 has a lower
risk profile and better infrastructure readiness compared to activating the remaining KBLIs that
are not yet operational, because it is in line with the Company's current core competence.

Business Feasibility Analysis
Market Feasibility
Based on the Market Feasibility Study, the market share for the products and services managed by
the Company covers the construction, infrastructure, and industrial sectors. These sectors require a
continuous supply of construction materials and building installation equipment to support various
development activities, including building projects, industrial estates, utility facilities, and other
supporting infrastructure. This demand encompasses a wide range of construction materials, piping
equipment, and building installation tools utilized in construction activities and utility installations
across various projects.
According to the Gross Domestic Product (GDP) distribution chart at current prices by business
sector in the third quarter (Q3) of 2025, the construction sector contributed 9.82% to the total national
GDP. This contribution demonstrates that the construction sector plays a vital role in supporting
economic growth in Indonesia.
One key indicator reflecting fluctuations in Indonesian construction activity is the Index of Completed
Construction Value. In Q3 2024, the index of completed construction value stood at 174.65 and
increased to 180.02 in Q3 2025. This growth represents a 3.07% year-on-year (y-on-y) increase,
signaling a rise in the value of completed construction compared to the same period in the previous
year.
The plan to expand business activities into the wholesale of construction materials, piping equipment,
and building installation tools essentially remains within the value chain aligned with the Company’s
core business. Given the Company's extensive experience in providing products and services related
to gas installation systems and construction activities via EPC services, the Company is deemed to
possess the technical expertise, supplier network, and relevant customer relationships within the
construction and industrial sectors. This adds significant value to the Company in executing the
trading of construction materials and installation equipment, as a portion of the traded products is
directly linked to the needs of construction projects and utility installations.
Overall, the construction business climate indicates a positive growth trend and sustained optimism.
This is reflected in the Business Condition Index, which climbed from 51.50 in Q2 to 56.76 in Q3.
This surge was strongly driven by the operational sector, where the Value of Completed
Work/Construction variable emerged as the highest contributor with an index reaching 63.48,
indicating a significant increase in on-site project activities.
The Company's target market for this business expansion includes several sectors, namely the
construction sector, infrastructure sector, industrial sector, and distributors and building material
stores. The designated marketing territory covers the domestic market across the entire region of
Indonesia.
From this new business expansion, the Company is projected to record additional net profits from
the business expansion of IDR 60.84 million in 2026, IDR 217.21 million in 2027, IDR 228.07 million
in 2028, IDR 239.48 million in 2029, IDR 251.45 million in 2030, IDR 264.02 million in 2031, and IDR
277.22 million in 2032.
To reach the designated target market, the Company will implement several marketing strategies,
namely (1) Direct selling; (2) Collaboration with distributors and suppliers; (3) Digital marketing; (4)
Participation in projects and tenders; (5) Professional customer service.
Based on the market analysis, it can be concluded that the Business Activity Expansion is feasible
from the aspect of market feasibility.
Technical Feasibility
Based on the Technical Feasibility Study, operational capacity is a critical factor in supporting the
smooth execution of the Company’s business activities, particularly in conducting the Wholesale of
Construction Materials, Tools, Piping Equipment, and Other Heating Equipment. In this regard, the

Company has established partnerships with trusted suppliers, ensuring product availability that
meets market standards and specific project requirements. Furthermore, the Company's operations
will be supported by adequate facilities and infrastructure, such as operational offices for
administration and marketing, warehouses for product and construction material storage,
transportation fleets for product distribution, as well as sales administration and management
systems.
Additionally, as of December 31, 2025, the Company employs 57 personnel. The Company already
possesses the necessary technical experts to run this new business line, specifically by utilizing a
Project Manager who has been with the company since 2019. The operational processes designed
by the Company for this new business activity include (1) Identification of market needs; (2)
Procurement of products from suppliers; (3) Receipt and inspection of goods; (4) Warehouse
storage; (5) Marketing activities and product offering; (6) Receipt of customer orders; (7)
Administrative processing and preparation of goods; (8) Distribution and shipping of goods; (9)
Receipt of goods by customers; and (10) After-sales service.
Based on the technical analysis, it can be concluded that the Business Activity Expansion is feasible
from the aspect of technical feasibility.
Business Model Feasibility
Based on the Business Model Feasibility Study, the Company possesses several competitive
advantages that serve as a strong foundation for its business operations, including 1) Being a public
company provides multiple benefits, including increased transparency in corporate governance,
broader access to funding sources, and enhanced corporate image and trust among the general
public and stakeholders; 2) The Company has highly competent and deeply experienced employees
and management teams, enabling them to run corporate operations effectively and efficiently; and
3) To date, the Company is backed by strong and reliable vendors that provide high-quality,
innovative, and competitive products to meet market demands effectively.
While competitor replication of products is inevitable and makes this sector highly competitive, the
Company has formulated several mitigation efforts, which include 1) Enhancing product and service
quality; 2) Protecting and registering intellectual property rights; 3) Improving product/service
differentiation and quality; 4) Conducting continuous product innovation; and 5) Strengthening
consumer loyalty toward the Company's products and services.
With these competitive advantages, the Company can create value through: (1) The expansion of
new business activities; (2) The generation of new revenue streams; (3) The enhancement of the
Company's overall financial performance.
Based on the business model analysis, it can be concluded that the Business Activity Expansion is
feasible from the aspect of business model feasibility.
Management Model Feasibility
Based on the Management Model Feasibility Study, the Company will optimize its existing 57
employees to meet the management and human resource requirements for the new business
activity. If necessary, the Company will recruit additional personnel to support upcoming projects.
This new business activity will be executed by a workforce comprising management & administration,
marketing & sales personnel, logistics & distribution teams, and warehouse operational staff, with an
estimated initial requirement of approximately 9 personnel.
In running its new business operations, the Company faces various potential risks that could impact
operational smoothness and business performance. The primary risks faced by the Company
include: (1) Supply chain risks; (2) Commodity price fluctuation risks; (3) Credit and collection risks;
and (4) Compliance and regulatory risks.
The capacity and capability of the Company's management are reinforced by several pillars, such as
a competent leadership structure, information technology infrastructure, operational scalability, and
human resource capacity development. Regarding the plan for this new business expansion, the
Company will not make any changes or additions to its existing organizational structure.
Based on the management model analysis, it can be concluded that the Business Activity Expansion
is feasible from the aspect of management model feasibility.
Financial Feasibility
Based on the Financial Feasibility Study, the project feasibility analysis indicates that the Business
Activity Expansion meets all feasibility criteria based on the following variables:
Net Present Value (NPV) > 0 → Feasible The resulting NPV is IDR 2,118,758,000.-. A positive
NPV (greater than zero) indicates that the project is feasible to execute as it generates a
profitable return.

Internal Rate of Return (IRR) > Discount Rate → Feasible The resulting IRR stands at 43.37%.
This IRR sits well above the assumed discount rate of 10.37%. Thus, the IRR indicates that the
project is feasible to execute because the returns exceed the assumed cost of capital.
Profitability Index (PI) > 1 → Feasible The obtained PI is 2.92666. A PI greater than 1 indicates
that the project is viable and worth executing because it yields favorable returns relative to the
initial investment outlay.
Payback Period (PP) The calculated PP is 4 years and 10 months. This demonstrates that the
Company will be able to fully recover its total initial investment after the project has operated for
4 years and 10 months.
Furthermore, based on the sensitivity analysis, an increase in the cost structure represents the
factor most sensitive to the overall business feasibility.
Based on the financial analysis, it can be concluded that the Business Activity Expansion is
feasible from the aspect of financial feasibility.
Conclusion
Based on the results of the study and analysis that have been carried out on all related aspects in order
to determine the feasibility of the business, we are of the opinion that the Transaction Plan in the form
of adding KBLI that will be carried out by the Company is feasible.
IV. AVAILABILITY OF EXPERTS IN CONNECTION WITH THE ADDITION PLAN
BUSINESS
ACTIVITIES
Regarding the planned addition of business activities under KBLI 46739 (Wholesale of Other
Construction Materials, Tools, Plumbing Equipment, and Heating Equipment), the Company hereby
provides the following clarifications:
a. Clarification of Existing Experts
The Company currently possesses experts in supply chain management, instrumentation
technicians, and legal/compliance staff who have an in-depth understanding of the technical
specifications of piping equipment (such as valves and pressure gauges). These experts have
extensive experience in supporting EPC (Engineering, Procurement, and Construction) activities,
which constitute the Company's core competency.
b. Requirement for New Experts
To ensure the optimal operation of this new business unit, the Company deems it necessary to
recruit new experts, specifically for Sales Engineer and Technical Support positions focused on
distribution and wholesale. This is intended to ensure that the trading unit's operations do not detract
from the focus of the experts in the existing EPC unit.
c. Training and Special Certifications
The Company is committed to providing ongoing training for both existing and new employees,
including:

New Employees: Introductory training on the Company's specific product technical standards
(ISO/API standards) and relevant OHS (K3) certifications for heavy equipment logistics

The fulfillment of experts for this additional business activity is carried out through a combination of
new recruitment and the assignment of existing employees:
New Recruitment: Conducted for positions requiring a high focus on sales and technical
distribution (Sales Engineer and Technical Support).
Existing Employees: Optimizing existing support functions such as the Finance, HRD, and
Legal Divisions to handle the administration of this new business unit to maintain the Company's
operational efficiency.
V. EXPLANATION, CONSIDERATIONS AND REASONS FOR ADDING BUSINESS ACTIVITIES
a. Licensing Requirements
The Company confirms that all permits required for the addition and activation of new
business activities (KBLI 46739) will be fulfilled in accordance with applicable laws and
regulations. The Company is currently in the process of registering the KBLI through the
Online Single Submission Risk-Based Approach (OSS-RBA) system and will immediately
update the data after receiving approval from the General Meeting of Shareholders (GMS)
and receiving notification of amendments to the Articles of Association from the Ministry
of Law and Human Rights.
b. Current Industry Conditions (Existing Business Units)
The Company's existing business units in the gas industry and EPC support services sectors
have demonstrated stable performance but face challenges in supply chain efficiency.
High reliance on third-party vendors for the procurement of piping components often
impacts profit margins and project timeliness. This is a key consideration for the Company
to have its own wholesale trading unit to strengthen control over material availability and
reduce overall operational costs.
c. Funding Source Plan and Funding Estimate
The estimated amount of funding required for the initial activation of this new business
activity is approximately IDR 201.68 million (as stated in the 2026 working capital
projection). The planned funding source for this additional business activity will come
entirely from the Company's internal cash (operating cash), therefore, the Company has
no plans to take out bank loans or other external financing in the near future specifically
for this purpose.

The Company targets this new business activity to begin effective operations in the third
quarter of 2026, immediately after all permits and legal administration are completed.
The sustainability strategy to be implemented includes:
Market penetration through the existing customer base in the oil and gas sector.
Developing partnerships with global piping component manufacturers to become
official distributors.
Integrating a digital inventory management system to monitor stock turnover in real
time.
e. New Business Activity Industry Conditions
The wholesale trading of construction materials and piping equipment (KBLI 46739) sector
offers very promising prospects, along with the increasing number of national gas
infrastructure and energy transmission projects in Indonesia. The lack of local distributors
capable of supplying specialist components with high technical standards (such as API/ISO
standards) presents an opportunity for the Company to fill this market niche. With its track

VI. GENERAL MEETING OF SHAREHOLDERS
a. Agenda, Time, and Venue
Approval of the proposed Additional Business Activities will be requested at the Extraordinary
General Meeting of Shareholders ("EGMS") to be held by the Company on:

b. Agenda Item
1. Approval of the Company's Planned Additional Business Activities based on a Feasibility Study.
2. Approval of Amendments to Article 3 of the Company's Articles of Association regarding the
Additional Business Activities, taking into account OJK Regulation Number 17/POJK.04/2020
concerning Material Transactions and Changes in Business Activities.
c. Attendance Quorum and Resolutions
In connection with the Planned Additional Business Activities, the Company intends to seek
approval for the agenda item at the GMS through an Extraordinary GMS of the Company, taking
into account the provisions stipulated in the Company Law, as follows:
a. Referring to Article 88 Paragraph (1) of the Company Law and Paragraph 14.2 of Article 14 of
the Company's Articles of Association, which stipulate that the attendance quorum and the
resolution quorum for the GMS for the meeting agenda item can be held if the GMS is attended
by shareholders or their authorized proxies representing at least 2/3 (two-thirds) of the total
number of shares issued by the Company with valid voting rights. The resolution of the First
GMS is valid if approved by more than 2/3 (two-thirds) of the total shares with voting rights

present at the GMS.
b. If the attendance quorum at the First GMS is not achieved, a second GMS shall be held. A
second GMS may be held, provided that the second GMS is valid and entitled to make
decisions if it is attended by shareholders or their authorized proxies representing at least 3/5
(three-fifths) of the total number of shares with valid voting rights. The decisions of the second
GMS are valid if approved by more than 1/2 (one-half) of the total number of shares with valid
voting rights present at the GMS.
c. If the attendance quorum at the second GMS is not reached, a third GMS may be held,
provided that the third GMS is valid and entitled to make decisions if it is attended by
shareholders of shares with valid voting rights within the attendance quorum and number of
votes to make decisions determined by the Financial Services Authority at the Company's
request.
d. Provisions for Repeating the GMS (Article 26 of POJK 17/2020)
If the planned Additional Business Activities are not approved by shareholders at the EGMS on
May 20, 2026, the Company may resubmit the plan for the additional business activities no sooner
than 12 (twelve) months after the EGMS that failed to provide such approval.
In accordance with the provisions of POJK 17/2020, the Change in Business Activities as described
in this Information Disclosure will be requested for approval from the Company's shareholders at
the Company's GMS scheduled for Wednesday, May 20, 2026. Furthermore, the GMS Agenda
item related to the Change in Business Activities will include a discussion of the feasibility study for
the Change in Business Activities.
In connection with the Meeting, the Company will make an Announcement on April 13, 2026, with
a Recording Date on April 27, 2026, and a Meeting Invitation on April 28, 2026, through the
Indonesia Stock Exchange website, the e-GMS provider's website, and the Company's website.
VII. EXPLANATION OF THE EFFECT OF ADDITIONAL BUSINESS ACTIVITIES ON THE
COMPANY'S FINANCIAL CONDITION
• KBLI 46739 (Wholesale of Construction Materials, Tools, Plumbing Supplies, and Other Heating
Equipment)
In 2026, the Company plans to add business activities under KBLI 46739, which is the Wholesale of
Construction Materials, Tools, Plumbing Supplies, and Other Heating Equipment. The investment and
additional working capital for these new business activities, scheduled to commence in 2026, amount
to Rp 201.679.000.
The required working capital assumptions are as follows:
Inventory turnover : 30 days
Turnover of receivables : 60 days
Turnover of business debt : 30 days

Based on the financial projections for the addition of the new KBLI, the working capital required from
2026 to 2032 is Rp201.68 million, Rp427.33 million, Rp452.68 million, Rp475.32 million, Rp499.08
million, Rp524.04 million, and Rp550.24 million, respectively. The source of funding for this plan to
add business activities originates entirely from the Company's available cash.
