Uraian Informasi atau Fakta Material Sehubungan dengan Perubahan Anggaran Dasar dari Entitas
Anak dan Cucu Perseroan yang diharapkan dapat
memberikan keuntungan strategis, meningkatkan pendapatan,
serta mendapatkan peluang bisnis baru bagi Perseroan, maka
dengan ini Perseroan menyampaikan Ringkasan Perubahan
Anggaran Dasar Entitas Anak dan Cucu Perseroan, yaitu:
1. PT Are Teknologi Kreasi (ATK)
Merujuk surat dari Kementerian Hukum dan Hak Asasi
Manusia Republik Indonesia tanggal 7 Juni 2024 dengan
Nomor AHU-AH.01.03-0136602 perihal Penerimaan
Pemberitahuan Perubahan Anggaran Dasar ATK.
Ringkasan Perubahan:
a. Penambahan 2 bidang usaha, yaitu:
- (58200) Penerbitan Piranti Lunak (Software)
- (62090) Aktivitas Teknologi Informasi dan Jasa
Komputer Lainnya
b. Peningkatan Modal Dasar yang semula Rp56.
000.000.000,- menjadi sebesar Rp61.496.000.000,- dan
Peningkatan Modal Ditempatkan dan Disetor yang semula
Rp56.000.000.000,- menjadi sebesar Rp61.496.000.000,-
dengan menempatkan serta menyetor kembali sejumlah 5.496
saham atau sebesar Rp5.496.000.000,- yang seluruhnya
diambil/ditempatkan serta disetor oleh Perseroan.
c. Perubahan komposisi Para Pemegang Saham
menjadi sebagai berikut:
- Perseroan memiliki 61.495 saham dengan nominal
seluruhnya Rp61.495.000.000,-
- PT WIR GLOBAL KREATIF (WGK) memiliki 1 saham
dengan nominal seluruhnya Rp1.000.000,-
2. PT Vatar Media Raya (VMR)
Merujuk surat dari Kementerian Hukum dan Hak Asasi
Manusia Republik Indonesia tanggal 7 Juni 2024 dengan
Nomor AHU-AH.01.03-0135074 perihal Penerimaan
Pemberitahuan Perubahan Anggaran Dasar VMR.
Ringkasan Perubahan:
a. Peningkatan Modal Ditempatkan dan Disetor yang
semula Rp175.716.400.000,- menjadi sebesar Rp179.
672.100.000,- dengan menempatkan serta menyetor kembali
sejumlah 39.557 saham atau sebesar Rp3.955.700.000,- yang
seluruhnya diambil/ditempatkan serta disetor oleh Perseroan.
b. Perubahan komposisi Para Pemegang Saham
menjadi sebagai berikut:
- Perseroan memiliki 1.796.720 saham dengan
nominal seluruhnya Rp179.672.000.000,-
- WGK memiliki 1 saham dengan nominal seluruhnya
Rp100.000,-
3. PT Tiga Akar Mimpi (TAM)
Mrujuk surat dari Kementerian Hukum dan Hak Asasi Manusia
Republik Indonesia tanggal 7 Juni 2024 dengan Nomor AHU-
AH.01.03-0136747 perihal Penerimaan Pemberitahuan
Perubahan Anggaran Dasar TAM.
Ringkasan Perubahan:
a. Peningkatan Modal Dasar yang semula Rp92.
500.000.000,- menjadi sebesar Rp101.528.000.000,- dan

Peningkatan Modal Ditempatkan dan Disetor yang semula
Rp92.500.000.000,- menjadi sebesar Rp101.528.000.000,-
dengan menempatkan serta menyetor kembali sejumlah 9.028
saham atau sebesar Rp9.028.000.000,- yang seluruhnya
diambil/ditempatkan serta disetor oleh Perseroan.
b. Perubahan komposisi Para Pemegang Saham
menjadi sebagai berikut:
- Perseroan memiliki 101.527 saham dengan nominal
seluruhnya Rp101.527.000.000,-
- WGK memiliki 1 saham dengan nominal seluruhnya
Rp1.000.000,-
4. PT Mata Nilai Republik (MNR)
Merujuk surat dari Kementerian Hukum dan Hak Asasi
Manusia Republik Indonesia tanggal 7 Juni 2024 dengan
Nomor AHU-AH.01.09-0211678 perihal Penerimaan
Pemberitahuan Perubahan Anggaran Dasar MNR.
Ringkasan Perubahan:
a. Penambahan 2 bidang usaha, yaitu:
- (58200) Penerbitan Piranti Lunak (Software)
- (62090) Aktivitas Teknologi Informasi dan Jasa
Komputer Lainnya
b. Perubahan pengurus perseroan sehubungan dengan
pengunduran diri David Tahir, sehingga susunan pengurus
menjadi:

Komisaris Utama : Jeffrey Budiman, MA

Informasi Tambahan:
Perseroan memiliki saham di atas 99% di Entitas Anak ATK,
VMR, dan TAM sehingga peningkatan modal dari Perseroan
ke ATK, VMR, dan TAM tidak wajib memenuhi ketentuan
Pasal 4 ayat (1) POJK Nomor 42/POJK.04/2020.
Dampak kejadian, informasi atau fakta Sampai dengan tanggal keterbukaan informasi ini, tidak ada
material tersebut terhadap kegiatan dampak kejadian terhadap kegiatan operasional, hukum,

Facts the Company's Subsidiaries and Sub-Subsidiaries which are
expected to provide strategic advantages, increase revenue,
and obtain new business opportunities for the Company, the
Company hereby presents the Summary of Amendments to
the Articles of Association of the Company's Subsidiaries and
Sub-Subsidiaries, as follows:
1. PT Are Teknologi Kreasi (ATK)
Referencing the letter from the Ministry of Law and Human
Rights of the Republic of Indonesia dated June 7, 2024, with
Number AHU-AH.01.03-0136602 regarding Acceptance of
Notification of Amendment to the Articles of Association of
ATK.
Summary of Changes:
a. Addition of 2 business sectors, as follows:
- (58200) Software Publishing
- (62090) Information Technology Activities and Other
Computer Services
b. Increase in Authorized Capital from Rp56,
000,000,000,- to Rp61,496,000,000,- and Increase in Issued
and Paid-up Capital from Rp56,000,000,000,- to Rp61,
496,000,000,- by issuing and subscribing 5,496 shares worth
Rp5,496,000,000,- entirely subscribed by the Company.
c. Changes in the composition of the Shareholders as
follows:
- The Company holds 61,495 Shares with a total
nominal value of Rp61,495,000,000,-
- PT WIR GLOBAL KREATIVE (WGK) holds 1 Share

Summary of Changes:
a. Increase in Issued and Paid-up Capital from Rp175,
716,400,000,- to Rp179,672,100,000,- by issuing and
subscribing to 39,557 shares worth Rp3,955,700,000,- entirely
subscribed by the Company.
b. Changes in the composition of the Shareholders as
follows:
- The Company holds 1,796,720 Shares with a total
nominal value of Rp179,672,000,000,-.
- WGK holds 1 Share with a total nominal value of
Rp100,000,-

MNR.
Summary of Changes:

resignation of David Tahir, resulting in the following
management structure:

The Company holds more than 99% of the shares in its

Nomor 42/POJK.04/2020.
