Mandom Indonesia Tbk ("Perseroan") sebagai akibat
restrulcturisasi internal, tanpa adanya perubahan pengendalian
atas Perseroan.
3. Elaboration on Immediately prior to the internal group restructuring described
information or below, Mandom Corporation ("Old MCJ") held 267,330,074
materialfact! shares in the Company, representing 66.48% of the issued and

Pursuant to the Absorption-Type Merger Agreement dated 24
July 2026 between Old MCJ and Kalon Holdings Co., Ltd.
("Kalon HD"), Old MCJ and Kalon HD implemented an
absorption-type merger under Japanese law, with Kalon HD as
the surviving company and Old MCJ being dissolved.
Pursuant to the Absorption-Type Company Split Agreement
dated 24 July 2026 between Kalon HD and Kalon Midco
Holdings Co., Ltd. ("Kalon Midco"), Kalon HD and Kalon
Midco implemented an absorption-type company split under
Japanese law.
Effective on 1 September 2026, Kalon Midco also changed its
corporate name to Mandom Corporation ("New MCJ").
However, the official company registry extract issued by the
Japan Legal Affairs Bureau reflecting such name change is
expected to become available only around November 2026.
Accordingly, pending the availability of such official registry
extract, the shareholder is recorded under its pre-name-change
name, Kalon Midco Holdings Co., Ltd. (Kalon Midco).
The absorption-type merger and the absorption-type company
split became effective contemporaneously on 1 September
2026. Upon the effectiveness of the absorption-type merger,
Old MCJ's shareholding in the Company decreased from
66.48% to 0%, while Kalon HD 's shareholding increased from
0% to 66.48%. Contemporaneously, upon the effectiveness of
the absorption-type company split, Kalon HD's shareholding
in the Company decreased from 66.48% to 0%, while Kalon
Midco 's shareholding increased from 0% to 66.48%.

Accordingly, Kalon Midco is currently recorded as holding
267,330,074 shares in the Company, representing 66.48% of
the issued and paid-up share capital of the Company As noted
above, Kalon Midco 's corporate name has legally changed to
Mandom Corporation effective 1 September 2026, and the
shareholder record will be updated to reflect the name Mandom
Corporation upon availability of the relevant official registry
documentation.
The absorption-type merger and the absorption-type company
split were carried out as part of an internal group
restructuring. The internal group restructuring did not result in
any change in control of the Company, as ultimate control over
the Company remained with the same party before and after
the restructuring./
Segera sebelum pelaksanaan restrukturisasi internal
sebagaimana dijelaskan di bawah ini, Mandom Corporation
("MCJ Lama") memiliki 267.330.074 saham dalam
Perseroan, yang mewakili 66,48% dani modal ditempatkan dan
disetor Perseroan.
Berdasarkan Perjanjian Penggabungan dengan Cara
Penyerapan (Absorption-Type Merger Agreement) tertanggal
24 Juli 2026 antara MCJ Lama dan Kalon Holdings Co., Ltd.
("Kalon HD"), MCJ Lama dan Kalon HD telah melaksanakan
penggabungan dengan cara penyerapan berdasarkan hulcum
Jepang, dengan Kalon HD sebagai perusahaan yang menerima
penggabungan dan MCJ Lama dibubarkan.
Berdasarkan Perjanjian Pemisahan Perusahaan dengan Cara
Penyerapan (Absorption-Type Company Split Agreement)
tertanggal 24 Juli 2026 antara Kalon HD dan Kalon Midco
Holdings Co., Ltd. ("Kalon Midco"), Kalon HD dan Kalon
Midco telah melaksanakan pemisahan perusahaan dengan cara
penyerapan berdasarkan hukum Jepang.
Efelctif pada tanggal 1 September 2026, Kalon Midco juga
telah mengubah nama perusahaannya menjadi Mandom
Corporation ("MCJ Baru"). Namun, lcutipan registrasi
perusahaan resmi yang diterbitkan oleh Japan Legal Affairs
Bureau yang mencerminkan perubahan nama tersebut
diperlcirakan barn akan tersedia sekitar November 2026. Oleh
karena itu, sambil menunggu tersedianya kutipan registrasi
perusahaan resmi tersebut, pemegang saham dicatat dengan
nama sebelum perubahan nama, yaitu Kalon Midco Holdings
Co., Ltd. (Kalon Midco).

Penggabungan dengan cara penyerapan dan pemisahan
perusahaan dengan cara penyerapan tersebut di atas berlaku
efektif secara bersamaan pada 1 September 2026. Sejak
efektifnya penggabungan dengan cara penyerapan tersebut,
kepemilikan saham MCJ Lama dalam Perseroan berlcurang
dani 66,48% menjadi 0%, sedangkan kepemilikan saham Kalon
HD meningkat dani 0% menjadi 66,48%. Pada saat yang
bersamaan, sejak efektifnya pemisahan perusahaan dengan
cara penyerapan tersebut, kepemilikan saham Kalon HD dalam
Perseroan berlcurang dani 66,48% menjadi 0%, sedangkan
kepemilikan saham Kalon Midco meningkat dani 0% menjadi
66,48%.
Dengan demikian, Kalon Midco saat ini tercatat sebagai
pemegang 267.330.074 saham dalam Perseroan, yang
mewaldli 66,48% dani modal ditempatkan dan disetor
Perseroan. Sebagaimana dijelaskan di atas, secara hulcum nama
Kalon Midco telah berubah menjadi Mandom Corporation
efektif sejak 1 September 2026, dan pencatatan nama
pemegang saham akan diperbarui menjadi Mandom
Corporation setelah dokumen registrasi resmi yang relevan
tersedia.
Penggabungan dengan cara penyerapan dan pemisahan
perusahaan dengan cara penyerapan tersebut dilalcukan sebagai
bagian dani restrulcturisasi internal Mandom Corporation di
Jepang. Restrulcturisasi internal tersebut tidak mengalcibatkan
perubahan pengendalian atas Perseroan karena pengendalian
akhir atas Perseroan tetap berada path pihak yang sama
sebelum dan setelah reorganisasi tersebut.
4. Impact of the event, The internal group restructuring resulted in a change in the

shareholder; the internal group restructuring has no material
impact on the operational activities, legal position, financial
condition, or business continuity of the Company!
Restrukturisasi internal tersebut mengakibatkan perubahan
pemegang langsung atas 267.330.074 saham yang mewakili
66,48% dani modal ditempatkan dan disetor Perseroan, dani
MCJ Lama menjadi Kalon Midco. Sebagaimana dijelaskan di
atas, secara hulcum nama Kalon Midco telah berubah menjadi
Mandom Corporation efektif sejak 1 September 2026, dan
pencatatan nama pemegang saham akan diperbarui menjadi
Mandom Corporation setelah dolcumen registrasi resmi yang
relevan tersedia.
Restrukturisasi internal tersebut tidak mengakibatkan
perubahan pengendalian atas Perseroan karena pengendalian
alchir atas Perseroan tetap berada pada pihak yang sama.
Restrukturisasi tersebut juga tidak mengakibatkan perubahan
atas jumlah saham yang diterbitkan oleh Perseroan, modal
ditempatkan dan disetor Perseroan, atau persentase saham yang
dimiliki oleh masyarakat.
Selain pembaruan administratif dan pelaksanaan kewajiban
pelaporan sehubungan dengan perubahan pemegang saham
langsung Perseroan, restrukturisasi internal tersebut tidak
memiliki dampak material terhadap kegiatan operasional,
aspek hulcum, kondisi keuangan, atau kelangsungan usaha
Perseroan.
