MERE Helping Your Business Grow SIARAN PRESS (PRESS RELEASE) PT Personel Alih Daya Tbk (PADA) Menyelenggarakan RUPST 2024 pada 6 Juni 2024 Jakarta, 7 Juni 2024 PT Personel Alih Daya Tbk (kode emiten PADA) sebagai Perusahaan di bidang jasa Tenaga Alih Daya atau outsourcing, pada 6 Juni 2024 telah menyelenggarakan RUPST 2024 bertempat di Kantor Perseroan, Jl Poltangan Raya No.35, Jakarta Selatan. Dalam RUPST tersebut dibahas keputusan untuk Agenda sebagai berikut : 1. Persetujuan dan pengesahan Laporan Tahunan Perseroan untuk tahun buku 2023, termasuk di dalamnya Laporan Kegiatan Perseroan, Laporan Pengawasan Dewan Komisaris dan Laporan Keuangan Perseroan untuk tahun buku 2023, serta pemberian pelunasan dan pembebasan tanggung jawab sepenuhnya (acguit et de charge) kepada Direksi dan Dewan Komisaris Perseroan atas tindakan pengurusan dan pengawasan yang mereka lakukan dalam tahun buku 2023. 2. Laporan dan pertanggungjawaban realisasi penggunaan dana hasil Penawaran Umum. 3. Penunjukkan Akuntan Publik dan/atau Kantor Akuntan Publik untuk mengaudit Laporan Keuangan Perseroan untuk tahun buku yang berakhir pada 31 Desember 2024, dan pemberian wewenang untuk menetapkan honorarium Akuntan Publik dan/atau Kantor Akuntan Publik serta persyaratan lainnya. 4. Penentuan honorarium, gaji, dan tunjangan lainnya bagi anggota Dewan Komisaris dan Direksi Perseroan. Direktur Utama Perseroan, Suwignyo mengatakan “Tahun 2023 adalah tahun yang penuh tantangan dengan persaingan pasar yang semakin ketat. Pendapatan Perseroan meningkat sebagai hasil upaya melakukan penguatan pasar, melakukan penguatan differentiation dengan solusi layanan terintegrasi (one stop services) yang merupakan keunggulan Perseroan, serta melakukan peningkatan kualitas layanan terbaik kepada para klien/mitra bisnis kami. Kendati demikian, untuk laba bersih Perseroan mengalami kerugian Rp5,53 miliar yang disebabkan oleh adanya peningkatan beban usaha terutama dari biaya penyusutan. Dalam RUPST tersebut dilaporkan pula bahwa seluruh dana hasil Penawaran Umum Perdana Saham atau IPO per 31 Desember 2023 telah habis digunakan sesuai dengan Prospektus Perseroan”. Kinerja A1-2024 Suwignyo menyampaikan “Pada kuartal pertama tahun 2024, secara berkelanjutan Perseroan terus melakukan penguatan pasar dan melakukan pengembangan bisnis serta memperbanyak penawaran layanan dengan model bisnis Manage Services yang berbasis Service Level Agreement (SLA). Peningkatan pendapatan tersebut belum dapat mengimbangi peningkatan beban biaya, sehingga laba bersih Perseroan mengalami kerugian Rp2,29 miliar, namun upaya efisiensi dan efektifitas terus dilakukan oleh Perseroan”. Prospek Bisnis dan Upaya ke Depan Suwignyo pun menegaskan ““Potensi pasar dari pengguna jasa outsourcing ke depannya masih sangat terbuka lebar, kendati perkiraannya masih akan terus menghadapi ketatnya persaingan usaha. Namun Perseroan optimis dapat menggarap pangsa pasar tersebut disertai dengan fokus Strategy pada sektor Teknologi dan Telekomunikasi. Ke depannya, Perseroan akan terus mengupayakan pertumbuhan dan skala bisnis yang lebih baik dengan melakukan perluasan cakupan wilayah dan jenis industri secara berkesinambungan disertai dengan peningkatan daya saing SDM (tenaga outsourcing) secara berkelanjutan”. Beng: 0 Helping Your Business Grow PRESS RELEASE PT Personel Alih Daya Tbk (PADA) Held The 2024 AGMS on June 6, 2024 Jakarta, June 7, 2024 PT Personel Alih Daya Tbk (ticker code PADA) as a company in the outsourcing services, on June 6, 2024 held the 2024 AGMS at the Company's office, Jl Poltangan Raya No.35, South Jakarta. The AGMS discussed the resolutions for the Agenda as follows: 1.Approval and ratification of the Company's Annual Report of the financial year 2023, including the Company's Activity Report, the Board of Commissioners Supervisory Report and the Company's Financial Statements of the financial year 2023, and to release and discharge of all responsibilities (acguit et de charge) to the Board of Directors and Board of Commissioners of the Company for the management and supervisory actions that have been carried out in the financial year 2023. 2.Report and accountability on realization of the use of proceed from the Public Offering (IPO). 3.Appointment of a Public Accountant and/or Public Accounting Firm to audit the Company's Financial Statements for the financial year ending 31 December 2024, and to grant authority to determine the honorarium of the Public Accountant and/or Public Accounting Firm and other reguirements. 4.Determination of honorarium, salary, and other benefits for members of the Board of Commissioners and the Board of Directors of the Company. President Director of the Company, Suwignyo said "2023 is a challenging year with increasingly tight market competition. The Company's revenue increased as a result of efforts to strengthen the market, strengthen differentiation with integrated service solutions (one stop services) which is the Company's strength, and improve the best guality of service to our clients /business partners. However, the Company's net profit suffered a loss of Rp5.53 billion due to an increase in operating expenses, especially depreciation costs. The AGMS also reported that all proceeds from the IPO as of 31 December 2023 have been used up in accordance with the Company's Prospectus”. @1-2024 Performance Suwignyo said “In the first guarter of 2024, the Company continued to strengthen its market and business development as well as expand its service offerings with a Manage Services business model based on Service Level Agreement (SLA). The increase in revenue has not been able to offset the increase in costs, resulting in a net profit loss of Rp2.29 billion, but efficiency and effectiveness efforts continue to be made by the Company”. Business Prospects and Future Initiatives Suwignyo also asserted, “The market potential of outsourcing service users in the future is still very wide open, although it is estimated that we will continue to face intense business competition. However, the Company is optimistic that it will be able to capture this market share with its Strategy focusing on the Technology and Telecommunications sectors. Furthermore, the Company will continue to strive for better growth and business scale by expanding the coverage area and type of industry followed by an increase in the competitiveness of human resources (outsourcing personnel) on an ongoing sustainable basis”.
