Uraian Informasi atau Fakta Material PT Energy Transporter Indonesia (ETI) yaitu anak perusahaan
dari PT Transcoal Pacific Tbk melakukan penjualan aset yang
sifatnya penting.
Jenis Aset
Jenis aset yang dijual oleh ETI adalah 1 (satu) unit kapal
tongkang bernama ETI 802.
Nilai Transaksi
1 (satu) unit kapal tongkang bernama ETI 802 dijual dengan
harga Rp. 18.000.000.000 (delapan belas miliar).
Pihak-pihak yang bertransaksi
Penjual adalah ETI, dan Pembeli adalah suatu perseroan
terbatas yang didirikan berdasarkan ketentuan hukum yang
berlaku di Negara Republik Indonesia yang berkedudukan di
Kota Samarinda, Kalimantan Timur.
Penjelasan ada tidaknya hubungan afiliasi dengan Pelanggan
Transaksi ini bukan merupakan transaksi afiliasi karena tidak
ada hubungan afiliasi antara ETI dan Pembeli.

Perusahaan Publik milik ETI. Kondisi kapal tongkang ini sudah kurang komersial
untuk dioperasikan oleh ETI dengan penjualan ini diharapkan
kegiatan operasional ETI akan menjadi lebih baik kedepan.
Hukum
Penjualan unit kapal tersebut akan mengakibatkan beralihnya
hak dan kepemilikan kapal tersebut dari ETI kepada Pembeli
Kondisi Keuangan
ETI sebagai Penjual akan menerima harga jual kapal tersebut
dari Pembeli. Penjualan kapal tersebut tidak berdampak
signifikan terhadap kondisi keuangan ETI.
Kelangsungan Usaha
Kelangsungan usaha tetap terjaga dan terjamin dengan baik.
Informasi Lain
Berdasarkan nilai transaksi sebagaimana tersebut di atas, maka penjualan kapal tersebut bukan merupakan Transaksi
Material sebagaimana didefinisikan dalam Peraturan Otoritas Jasa Keuangan No. 17/POJK.04/2020 tentang Transaksi
Material dan Perubahan Kegiatan Usaha

ETI 802.
Transaction Value
1 (one) unit of barge named ETI 802 is sold IDR
18,000,000,000 (eighteen billion Rupiah).
Transaction Parties
The Seller is ETI, and the Buyer is a limited liability company
established under the laws of the Republic Indonesia
domiciled in Samarinda, East Kalimantan.
Explanation of whether or not there is an affiliate relationship
with the Customer
This transaction is not an affiliated transaction because there
is no affiliated relationship between the ETI and Buyer.

Company’s operational activities, legal, The sale of this vessel aims to rejuvenate the ETI vessel. The
financial condition, or going concern condition of this barge is no longer commercial enough for ETI
to operate. By the sale of this vessel, it is expected that ETI
operational actives will improve in the future.
Law
The sale of this vessel will create the transfer of rights and
ownership of this vessel from ETI to the Buyer.
Financial Condition
ETI as the Seller will receive the selling price of this vessel
from the Buyer. The sale of this vessel did not have a
significant impact on ETI financial condition.
Business Continuity
Business continuity is maintained and well guaranteed.
Other Information
Based on the transaction value as mentioned above, the sale of the vessel is not a Material Transaction as defined
in Financial Services Authority Regulation No. 17/POJK.04/2020 concerning Material Transactions and Changes in
Business Activities
