PT. Sinar Indra Nusajaya ("SIJ”) telah menandatangani perjanjian sewa
Material / menyewa bangunan dengan PT. MK Prima Indonesia ("MKPI”).
Description of Information or
Material Fact Obyek Transaksi adalah sebidang tanah dan bangunan seluas 600 m? terletak
di Jalan Mayjend Sungkono No. 1, Prambangan, Kebomas, Gresik, dengan
nilai sewa sebesar Rp. 35.000.000,- untuk periode 6 bulan. Periode sewa
disepakati mulai tanggal 15 Mei 2026 - 14 November 2026.
Transaksi yang digambarkan pada Keterbukaan Informasi ini merupakan
Transaksi Afiliasi yang hanya wajib dilaporkan oleh Perusahaan kepada
Otoritas Jasa Keuangan (“OJK”) sebagaimana dimaksud dalam Peraturan OJK
Transaksi Afiliasi dan Transaksi Benturan Kepentingan (POJK No.
42/POJK.04/2020), khususnya pada pasal 6 angka 1 butir c.
Di mana sifat hubungan Afiliasi adalah sebagai berikut:

b. PT. MKPI adalah Entitas Anak yang 5196 kepemilikan sahamnya dimiliki
Perseroan.
PT. Sinar Indra Nusajaya (“SIJ”) has signed a building lease 'agreement with
PT. MK Prima Indonesia (“MKPI”).
The object of the transaction is the lease of a building, with an area of 600
meters' located on Mayjend Sungkono Number 1, Prambangan, Kebomas,
Gresik with a lease costs of Rp 35,000,000.- for 6 months. The lease period
will start on May 15, 2026 and concludes on November 14, 2026.
The transactions described in this Disclosure of Information are Affiliated
Transaction that must be reported by the Company to the Financial Services
Authority (“OJK”). As stated in the OJK Regulation on Affiliated Transactions
and Conflict of Interest Transactions (POJK No. 42/POJK.04/2020), in
particular in article 6 point 1 (c).
The Affiliate relationship is structured as follows:
a. PT Sinar Indra Nusajaya (“SIJ”) is a subsidiary entity, with 99.0096 share
ownership held by the Company.
b. PT MK Prima Indonesia ("MKPI”) is a subsidiary entity, with 519 share
ownership held by the company.
