5 Juni 2024 yang kami terima ("Laporan"),
Perseroan menginformasikan bahwa PT iForte
Solusi Infotek ("Pembeli"), yang merupakan
entitas anak tidak langsung yang dikendalikan
oleh TOWR, berencana untuk mengambil alih
saham-saham dalam Perseroan yang mewakili
kurang lebih 90,114 (sembilan puluh koma satu
satu persen) dari total modal yang disetor dan
ditempatkan dalam Perseroan, yang dimiliki oleh
PT Bakti Taruna Sejati (pemegang saham
mayoritas Perseroan) dan beberapa pemegang
saham minoritas Perseroan lainnya (selanjutnya
secara bersama-sama disebut sebagai "Para
Penjual"), dimana setelah penyelesaian transaksi
pengambilalihan saham tersebut, Pembeli akan
menjadi pengendali baru Perseroan (rencana
pengambilalihan saham sebagaimana
dideskripsikan di atas selanjutnya disebut
sebagai "Rencana Pengambilalihan").

("Purchaser"), an indirect subsidiary that is
controlled by TOWR, proposed to acguire shares
in the Company, representing approximately
90.114 (ninety point one one percent) of all issued
and paid-up capital in the Company, owned by PT
Bakti Taruna Sejati (as the majority shareholder of
the Company) and certain other minority
shareholders of the Company (collectively
hereinafter shall be referred to as the “Sellers”),
whereby after the completion of the acguisition of
shares transaction, the Purchaser will be the new
controller of the Company (proposed acguisition
of shares as described above hereinafter shall be
referred to as the “Proposed Acguisition”).

Rencana Pengambilalihan tersebut dilakukan
melalui proses tender/lelang yang diadakan oleh
Para Penjual, dan PT Profesional Telekomunikasi
Indonesia (“Protelindo") yang merupakan anak
perusahaan terkendali yang dimiliki secara
langsung oleh TOWR, turut berpartisipasi dalam
pelaksanaan tender/lelang dimaksud hingga
dipilih sebagai pemenang dari tender/lelang
(preferred bidder). Setelah Protelindo terpilih
sebagai pemenang dari tender/lelang (preferred
bidder), Protelindo kemudian menunjuk Pembeli,
yang juga merupakan anak perusahaan
terkendali dari Protelindo, untuk bertindak
sebagai pembeli pada Rencana Pengambilalihan.

The Proposed Acguisition is conducted through ad
tender process held by the Sellers, and PT
Profesional Telekomunikasi Indonesia
("Protelindo"), which is a controlled subsidiary
directly owned by TOWR, has participated in this
tender process and was named as the preferred
bidder. Following Protelindo being named as the
preferred bidder, Protelindo appointed the
Purchaser, which is also @ subsidiary that is
directly controlled by Protelindo, to act as the
purchaser for the Proposed Acgutsition.

Rencana Pengambilalihan.

4. Dampak kejadian, informasi atau Sebagaimana disampaikan dalam Laporan,
fakta material tersebut terhadap apabila Rencana Pengambilalihan antara Para
kegiatan operasional, hukum, kondisi Penjual dan Pembeli telah selesai, penyelesaian
keuangan, atau kelangsungan usaha tersebut akan menyebabkan — perubahan
Emiten atau Perusahaan Publik / komposisi pemegang saham Perseroan.

the Proposed Acguisition, at this stage, the
Company is not able to foresee the impact of the
abovementioned material information or facts to
the operational, legal, financial condition or
continuity of the Company business.
