Uraian Informasi atau Fakta Material Penyampaian Informasi sehubungan dengan pengalihan
saham anak usaha Perseroan yakni PT PELABUHAN TEMAS
NUSANTARA kepada anak usaha lainnya yakni PT TEMAS
PORT.
Pengalihan 99,9% saham oleh Perseroan sebesar Rp
124.875.000.000 (seratus dua puluh empat miliar delapan
ratus tujuh puluh lima juta Rupiah) yang bukan merupakan
transaksi material sesuai dengan POJK No. 42/POJK.04/2020,
karena tidak melebihi 20% ekuitas Perseroan berdasarkan
laporan keuangan perusahaan tahun buku 2023, serta
pengalihan saham tersebut bukan merupakan
pengambilalihan (akuisisi) dikarenakan tidak terjadinya
perubahan dan/atau peralihan pengendalian (kontrol) serta
pemilik manfaat (Beneficial Owner) perseroan tetap sama.
Dampak kejadian, informasi atau fakta Tidak ada
material tersebut terhadap kegiatan
operasional, hukum, kondisi keuangan,
atau kelangsungan usaha Emiten atau

NUSANTARA, to another subsidiary, namely PT TEMAS

The transfer of 99.9% shares by the Company amounted to
IDR 124,875,000,000 (one hundred twenty four billion eight
hundred seventy five million Rupiah) which is not a material
transaction in accordance with POJK No. 42/POJK.04/2020,
because it does not exceed 20% of the Company's equity
based on the company's financial report for the 2023 financial
year, and the transfer of shares does not constitute a takeover
(acquisition) because there is no change and/or transfer of
control and Beneficial Owner of the company remains the
same.
