Perseroan sebesar 76,07% (tujuh puluh enam koma nol tujuh
persen) pada PT Nusantara Baja Profil (NBP), suatu anak
perusahaan Perseroan, sebagaimana telah diumumkan dalam
Keterbukaan Informasi Perseroan tanggal 21 Maret 2024 yang
telah diubah terakhir melalui Perubahan dan/atau Tambahan
Informasi atas Keterbukaan Informasi tanggal 29 April 2024
Uraian Informasi atau Fakta Material Pada tanggal 31 Mei 2024, berdasarkan Akta Pengambilalihan
No. 95 tanggal 30 Mei 2024, Akta Pengambilalihan No. 96
tanggal 30 Mei 2024, serta Pengambilalihan No. 97 tanggal 30
Mei 2024, Perseroan telah menyelesaikan proses pelepasan
penyertaan Perseroan atas 76,07% (tujuh puluh enam koma
nol tujuh persen) saham pada NBP sebanyak 9.699.984
saham, dengan total jumlah nilai transaksi sebesar USD
338.858.153 atau setara dengan nilai sebesar Rp
5.223.837.286.641 berdasarkan nilai tukar kurs tengah BI per
tanggal 31 Desember 2023 yaitu Rp 15.416 per Dolar Amerika
Serikat yang kepemilikannya dialihkan kepada Yamato Kogyo
Co. Ltd., Siam Yamato Steel Co. Ltd., dan PT Hanwa
Indonesia.
Dampak kejadian, informasi atau fakta Dengan demikian maka kepemilikan Perseroan pada NBP
material tersebut terhadap kegiatan menjadi 5% atau sebanyak 637.593 saham yang setara
operasional, hukum, kondisi keuangan, dengan Rp318.796.500.000,00. Atas hal tersebut,
atau kelangsungan usaha Emiten atau sebagaimana yang telah dilaporkan dalam Keterbukaan
Perusahaan Publik Informasi sebelumnya, menjadi telah efektif selesai.
Selanjutnya seluruh pelepasan penyesertaan Perseroan
terhadap NBP, akan dikonsolidasikan dalam laporan
keuangan Perseroan dan Entitas Anak di masa yang akan
datang.
