Uraian Informasi atau Fakta Material Keterbukaan ini dibuat sehubungan dengan pelaksanaan
MESOP Tahap Pertama Perseroan yang merujuk kepada:
1. Surat BEI Nomor S-02487/BEI.PP3/03-2023 tanggal
24 Maret 2023 tentang Persetujuan Pencatatan Saham
Tambahan dalam Rangka Pelaksanaan MESOP,
2. Pengumuman Bursa Nomor Peng-P00295/BEI.
PP3/03-2023 melalui laman www.idx.co.id (Persetujuan Pra-
Pencatatan), dan
3. Keterbukaan Informasi dan Pengumuman Perseroan
yang telah Perseroan laporkan pada Sistem Pelaporan
Elektonik Bursa (SPE) dan website Perseroan melalui laman
https://wir.group/id/update-perusahaan/, yaitu:
a. Surat Nomor 064/CORSEC/WIRG/V/2023 tanggal 31
Mei 2023 perihal Hasil Pelaksanaan MESOP Periode Pertama
Perseroan.
b. Surat Nomor 155/CORSEC/WIRG/XII/2023 tanggal
14 Desember 2023 perihal Hasil Pelaksanaan MESOP
Periode Kedua Perseroan.
c. Surat Nomor 066/CORSEC/WIRG/V/2024 tanggal 31
Mei 2024 perihal Hasil Pelaksanaan MESOP Periode Ketiga
Perseroan.
Hasil MESOP Tahap Pertama Perseroan ini merupakan
rekapitulasi dari hasil pelaksanaan MESOP Periode Pertama
sampai dengan Periode Ketiga, dengan rincian sebagai
berikut:
a. Jumlah opsi yang telah dilaksanakan sebanyak nihil.
b. Jumlah opsi yang belum dilaksanakan dan habis
masa berlakunya sebanyak 233.709.000 (dua ratus tiga puluh
tiga juta tujuh ratus sembilan ribu) saham.
Mengacu kepada Prospektus Perseroan saat Pelaksanaan
Penawaran Umum Perdana, Perseroan berencana melakukan
2 (dua) tahap pendistribusian hak opsi MESOP, namun
Perseroan memutuskan untuk melaksanakan MESOP dengan
hanya 1 (satu) tahap, dengan mempertimbangkan dinamika
strategi bisnis dan perkembangan teknologi serta kondisi
perekonomian baik global maupun domestik. Selain itu pada
saat pengajuan permohonan pra pencatatan saham tambahan
hasil pelaksanaan MESOP, Perseroan sedang mengkaji
beberapa rencana strategis, dan Perseroan secara
berkelanjutan memiliki program penguatan Sumber Daya
Manusia. Pada tahun 2023, Perseroan berfokus untuk
memperkuat performa bisnis dan kinerja terlebih dahulu.
Dampak kejadian, informasi atau fakta Sampai dengan tanggal keterbukaan informasi ini, tidak ada
material tersebut terhadap kegiatan dampak kejadian terhadap kegiatan operasional, hukum,

Description of Material Information or This disclosure is made in connection with the implementation
Facts of the Company First Phase of MESOP which refers to:
1. Indonesia Stock Exchange Letter Number S-
02487/BEI.PP3/03-2023 dated March 24, 2023, regarding the
Approval of Additional Shares Listing of the Implementation of
MESOP,
2. Indonesia Stock Exchange Announcement Number
Peng-P00295/BEI.PP3/03-2023 through the website www.idx.
co.id (Pre-Listing Approval), and
3. Information Disclosure and Announcement of the
Company that has been reported in the Exchange Electronic
Reporting System (SPE) and the Company's website through
https://wir.group/id/update-perusahaan/, namely:
(a) Letter Number 064/CORSEC/WIRG/V/2023 dated
May 31, 2023, regarding the Implementation Results of the
Company First Period MESOP.
(b) Letter Number 155/CORSEC/WIRG/XII/2023 dated
December 14, 2023, regarding the MESOP Implementation
Results of the Company Second Period.
(c) Letter Number 066/CORSEC/WIRG/V/2024 dated
May 31, 2024, regarding the Results of MESOP
Implementation for the Third Period of the Company.
The results of the Company's First Phase MESOP are a recap
of the implementation results from the First Period to the Third
Period, with details as follows:
a. The number of options that have been exercised is
nil.
b. The number of options that have not been exercised
and expired is 233,709,000 (two hundred thirty-three million
seven hundred nine thousand) shares.
Referring to the Company Prospectus at the time of the Initial
Public Offering, the Company planned to distribute MESOP
options in 2 (two) phases. However, the Company decided to
implement MESOP in only 1 (one) phase, considering the
dynamics of business strategy, technological developments,
and economic conditions both globally and domestically.
Additionally, at the time of submitting the pre-listing application
for additional shares resulting from MESOP, the Company was
evaluating several strategic plans and continuously
strengthening its Human Resources program. In 2023, the
Company focused on enhancing its business performance and
operations first.
Impact of event, material information or As of the date of this information disclosure, there have been
facts towards Issuers or Public no specific impact of events on the Company operational
Company’s operational activities, legal, activities, legal aspects, financial conditions, or business
financial condition, or going concern continuity.
