maupun Transaksi Benturan Kepentingan berdasarkan
Peraturan Otoritas Jasa Keuangan.
Uraian Informasi atau Fakta Material Dalam rangka memenuhi Peraturan Otoritas Jasa Keuangan
No. 31/POJK.04/2015 tanggal 16 Desember 2015 tentang
Keterbukaan atas Informasi atau Fakta Material oleh Emiten
atau Perusahaan Publik, Perusahaan menyampaikan bahwa:
a. Untuk memperkuat pijakan strategis global
khususnya di Kawasan Asia Tenggara, PT Kalbe Farma Tbk
melalui anak perusahaannya Kalbe International Pte. Ltd.
mengumumkan penandatanganan perjanjian transaksi dengan
Alliance Pharma Co. Ltd.
b. Kesepakatan ini menyetujui pengalihan 49%
kepemilikan saham Alliance Pharma kepada Kalbe
International. Penyelesaian transaksi diharapkan efektif dalam
waktu satu bulan;
Dampak kejadian, informasi atau fakta Kerjasama ini diharapkan dapat memperluas Bisnis Obat
material tersebut terhadap kegiatan Resep dengan peningkatan penetrasi pasar dan ketersediaan
operasional, hukum, kondisi keuangan, produk Kalbe di Kawasan Asia Tenggara, khususnya Thailand
atau kelangsungan usaha Emiten atau melalui sinergi pengetahuan pasar Alliance Pharma dan
Perusahaan Publik portofolio Kalbe.

Description of Material Information or In compliance with Indonesia Financial Services Authority
Facts Regulation No. 31/POJK.04/2015 dated December 16, 2015,
regarding Disclosure of Information or Material Facts by the
Issuer or a Listed Company, the Company hereby announces
that:
a. To strengthen its global strategic foothold, especially
in the South East Asian Region, PT Kalbe Farma Tbk through
its subsidiary Kalbe International Pte. Ltd. announced the
signing of transaction agreements with Alliance Pharma Co.
Ltd.;
b. This agreement agreed to transfer 49% of Alliance
Pharma's share ownership to Kalbe International. Completion
of the transaction is expected to be effective within one month;
Impact of event, material information or This collaboration is expected to expand the Prescription
facts towards Issuers or Public Pharma Business by increasing market penetration and the
Company’s operational activities, legal, availability of Kalbe products in the Southeast Asia Region,
financial condition, or going concern particularly Thailand through the synergy of Alliance Pharma's
market knowledge and Kalbe's portfolio.
