|. PENDAHULUAN

Perubahan Keterbukaan Informasi ini memuat
informasi mengenai rencana penambahan
kegiatan usaha Perseroan berupa
penambahan Klasifikasi Baku Lapangan
Indonesia (KBLI) Baru Perseroan, yaitu
Perdagangan Eceran Motor Bekas (45404),
sebagaimana dimaksud dalam  POJK
No. 17/POJK.04/2020 tentang Transaksi
Material dan Perubahan Kegiatan Usaha
(“POJK 17/2020”), dimana diwajibkan untuk
memperoleh persetujuan Rapat Umum
Pemegang Saham Tahunan, yang
rencananya akan diselenggarakan pada
tanggal 31 Mei 2024 (“RUPST”).

Sehubungan dengan hal-hal sebagaimana
disebutkan di atas, Direksi Perseroan
mengumumkan Perubahan Keterbukaan
Informasi ini melalui situs web Perseroan dan
situs web Bursa Efek Indonesia dengan
maksud untuk memberikan informasi maupun
gambaran yang lebih lengkap kepada para
Pemegang Saham Perseroan mengenai
rencana penambahan kegiatan usaha.
Perseroan juga menyediakan data mengenai
penambahan kegiatan usaha kepada
pemegang saham sejak saat Pengumuman
RUPST serta dokumen pendukung kepada
OJK dengan ketentuan sebagaimana diatur
dalam POJK No. 17/2020.

Rencana Penambahan Kegiatan Usaha ini
dirasa perlu direalisasi saat ini karena melihat
adanya peluang pertumbuhan yang telah
signifikan terjadi di Indonesia. Penjualan
motor untuk pasar domestik di Indonesia
sepanjang tahun 2023 telah mencapai lebih
dari 6 juta unit, tepatnya 6.236.992 unit.
Potensi pasar industri penjualan motor bekas
sangat besar, Peluang ini didukung oleh
peningkatan permintaan dari kota-kota tier-2
untuk mobilitas pribadi.

16 INTRODUCTION

This Amended Information Disclosure contains
information regarding the plan to add the
Company's business activity in the form of the
addition of the Company's New Indonesian Field
Standard Classification (KBLI), namely Used
Motor Retail Trade (45404), as referred to in
POJK No.  17/POJK.04/2020  concerning
Material Transactions and Changes in Business
Activities ("POJK 17/2020”), which is reguired to
obtain approval from the Annual General
Meeting of Shareholders, which is planned to be
held on 31 May 2024 (“AGMS”).

In connection with the matters mentioned above,
the Company's Board of Directors announces
this Amended Information Disclosure through
the Company's website and the Indonesia Stock
Exchange website with the intention to provide
more complete information to the Company's
Shareholders regarding the plan to add the
business activity. The Company also provides
data regarding the addition of business activity
to shareholders since the time of the AGMS
Announcement as well as supporting documents
to OJK with provisions as stipulated in POJK No.
17/2020.

The Additional Business Activity Plan is deemed
necessary to be realized at this time due to the
significant growth opportunities that have
occurred in Indonesia. Motorcycle sales for the
domestic market in Indonesia throughout 2023
have reached more than 6 million units,
6,236,992 units to be exact. The market
potential of the used motorcycle sales industry is
huge, this opportunity is supported by the
increasing demand from tier-2 cities for personal
mobility.

Selanjutnya Perseroan merasa perlu
mengajukan Rencana Penambahan Kegiatan
Usaha ini karena ditengah pertumbuhan
otomotif kendaraan motor yang semakin
pesat, hal ini akan menjadi suatu pendorong
yang akan membesarkan dan menguatkan
kedudukan anak usaha Perseroan yaitu JBA
sebagai balai lelang otomotif terbesar di
Indonesia. Hal itu bisa terjadi karena proses
Penambahan Kegiatan Usaha ini akan
menjadi ijin bagi Perseroan dalam melakukan
pembelian atas kendaraan motor baik dari
orang perseroangan atau dari perusahaan
yang hendak melakukan peremajaan atas
kendaraan, setelah pembelian itu seluruh aset
tersebut akan dilakukan lelang melalui JBA.

a direct customer or from a company that wants
to rejuvenate the vehicle, afterthat all assets will

Perseroan optimis Rencana Penambahan
Kegiatan Usaha ini akan memperkuat
kepercayaan bagi Perseroan yang mampu
mengelola bidang otomotif baik kendaraan
mobil ataupun kendaraan motor. Optimisme
ini dimiliki Perseroan karena Perseroan telah
memiliki ekosistem otomotif terlengkap sejauh
ini yaitu balai lelang otomotif, tempat jual-beli
kendaraan mobil bekas dan memiliki anak
usaha yang bergerak dalam pergadaian.
Sehingga hal ini akan mempercepat langkah
Perseroan yang baru menjadi perusahaan
terbuka pada tahun 2021 menjadi top-of-mind
baik dari pedagang otomotif hingga pengguna
otomotif yang ada di Indonesia.

Perubahan Keterbukaan Informasi ini menjadi
dasar pertimbangan bagi para pemegang
saham Perseroan untuk memberikan
persetujuan atas rencana penambahan
kegiatan usaha dalam hal ini berupa
penambahan KBLI yang akan diusulkan oleh
Perseroan kepada RUPST.

A. Riwayat singkat

Perseroan didirikan berdasarkan akta
Notaris Dr. Irawan Soerodjo, S.H., M.Si No.
93, tanggal 18 November 2013 dengan
nama PT Adi Sarana Lelang, yang telah
mendapat pengesahan dari Menteri Hukum
dan Hak Asasi Manusia Republik Indonesia
berdasarkan Surat Keputusan nomor AHU-
06696.AH.01.01.Tahun 2014 tanggal 18

The Company is optimistic that this Additional
Business Activity Plan will strengthen the trust
for the Company to be able to manage the
automotive sector, both cars and motorcycles.
This optimism is owned by the Company
because the Company already has the most
complete automotive ecosystem so far, namely
the automotive auction center, used car vehicle
trading place and has a subsidiary engaged in
pawnshop. So that this will accelerate the steps
of the Company, which only became a public
company in 2021, to become the top-of-mind of
both automotive traders and automotive users in
Indonesia.

This Amended Information Disclosure is the
basis for consideration for the Company's
Shareholders to give approval for the plan to add
business activity, in this case in the form of
additional KBLI which will be proposed by the
Company to the AGMS.

II. INFORMATION REGARDING THE COMPANY

A. Brief History

The Company was established based on
Notarial Deed of Dr. Irawan Soerodjo, S.H.,
M.Si No. 93, dated 18 November 2013 under
the name PT Adi Sarana Lelang, which has
received approval from the Minister of Law
and Human Rights of the Republic of
Indonesia based on Decree number AHU-

II. URAIAN MENGENAI

Perseroan bermaksud untuk melakukan
Penambahan Kegiatan Usaha yaitu
Perdagangan Eceran Sepeda Motor Bekas
(KBLI : 45404). Berdasarkan Undang-Undang
No. 40 tahun 2007 tentang Perseroan Terbatas
(“UUPT”), Perseroan wajib mengubah pasal 3
Anggaran Dasar tentang maksud dan tujuan,
serta kegiatan usaha Perseroan, untuk memuat
Penambahan Kegiatan Usaha. Berdasarkan
UUPT dan Peraturan Otoritas Jasa Keuangan
Republik Indonesia No. 17/POJK.04/2020
tentang Transaksi Material dan Perubahan
Kegiatan Usaha (“POJK 17/2020”), perubahan
Anggaran Dasar perlu memperoleh persetujuan
rapat umum pemegang saham. Setelah telah
memenuhi segala syarat sebagaimana
dipersyaratkan dalam POJK 17/2020 dan
diperolehnya persetujuan rapat umum
pemegang saham maka Perseroan dapat
menjalankan Penambahan Kegiatan Usaha.

Tidak adanya ketentuan, persetujuan, perijinan
atau pemberitahuan yang perlu dipenuhi,
diperoleh atau dilakukan oleh Perseroan baik
dari pemerintah dan/atau badan dan/atau
institusi lain termasuk dari pihak ketiga lainnya
sebelum Perseroan mendapatkan persetujuan
dari RUPST yang telah dijadwalkan diadakan
sebagaimana diungkapkan dalam bagian
Informasi Mengenai Rapat Umum Pemegang
Saham Tahunan Perseroan Tahun 2024.

1. BRIEF DESCRIPTION ON

BUSINESS

ADDITIONAL
ACTIVITIES PLAN

The Company intends to conduct additional
business activities, namely Retail Trade of Used
Motorcycles (KBLI: 45404). Pursuant to Law No.
40 of 2007 on Limited Liability Companies
(UUPT”), the Company is reguired to amend
article 3 of the Articles of Association regarding
the purposes and objectives, as well as the
business activities of the Company, to include the
Addition of Business Activities. Pursuant to the
Company Law and Regulation of the Financial
Services Authority of the Republic of Indonesia
No.  17/POJK.04/2020  regarding — Material
Transactions and Changes in Business Activities
(“POJK 17/2020”), amendments to the Articles of
Association reguire the approval of the general
meeting of shareholders. After fulfiling all the
conditions as reguired in POJK 17/2020 and
obtaining the approval of the general meeting of
Shareholders, the Company can carry out the
Additional Business Activities.

There are no provisions, approvals, licenses or
notifications that need to be fulfilled, obtained or
carried out by the Company either from the
government and / or other bodies and / or
institutions including from other third parties
before the Company obtains approval from the
AGMS mhich has been scheduled to be held as
disclosed in the section regarding the Information
About Company's Annual General Meeting In

Setelah didapatkannya persetujuan dari
RUPST, Perseroan akan mengambil langkah-
langkah yang dibutuhkan dalam melakukan
Penambahan Kegiatan Usaha yaitu :

(i) mendapatkan persetujuan perubahan

Anggaran Dasar Perseroan dari
Kementerian Hukum dan Hak Asasi
Manusia,

(ii) melakukan pengurusan atas pengkinian
data atas perijinan berusaha berbasis
resiko berbasis resiko dalam sistem
Online Single Submission, dengan
memasukkan KBLI Rencana Kegiatan
Usaha didalamnya, dan

mematuhi dan memenuhi ketentuan-
ketentuan yang ditetapkan termasuk
pengurusan perijinan ataupun
persetujuan yang dibutuhkan dari
instansi pemerintah terkait sesuai
dengan peraturan perundang-undangan
yang berlaku (apabila ada).

MENGENAI RENCANA
PENAMBAHAN KEGIATAN USAHA

Perseroan telah menunjuk Kantor Jasa Penilai
Publik (“KJPP”) Tobing Panuturi dan Rekan,
sebagai Penilai Independen untuk
penyusunan studi kelayakan atas rencana
penambahan kegiatan usaha berupa
penambahan Klasifikasi Baku Lapangan
Usaha Indonesia (“KBLI”) oleh Perseroan.

KJPP Tobing Panuturi dan Rekan adalah
Kantor Jasa Penilai Publik yang secara resmi
telah terdaftar sebagai Profesi Penunjang
Pasar Modal di OJK dengan Surat Tanda
Terdaftar Profesi Penunjang Pasar Modal No.
STTD.PB-04/PJ-1/PM.223/2023.

After obtaining approval from the AGMS, the
Company will take the necessary steps in
conducting Additional Business Activities, as
follows:

(i) obtain approval of the amendment to the
Company's Articles of Association from
the Ministry of Law and Human Rights:

(ii) arranging for data updates on risk-based
business licenses in the Online Single
Submission system, by including the KBLI

Business Activity Plan therein: and

(iii) comply with and fulfill the conditions
stipulated including the arrangement of
licenses or approvals reguired from the
relevant government  agencies in
accordance with the applicable laws and

regulations (if any).

The amendment of this Information Disclosure
becomes the basis of consideration for the
Shareholders of the Company to approve the Plan
of Addition of Business Activities at the AGMS.

IV. SUMMARY OF FEASIBILITY STUDY
ADDITIONAL BUSINESS

bisnis, aspek model manajemen, dan
aspek keuangan dengan syarat seluruh
aspek tersebut — terpenuhi. Maka
disimpulkan bahwa penambahan kegiatan
usaha perdagangan eceran sepeda motor
bekas yang akan dilakukan oleh ASLC
adalah LAYAK.

SEHUBUNGAN DENGAN RENCANA
PENAMBAHAN KEGIATAN USAHA

Sehubungan dengan rencana Penambahan
Kegiatan Usaha, saat ini Perseroan telah
mempersiapkan tenaga ahli yang dapat
mendukung Penambahan Kegiatan Usaha,
dimana tenaga ahli tersebut berasal dari tenaga
ahli yang telah bekerja pada Perseroan,
sehingga tidak terdapat biaya tambahan yang
material yang akan dikeluarkan oleh Perseroan
dalam perekrutan tenaga ahli.

Tenaga ahli yang dimaksud telah memiliki
kemampuan dan keahlian yang mencukupi
dalam melakukan kegiatan usaha tersebut.
Sehingga saat ini masih belum membutuhkan
tenaga ahli tambahan.

Perseroan telah memperhitungkan atas
Penambahan Kegiatan Usaha akan
membutuhkan tenaga kerja pada tahun 2024
terdapat 3 tenaga kerja yaitu 1 orang appraisal,
1 orang kepala unit dan 1 orang sales, untuk
tahun 2025 dan 2026 masing-masing terdapat

VI. PENJELASAN, PERTIMBANGAN DAN
ALASAN DILAKUKANNYA
PENAMBAHAN KEGIATAN USAHA

Perseroan tetap berfokus untuk dapat
mencapai visi yang ditetapkan yaitu menjadi
omnichannel otomotif marketplace yang paling
terpercaya. Melihat perkembangan pasar
kendaraan motor yang terus meningkat dari
pertumbuhan penjualan motor baru setiap
tahunnya, ditambah pertumbuhan lelang
kendaraan motor yang dilakukan oleh JBA
(anak usaha Perseroan yang telah
mendapatkan ijin operasional sebagai balai
lelang dari Direktorat Jendral Kekayaan
Negara) setiap tahunnya, Perseroan melihat
adanya peluang bisnis terhadap penjualan
motor bekas kedepannya, maka dari itu
Perseroan melihat bahwa sudah seharusnya
Perseroan  mengembangan fokus dari
kendaraan mobil saja menjadi seluruh
kendaraan baik kendaraan motor dan
kendaraan mobil.

In connection with the Additional Business
Activities plan, the Company has prepared the
experts who can support the Additional Business
Activities, whereby these experts come from

therefore no material additional costs will be
incurred by the Company in recruiting the experts

The experts as mentioned already have sufficient
ability and expertise in carrying out these business
activities. So that at this time there is still no need
for additional experts.

The Company has calculated that the Addition of
Business Activities will reguire labor in 2024 there
are 3 workers, namely 1 appraisal, 1 head of unit
and 1 sales person, for 2025 and 2026 each there
is an additional 1 appraisal worker.

VI. EXPLANATION,  CONSIDERATION
AND REASONS FOR THE ADDITION
OF BUSINESS ACTIVITY

The Company remains focused on achieving its
vision of becoming the most trusted omnichannel
automotive marketplace. Seeing the development
of the motorcycle market that continues to
increase from the growth of new motorcycle sales
every year, plus the growth of motorcycle auctions
conducted by JBA (a subsidiary of the Company
that has obtained an operational license as an
auction house from the Directorate General of
State Assets) every year, the Company sees a
business opportunity for used motorcycle sales in
the future, therefore the Company sees that it is
appropriate for the Company to expand its focus
from car vehicles to all vehicles, both motorcycles
and car vehicles.

The Company plans took steps to be able to make
a business breakthrough as a pioneer for
collaboration in trade-in for authorized dealers of

Perseroan perlu melakukan Penambahan
Kegiatan Usaha sebagaimana dijelaskan pada
bagian Uraian Singkat Mengenai Penambahan
Kegiatan Usaha di atas.

Pengaruh atas Penambahan Kegiatan Usaha
terhadap tambahan pendapatan Perseroan
diproyeksikan akan berkontribusi sebesar 1,74
per tahun selama tahun proyeksi.

motor vehicles, by purchasing used motorcycles
from consumers who will purchase new
motorcycles to authorized dealers, where the
used motorcycles will be resold by the Company
through the JBA auction process or direct sales to
retail consumers. In addition to entering into the
B2C model, the Company hopes to become a
forum for companies (including car and
motorcycle rental companies) that plan to sell
motorcycle or company car assets directly to the
Company (B2B model).

Thus, itis expected that this will be the Company's
step in realizing a vision that continues to be
sustainable with the Company's development. In
connection with this, the Company needs to
conduct Additional Business Activities as
described in the Brief Description of Additional
Business Activities section above.

The effect of the Additional Business Activities on
the Company's additional revenue is projected to
contribute 1.745 per year during the projection
year.

VII. EXPLANATION OF THE EFFECT OF
ADDITIONAL BUSINESS ACTIVITY
ON THE COMPANY'S FINANCIAL

CONDITION

Based on financial projections, the addition of New
Business Activity will increase revenue for the
Company. With the addition of New Business
Activity until the end of the projection period, the
Company's performance will improve.

With the addition of the Business Activity, the
financial statement items affected by the addition
of the Business Activity during the projection year
include an increase in revenue projected to
contribute 1.745 per year during the projection
year and net income per year of approximately
0.416 - 0.545 per year during the projection year
compared to the projection without the addition of
the Business Activity.

Asumsi dan dasar penyusuan proyeksi, antara
lain biaya investasi dengan total Rp.
2.500.000.000,- (dua miliar lima ratus juta
Rupiah) sepanjang tahun proyeksi yang akan
digunakan untuk modal kerja dalam pembelian
motor bekas, biaya operasional dan beban
usaha.

Perseroan dalam menjalankan Rencana
Kegiatan Usaha akan menggunakan sumber
daya tenaga kerja yang telah bekerja di
Perseroan sebagaimana diungkapkan pada
bagian Ketersediaan Tenaga Ahli.

Perseroan tidak secara khusus menyiapkan
fasilitas dalam menjalankan Rencana Kegiatan
Usaha, namun akan tetap menggunakan
fasilitas yang telah ada dan dimiliki oleh
Perseroan seperti kantor tempat kerja yang
telah digunakan oleh Perseroan.

Aset Inventory yang dimiliki oleh Perseroan
akan meningkat, hal ini sejalan dengan
pembelian atas kendaraan motor yang akan
meningkat sepanjang tahun proyeksi berkisar
0,167 - 0,242.
VII. INFORMASI MENGENAI RAPAT UMUM

PEMEGANG SAHAM TAHUNAN

PERSEROAN TAHUN 2024

Perseroan akan menyelenggarakan RUPST
sehubungan dengan rencana Penambahan
Kegiatan Usaha Baru pada hari Jumat, 31 Mei
2024. Lebih lanjut, akan terdapat pembahasan
mengenai studi kelayakan tentang
Penambahan Kegiatan Usaha Baru Perseroan
sebagaimana diwajibkan berdasarkan POJK
17/2020.

RUPST akan diselenggarakan secara fisik dan
elektronik oleh Perseroan dengan detail
sebagai berikut:

Assumptions and the basis for preparing
projections, including investment costs totaling
IDR 2,500,000,000.00 (two billion five hundred
million Rupiah) throughout the projection year
which will be used for working capital in
purchasing used motorcycles, operational costs
and business expenses.

The Company in carrying out the Business Activity
Plan will use labor resources that have worked in
the Company as disclosed in the Availability of
Experts section.

The Company does not specifically prepare
facilities in carrying out the Business Activity Plan,
but will continue to use the existing facilities
owned by the Company such as the workplace
Office that has been used by the Company.

The assets of Inventory owned by the Company
will increase, this is in line with the purchase of
motor vehicles which will increase throughout the
projection year ranging from 0.1696 - 0.296.

VIII. INFORMATION ABOUT COMPANY'S
ANNUAL GENERAL MEETING IN

2024

The Company will hold a AGMS in relation to the
New Business Activity Addition plan on Friday, 31
May 2024. Furthermore, there will be a discussion
regarding the feasibility study on the Addition of
New Business Activity ofthe Company as reguired
under POJK 17/2020.

Adapun berdasarkan ketentuan Anggaran
Dasar Perseroan, kuorum kehadiran dan
kuorum keputusan atas seluruh mata acara
RUPST kecuali pada agenda keempat (karena
tidak membutuhkan persetujuan dari para
pemegang saham) adalah sebagai berikut:

A. Kuorum kehadiran adalah lebih dari 1/2
(satu per dua) bagian dari jumlah seluruh
saham dengan hak suara hadir atau
diwakili.

Kuorum keputusan adalah lebih dari 1/2
(satu per dua) bagian dari seluruh saham
dengan hak suara yang hadir dalam
RUPST.

Jika kuorum RUPST tidak terpenuhi, maka
Perseroan dapat mengadakan rapat kedua
dengan ketentuan kuorum kehadian dan
kuorum Keputusan sebagai berikut:

A. Kuorum kehadiran adalah lebih dari 1/3
(satu per tiga) bagian dari jumlah seluruh
saham dengan hak suara hadir atau
diwakili.

Kuorum keputusan adalah lebih dari 1/2
(satu per dua) bagian dari seluruh saham
dengan hak suara yang hadir dalam rapat
kedua.

Jika kuorum rapat kedua tidak terpenuhi, maka
Perseroan dapat mengadakan rapat ketiga
dengan ketentuan kuorum kehadiran dan
kuorum keputusan yang ditetapkan oleh OJK
atas permohonan Perseroan.

Based on the provisions of the Company's Articles
of Association, the attendance guorum and
decision guorum for all agenda items of the AGMS
except for the fourth agenda (because it does not
reguire approval from the shareholders) are as
follows:
A. The attendance guorum is more than 1/2
(one-half) of the total number of shares
with voting rights present or represented.

B. The resolutions guorum  shall be more
than 1/2 (one-half) of all shares with voting
rights present at the AGMS.

If the guorum of the AGMS is not met, the
Company may hold a second meeting with the
following attendance guorum and resolution
guorum provisions:
A. The attendance guorum is more than 1/3
(one-third) of the total number of shares
with voting rights present or represented.

The resolutions guorum  shall be more
than 1/2 (one-half) of all shares with voting
rights present at the AGMS.

If the guorum of the second meeting is not met,
then the Company may hold a third meeting with
the provisions of the attendance guorum and
decision guorum determined by the OJK at the
reguest of the Company.

IX. OTHER MATERIAL MATTERS
RELATING TO THE PROPOSED
ADDITION OF BUSINESS ACTIVITIES

There are no other material matters related to the
Proposed Addition of Business Activities.
