Uraian Informasi atau Fakta Material Pada tanggal 31 Agustus 2026, Perseroan menerima surat
dari ASII yang menginformasikan bahwa ASII telah
mengumumkan Pernyataan Penawaran Tender Sukarela atas
saham Perseroan dalam surat kabar harian Investor Daily dan
Bisnis Indonesia pada tanggal 31 Agustus 2026, yang akan
dilakukan sesuai dengan Peraturan OJK No.
54/POJK.04/2015 tentang Penawaran Tender Sukarela.
Berdasarkan informasi tersebut, ASII bermaksud untuk
membeli sebanyak-banyaknya 238.442.293 saham Perseroan
(mewakili sekitar 4,947% dari modal ditempatkan dan disetor
Perseroan) pada harga Penawaran Tender Sukarela sebesar
Rp 3.600 per saham.
Dalam hal seluruh saham Perseroan yang menjadi objek
Penawaran Tender Sukarela berhasil diperoleh ASII,
kepemilikan saham ASII pada Perseroan akan meningkat dari
saat ini sebesar 80% menjadi sebanyak-banyaknya 84,947%.
Pelaksanaan Penawaran Tender Sukarela tunduk pada
diperolehnya pernyataan efektif dari OJK.
Dampak kejadian, informasi atau fakta Informasi atau fakta material yang diungkapkan tidak memiliki
material tersebut terhadap kegiatan dampak material terhadap kegiatan operasional, hukum,

Description of Material Information or On 31 August 2026, the Company received a letter from ASII
Facts informing that ASII has announced a Voluntary Tender Offer
Statement for the shares in the Company in the daily
newspapers Investor Daily and Bisnis Indonesia on 31 August
2026, which will be conducted in accordance with OJK
Regulation No. 54/POJK.04/2015 on Voluntary Tender Offers.
Through the aforementioned Voluntary Tender Offer, ASII
intends to acquire up to 238,442,293 shares in the Company
(representing approximately 4.947% of the Company's issued
and paid-up capital) at a Voluntary Tender Offer price of IDR
3,600 per share.
If all shares subject to the Voluntary Tender Offer are
successfully acquired by ASII, ASII's shareholding in the
Company will increase from currently 80% to up to 84.947%.
The Voluntary Tender Offer Statement is subject to obtaining
effective statement from the OJK.
