(Perseroan/Perusahaan Sasaran) yang dimiliki oleh
Pemegang Saham Publik dengan harga penawaran sebesar
Rp250 (dua ratus lima puluh Rupiah) setiap saham (Harga
Penawaran Tender Sukarela), sebagai berikut:
Metro Pacific Tollways Indonesia (MPTIS), the Controlling
Shareholder, has issued an announcement regarding the
second extension of the Voluntary Tender Offer period to
purchase the shares of PT Nusantara Infrastructure Tbk
(the Company/Target Company) owned by Public
Shareholders at an offering price of Rp250 (two hundred and
fifty Rupiah) per share (Voluntary Tender Offer Price), as
follows:
1. Perpanjangan Jangka Waktu/ Term of Extension
Perpanjangan periode Penawaran Tender Sukarela akan
dimulai sejak pukul 08.30 WIB tanggal 20 Mei 2024
sampai dengan pukul 16.00 WIB tanggal 19 Juni 2024
(Perpanjangan Kedua Periode Penawaran Tender
Sukarela)
The extension of the Voluntary Tender Offer period will
commence from 8:30 WIB on 20 May 2024 until 16.00
WIB on 19 June 2024 (Second Extension of the Voluntary
Tender Offer Period)
2. Penerimaan dan Pembayaran Harga Penawaran
Tender Sukarela/ Acceptance and Payment of
Voluntary Tender Offer Price
Pemegang Saham Publik yang berniat untuk menerima
Penawaran Tender Sukarela dalam masa Perpanjangan
Kedua Periode Penawaran Tender Sukarela wajib
melengkapi dan mengajukan semua dokumen yang
dipersyaratkan untuk Penawaran Tender Sukarela ini
sebelum tanggal penutupan, selambat-lambatnya pada
pukul 16.00 WIB tanggal 19 Juni 2024. Para pemegang
saham yang belum memiliki Formulir Penawaran Tender
Sukarela, atau ingin mengetahui keterangan lainnya,

Tender Offer during the Second Extension of the
Voluntary Tender Offer Period must complete and submit
all documents required for this Voluntary Tender Offer
before the closing date, no later than 16.00 WIB on 19
June 2024. Shareholders who do not have a Voluntary
Tender Offer Form, or wish to know other information, can

Penawaran Tender Sukarela akan dilakukan pada
tanggal 28 Juni 2024.
Payment of the Voluntary Tender Offer Price to
shareholders who offered their shares for sale during the
Second Extended Voluntary Tender Offer Period will be
made on 28 June 2024.
Pembayaran Harga Penawaran Tender Sukarela kepada
para pemegang saham yang telah menyampaikan
Formulir Penawaran Tender Sukarela yang telah
dilengkapi beserta kelengkapan dokumen yang
disyaratkan hingga pukul 16.00 WIB tanggal 17 Mei 2024
akan tetap dilakukan pada tanggal 29 Mei 2024, sesuai
dengan ketentuan pembayaran Harga Penawaran
Tender Sukarela yang diumumkan pada harian Bisnis
Indonesia dan Investor Daily tanggal 16 April 2024.
Payment of the Voluntary Tender Offer Price to
shareholders who have submitted the completed
Voluntary Tender Offer Form along with the required
documents until 16.00 WIB on 17 May 2024 will still be
made on 29 May 2024, in accordance with the payment
terms of the Voluntary Tender Offer Price announced in
Bisnis Indonesia and Investor Daily on 16 April 2024.
Syarat, ketentuan, dan prosedur Penawaran Tender
Sukarela sebagaimana tercantum dalam Pernyataan
Penawaran Tender Sukarela yang diumumkan pada
harian Bisnis Indonesia dan Investor Daily tanggal
18 Maret 2024 tetap berlaku dalam masa Perpanjangan
Kedua Periode Penawaran Tender Sukarela, kecuali
ketentuan mengenai Periode Penawaran Tender
Sukarela dan Tanggal Pembayaran.
The terms, conditions and procedures of the Voluntary
Tender Offer as stated in the Voluntary Tender Offer
Statement published in Bisnis Indonesia and Investor
Daily on 18 March 2024 shall continue to apply during the
Second Extension of the Voluntary Tender Offer Period,
except for the provisions regarding the Voluntary Tender
Offer Period and Payment Date.

3. Jumlah Penawaran Penjualan Saham Yang Telah
Diterima /Number of Accepted Share Offerings
Berdasarkan keterbukaan informasi yang dumumkan
pada harian Bisnis Indonesia dan Investor Daily tanggal
18 Maret 2024, jumlah saham yang ditawarkan dalam
Penawaran Tender Sukarela adalah sebesar
4.104.990.344 saham Perusahaan Sasaran.
Berdasarkan hasil Penawaran Tender Sukarela Tahap I
periode 19 Maret 2024–17 April 2024, jumlah saham yang
telah dibeli oleh MPTIS adalah sejumlah 3.696.977.448
saham yang berasal dari 5.771 penawaran, sehingga
jumlah saham yang tersedia dalam Penawaran Tender
Sukarela adalah sejumlah 408.012.896 saham.
Jumlah penawaran dari pemegang saham untuk menjual
saham mereka dalam Penawaran Tender Sukarela
Tahap II hingga pukul 16.00 WIB tanggal 15 Mei 2024
adalah 751 penawaran yang mewakili 64.581.860 saham.
Based on the disclosure of information announced in
Bisnis Indonesia and Investor Daily on 18 March 2024,
the number of shares offered in the Voluntary Tender
Offer is 4,104,990,344 shares of the Target Company.
Based on the results of the Phase I Voluntary Tender
Offer for the period 19 March 2024 - 17 April 2024, the
number of shares purchased by MPTIS is 3,696,977,448
shares from 5,771 offers, so that the number of shares
available in the Voluntary Tender Offer is 408,012,896
shares.
The number of offers from shareholders to sell their
shares in the Phase II Voluntary Tender Offer up to 16:00
WIB on 15 May 2024 was 751 offers representing
64,581,860 shares.
3. Dampak kejadian, informasi Bahwa transaksi ini merupakan bagian dari seluruh proses
atau fakta material tersebut rencana privatisasi Perseroan yang sebelumnya telah
terhadap kegiatan operasional, disetujui dalam Rapat Umum Pemegang Saham Perseroan
