PENGUMUMAN
KEPADA PARA PEMEGANG SAHAM
PT SUNINDO ADIPERSADA Tbk
(“Perseroan”)
Dengan ini diberitahukan kepada Pemegang Saham Perseroan bahwa Perseroan
akan menyelenggarakan Rapat Umum Pemegang Saham Tahunan (“Rapat”), pada
hari Selasa, tanggal 25 Juni 2024
Sesuai dengan ketentuan Pasal 52 ayat (1) Peraturan Otoritas Jasa Keuangan No.
15/POJK.04/2020 tentang Rencana dan Penyelenggaraan Rapat Umum Pemegang
Saham Perusahaan Terbuka (“POJK No. 15/2020”) dan ketentuan Pasal 21 ayat (5)
(a) Anggaran Dasar Perseroan, pemanggilan untuk Rapat tersebut kepada Pemegang
Saham akan diumumkan melalui situs web Perseroan, situs web Bursa Efek
Indonesia, dan situs web Kustodian Sentral Efek (eASY KSEI) pada hari Senin, 3 Juni
2024.
Pemegang saham yang berhak hadir atau diwakili dalam Rapat adalah pemegang
saham yang namanya tercatat dalam Daftar Pemegang Saham Perseroan pada
tanggal 31 Mei 2024 sampai dengan pukul 16.00 WIB (recording date).
Usulan agenda dari pemegang saham yang memenuhi persyaratan pasal 16 ayat 1
dan 2 POJK 15/2020 akan dimasukkan dalam agenda Rapat. Setiap usulan tertulis
harus sudah diterima oleh Direksi Perseroan selambat-lambatnya 7 (tujuh) hari
sebelum tanggal Pemanggilan Rapat, dengan ketentuan usulan agenda Rapat
tersebut harus dilakukan dengan itikad baik, mempertimbangkan kepentingan
Perseroan, merupakan agenda Rapat yang membutuhkan keputusan Rapat,
menyertakan alasan dan bahan usulan agenda Rapat, dan tidak bertentangan dengan
peraturan perundang-undangan.

TO THE SHAREHOLDERS OF
PT SUNINDO ADIPERSADA Tbk
(“Company”)
This is to inform the shareholders of this (Company) that the Company will held its
Annual General Meeting of Shareholders (“Meeting”) on Tuesday, 25 June 2024.
In co pliance with the article 52 paragraph (1) of Financial Servies Authority Regulation
(“OJK Regulation”) No. 15/POJK.04/2020 concerning Planning and Procedures for
General Meeting of Shareholders of Public Company and article 21 paragraph (5) (a)
of the article of Association of the Company, the Meeting invitation to the Shareholders
will be published in the Company’s website, Indonesian Stock Exchange’s website, and
eASY KSEI website on Monday, 3 June 2024.
Shareholders who are entitled to attend the Meeting or be represented in the Meeting
are those whose names are registered in the Company’s Shareholders Register on 31
May 2024 until 16.00 Western Indonesian Standard Time (recording date).
Proposed agenda from Shareholders in compliance with article 16 paragraph 1 and 2
of POJK 15/2020 will be included in the agenda of the Meeting. Each written proposal
shall be received by the Board of Directors of the Company at the latest 7 (seven) days
before the date of the Meeting’s Invitation, in which the meeting’s agenda proposal must
be made in good faith, consider the interest of the Company, the agenda of the Meeting
that requires the decisions of the EGMS, include the reason and materials of the
proposed agenda of the meeting, and not be contrary to the laws and prevailing
regulations.
