Uraian Informasi atau Fakta Material Akta Gadai Saham tersebut dibuat di hadapan Notaris dan
merupakan bagian dari pengikatan jaminan atas fasilitas kredit
yang diperoleh Perseroan dari PT Bank Negara Indonesia
(Persero) Tbk.
Adapun rincian transaksi tersebut adalah sebagai berikut:

Tujuan Transaksi : Sebagai jaminan atas fasilitas kredit yang
diperoleh Perseroan
Berdasarkan minuta Akta Gadai Saham, fasilitas kredit yang
dijamin melalui transaksi gadai saham tersebut terdiri dari:
1. Fasilitas Kredit Modal Kerja maksimum sebesar
Rp9.000.000.000,- (sembilan miliar Rupiah); dan
2. Fasilitas Kredit Investasi Refinancing maksimum sebesar
USD9,000,000.00 (sembilan juta Dolar Amerika Serikat),
berikut seluruh perubahan, penambahan, perpanjangan,
maupun pembaharuannya sebagaimana diatur dalam
Perjanjian Kredit antara Perseroan dan PT Bank Negara
Indonesia (Persero) Tbk.
Perseroan menegaskan bahwa gadai saham tersebut tidak
mengakibatkan perubahan pengendalian atas Perseroan. Ibu
Dharmawati Djuhana tetap menjadi Komisaris Utama, Pemilik
Manfaat dan Pengendali yang merupakan Kelompok Yang
Terorganisasi Perseroan serta tetap menjalankan fungsi serta
kewenangannya sesuai dengan ketentuan yang berlaku.
Selain itu, transaksi gadai saham tersebut tidak menyebabkan
dilusi kepemilikan saham dan tidak mengubah jumlah modal
ditempatkan maupun modal disetor Perseroan.
Dampak kejadian, informasi atau fakta Informasi ini tidak memiliki dampak material terhadap kegiatan
material tersebut terhadap kegiatan operasional, hukum, kondisi keuangan atau

Description of Material Information or The Share Pledge Deed was executed before a notary and

obtained by the Company from PT Bank Negara Indonesia

The details of the transaction are as follows:

Based on the draft Share Pledge Deed, the credit facilities
secured through the share pledge transaction consist of:
1. Working Capital Credit Facility with a maximum amount of
Rp9,000,000,000 (nine billion Rupiah); and
2. Investment Refinancing Credit Facility with a maximum
amount of USD9,000,000.00 (nine million United
States Dollars),
including any amendments, additions, extensions, and/or
renewals thereof as stipulated in the Credit Agreement
between the Company and PT Bank Negara Indonesia
(Persero) Tbk.
The Company confirms that the share pledge does not result
in any change of control over the Company. Mrs. Dharmawati
Djuhana remains the President Commissioner, Beneficial
Owner, and Controlling Shareholder forming part of the
Company Organized Group and continues to perform her
functions and
authorities in accordance with the prevailing regulations.
In addition, the share pledge transaction does not result in any
dilution of share ownership and does not change the Company
issued and paid-up capital.
