Uraian Informasi atau Fakta Material Merujuk pada surat dari PT Rama Indonesia No RI/001/V/2026
tertanggal 11 Mei 2026 perihal Penyampaian Pengumuman
Pengambilalihan PT Dua Putra Utama Makmur, Tbk.
(terlampir), bersama ini kami informasikan bahwa pada tanggal
8 Mei 2026, PT Rama Indonesia telah menyelesaikan
transaksi pengambilalihan atas 2,473,270,000 (dua miliar
empat ratus tujuh puluh tiga juta dua ratus tujuh puluh ribu)
lembar saham milik PT Pandawa Putra Investama yang setara
dengan 59,24% (lima puluh sembilan koma dua puluh empat
persen) dari seluruh modal ditempatkan dan disetor penuh
oleh Perseroan, dengan harga pembelian sebesar Rp88,00
(delapan puluh delapan rupiah) per saham atau seluruhnya
sebesar Rp217,647,760,000,00 (dua ratus tujuh belas miliar
enam ratus empat puluh tujuh juta tujuh ratus enam puluh ribu
rupiah) (Pengambilalihan)
Guna memenuhi ketentuan Pasal 7 ayat (1) huruf a Peraturan
Otoritas Jasa Keuangan No. 9/POJK.04/2018 tentang
Pengambilalihan Perusahaan Terbuka (POJK No. 9/2018), PT
Rama Indonesia sebagai pengendali baru Perseroan telah
melakukan Pengumuman Pengambilalihan Perseroan melalui
surat kabar harian Ekonomi Neraca pada tanggal 11 Mei 2026
(sebagaimana terlampir).
Dampak kejadian, informasi atau fakta Pengambilalihan menyebabkan adanya perubahan
material tersebut terhadap kegiatan pengendalian atas Perseroan sebagaimana dimaksud dalam
operasional, hukum, kondisi keuangan, POJK No. 9/2018 dan kejadian, informasi atau fakta material
atau kelangsungan usaha Emiten atau tersebut tidak berdampak signifikan terhadap kegiatan
Perusahaan Publik operasional, hukum, kondisi keuangan, atau kelangsungan
usaha Perseroan.

Sehubungan dengan Pengambilalihan, PT Rama Indonesia sebagai pengendali baru Perseroan akan melaksanakan
ketentuan sebagaimana diatur dalam POJK No. 9/2018 termasuk namun tidak terbatas pada pelaksanaan penawaran
tender wajib.

Description of Material Information or Reference to the letter from PT Rama Indonesia No.
Facts RI/001/V/2026 dated May 11, 2026, regarding the
Announcement of the Acquisition of PT Dua Putra Utama
Makmur, Tbk. (attached), we hereby inform you that on May 8,
2026, PT Rama Indonesia completed the acquisition
transaction of 2,473,270,000 (two billion four hundred seventy-
three million two hundred seventy thousand) shares owned by
PT Pandawa Putra Investama, equivalent to 59.24% (fifty-nine
point twenty-four percent) of the Companys total issued and
fully paid-up capital, at a purchase price of Rp88.00 (eighty-
eight rupiah) per share, or a total of Rp217,647,760,000.00
(two hundred seventeen billion six hundred forty-seven million
seven hundred sixty thousand rupiah) (Acquisition).
comply with the provisions of Article 7(1)(a) of Financial
Services Authority Regulation No. 9/POJK.04/2018 on the
Takeover of Public Companies (POJK No. 9/2018), PT Rama
Indonesia, as the new controlling party of the Company, has
published a Notice of the Company s Takeover in the daily
newspaper Ekonomi Neraca on May 11, 2026 (as attached).

In connection with the Acquisition, PT Rama Indonesia, as the Companys new controlling party, will comply with the
provisions set forth in POJK No. 9/2018, including but not limited to the conduct of a mandatory tender offer.
