Uraian Informasi atau Fakta Material Jenis Aset
Jenis aset Perseroan yang dijual adalah 1 (satu) unit Kapal
Motor bernama ANUGERAH 1 dan 1 (satu) unit Kapal
Tongkang yang bernama HM 303.
Nilai Transaksi
1 (satu) unit Kapal Motor bernama ANUGERAH 1 dijual
dengan harga Rp 6.000.000.000 (enam miliar Rupiah); dan 1
(satu) unit Kapal Tongkang yang bernama HM 303 dijual
dengan harga Rp 12.000.000.000 (dual belas miliar Rupiah);
sehingga total nilai transaksi adalah Rp 18.000.000.000
(delapan belas miliar Rupiah).
Pihak-pihak Yang bertransaksi
Penjual adalah Perseroan, dan Pembeli adalah suatu
perseroan terbatas yang didirikan berdasarkan ketentuan
hukum yang berlaku di Negara Republik Indonesia yang
berkedudukan di Kota Samarinda, Balikpapan, Kalimantan
Timur.
Penjelasan ada atau tidaknya hubungan Afiliasi
Transaksi ini bukan merupakan transaksi afiliasi karena tidak
ada hubungan afiliasi antara Perseroan dengan Pembeli.

Dampak kejadian, informasi atau fakta Kegiatan Operasional
material tersebut terhadap kegiatan Penjualan kedua kapal ini bertujuan untuk peremajaan kapal-
operasional, hukum, kondisi keuangan, kapal milik Perseroan. Kondisi kapal motor dan kapal
atau kelangsungan usaha Emiten atau tongkang ini sudah kurang komersial untuk dioperasikan oleh
Perusahaan Publik Perseroan, Dengan penjualan dari kedua unit kapal tersebut
diharapkan kegiatan operasional Perseroan akan menjadi
lebih baik kedepan.
Hukum
Penjualan kedua unit kapal tersebut akan mengakibatkan
beralihnya hak dan kepemilikan atas kedua kapal tersebut dari
Perseroan kepada Pembeli.
Kondisi Keuangan
Perseroan sebagai penjual akan menerima harga jual dari
kedua unit kapal tersebut dari Pembeli. Penjualan kedua unit
kapal tersebut tidak berdampak signifikan terhadap kondisi
keuangan Perseroan
Kelangsungan Usaha
Kelangsungan usaha tetap terjaga dan terjamin dengan baik.
Informasi Lain
Berdasarkan nilai transaksi sebagaimana disebut di atas, maka penjualal kedua unit kapal tersebut bukan merupakan
Transaksi Material sebagaimana didefenisikan di dalam Peraturan Otoritas Jasa Keuangan No.17/POJK.04/2020
tentang Transaksi Material dan Perubahan Kegiatan Usaha ( POJK 17).

Facts Type of assets being sold are 1 (one) unit of Motor Boat
named ANUGERAH 1 and 1 (one) unit of Barge named HM
303.
Transaction Value
1 (one) unit of Motor Boat named ANUGERAH 1 is sold IDR
6,000,000,000 (six billion Rupiah); and 1 (one) unit of Barge
named HM 303 is sold IDR 12,000,000,000 (twelve billion
Rupiah); so the total transaction value is Rp 18,000,000,000
(eighteen billion Rupiah).
Transaction Parties
The Seller is the Company, and the Buyer is a limited liability
company established under the laws of the Republic of
Indonesia domiciled in Samarinda, East Kalimantan,
Indonesia.
Explanation whether there is any affiliation transaction
This transaction is not an affiliated transaction because there
is no affiliated relationship between the Company and Buyer.

Impact of event, material information or Operational Activities
facts towards Issuers or Public The sale of these two vessels aims to rejuvenate the
Company’s operational activities, legal, Company's vessels. The condition of these motor boats and
financial condition, or going concern barges is no longer commercial enough for the Company to
operate. By the sale of these two vessels, it is expected that
the Company's operational activities will improve in the future.
Legal
The sale of the two vessels will create the transfer of rights
and ownership of the two vessels from the Company to the
Buyer.
Financial Condition
The Company as the seller will receive the selling price of the
two vessel from the Buyer. The sale of the two vessels did not
have a significant impact on the Company's financial condition.
Business Continuity
Business continuity is well maintained.
Other Information
Based on the transaction value as mentioned above, the sale of the two vessels is not categorized as Material
Transaction as defined in Financial Services Authority Regulation No.17/POJK.04/2020 concerning Material
Transactions and Changes in Business Activities ("POJK 17).
Thus to be informed accordingly.
