On 07 May 2024, the Company together
with PT Mata Kencana Abadi signed a deed
of establishment to form a joint venture
with the name of PT JAVASARI MITRA
PRIMA (“IMP”) which is engaged in the
Bread and Cakes Industry.

The deed of establishment of JMP is stated
in the Deed of Establishment No. 10 dated
07 May 2024 made before Edi Priyono, SH
notary in Jakarta.

Struktur kepemilikan saham JMP adalah

sebagai berikut :

e PT Nippon Indosari Corpindo Tbk,
pemegang 60 lembar saham Seri A,
masing-masing dengan nilai nominal
sebesar Rp 220.000.000,- atau
seluruhnya sejumlah
Rp 13.200.000.000,-

@ PT Mata Kencana Abadi, pemegang 40
lembar saham Seri B, masing-masing
dengan nilai — nominal — sebesar
Rp 50.000.000.- atau seluruhnya
sejumlah Rp 2.000.000.000,-

JMP's Shareholders structure is as follows:

e PT Nippon Indosari Corpindo Tbk, as
the holder of 60 Series A Shares, each
with nominal value of Rp.220.000.000,-
ora total of Rp 13,200,000,000,-

e PT Mata Kencana Abadi, as the holder
of 40 Series B Shares, each with
nominal value of Rp 50,000,000,- or ad
total of Rp 2,000,000,000,-

JMP didirikan untuk mengembangkan dan
meningkatkan performa Perseroan di
segmen makanan serta memberikan
dampak positif.

JMP was established to develop and
improve the Company's performance in the
food segment and to make a@ positive
impact.

PT Mata Kencana Abadi bukan merupakan
pihak terafiliasi dari Perseroan.

PT Mata Kencana Abadi is not an Affiliated
party of the Company.

Dampak kejadian, informasi atau fakta
material tersebut terhadap kegiatan
operasional, hukum, kondisi keuangan,
atau kelangsungan usaha Emiten atau
Perusahaan Publik.

Transaksi ini tidak memiliki dampak
material terhadap kegiatan operasional,
hukum, kondisi keuangan, ataupun
kelangsungan usaha Perseroan.
