3. Uraian Informasi atau Fakta : Pada tanggal 6 Mei 2024, Perseroan telah melakukan
Material/ pengumuman informasi tambahan dan/atau perubahan
Description of Material ringkasan rancangan pemisahan (“Pengumuman Informasi
Information or Facts Tambahan”) sehubungan dengan pemisahan unit usaha
pelabuhan, dermaga, dan fasilitas penyimpanan milik
Perseroan kepada PT Chandra Pelabuhan Nusantara
(“CPAT”), yang merupakan anak perusahaan Perseroan yang
sahamnya dimiliki 99,99% oleh Perseroan, pada surat kabar
Harian Terbit. Adapun Pengumuman Informasi Tambahan
tersebut memuat informasi tambahan dan/atau perubahan
dari ringkasan rancangan pemisahan yang diumumkan oleh
Perseroan pada tanggal 15 Maret 2024./
On 6 May 2024, the Company has announced the additional
information and/or changes to the abridged spin-off plan
(“Additional Information Announcement”) in relation to the
spin-off of jetty, tank, and farm facility business unit of the
Company to PT Chandra Pelabuhan Nusantara (“CPAT”),
which is the Company’s subsidiary whose shares are 99.99%
owned by the Company, in the newspaper of Harian Terbit.
The Additional Information Announcement contains an
additional information and/or changes to the abridged spin
off plan announced by the Company on 15 March 2024.
4. Dampak kejadian, informasi : Rencana pemisahan sebagaimana dimuat dalam
atau fakta material tersebut Pengumuman Informasi Tambahan diharapkan dapat
terhadap kegiatan memberikan beberapa manfaat, antara lain:
operasional, hukum, 1) Optimalisasi pengelolaan aset oleh CPAT;
kondisi keuangan, atau 2) Akselerasi dan diversifikasi pengembangan usaha oleh
kelangsungan usaha Emiten CPAT;
atau Perusahaan Publik / 3) Potensi kerja sama strategis oleh CPAT untuk

4) The creation of asset management optimization,
business acceleration and development, as well as the

to improve financial performance and create added value
for shareholders as the ultimate goal.
